About this file
This document is a contract terms and conditions template containing standard clauses for commercial products and services procured by the federal government, specifically the Department of State.
The contract incorporates multiple Federal Acquisition Regulation (FAR) clauses by reference, including provisions addressing inspection and acceptance at destination, contract disputes resolution, excusable delays, invoicing requirements, payment terms, patent indemnification, risk of loss allocation, tax inclusion, termination rights (both for convenience and cause), title transfer upon acceptance, warranties, and limitation of liability. Additional specialized clauses address prohibition on ByteDance/TikTok covered applications on government information technology, compliance with federal anti-discrimination laws, combating trafficking in persons (with specific requirements for contracts exceeding $550,000 for supplies or services outside the United States), examination of records by the Department of State Inspector General, restrictions on Arab League boycott activities related to Israel, and an option for increased quantity of supplies at the unit price specified. The contract establishes an order of precedence for resolving inconsistencies, with the schedule of supplies/services taking priority, followed by specific payment and compliance paragraphs, then incorporated FAR clauses, addenda, solicitation provisions, and remaining contract documents. The document includes mandatory compliance certifications regarding trafficking in persons, anti-discrimination adherence, and boycott prohibitions, along with requirements for contractor notifications to the Contracting Officer regarding violations or credible allegations of misconduct.

The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance.
