SUMMARY OF CHANGES
SECTION I - CONTRACT CLAUSES
The following have been added by full text:
ECONOMIC PRICE ADJUSTMENT
PLEO SPECIAL CONTRACT REQUIREMENT ECONOMIC PRICE ADJUSTMENT (EPA)
The following describes how economic price adjustments for Proliferated Low Earth Orbit (PLEO) Commercial Services award, when appropriate. The application of an economic price adjustment applies to pricing in the base PLEO IDIQ contract only as they apply for future task orders and does not apply to the rates included in task orders already issued.
a) The provisions of this EPA clause provide for both price increases and decreases to protect the Government and contractor from the effects of economic changes as specified by the indices and the bands as indicated in this clause.
The contractor shall notify the Government in writing no later than 60 calendar days prior to the end of Base Period Year 3, Option Period Year 1, and Option Period Year 4 if an increase or decrease in fixed price CLINs are warranted pursuant to the terms of this clause. The economic price adjustment for the pricing identified in the pricing table shall be accomplished in accordance with the procedure detailed in paragraph (e) below. The contractor's notice for an adjustment shall include supporting data, in the form required by the government, explaining the calculation and amount of the increase or decrease.
b) Promptly after the Government receives the notice and data under paragraph (a) of this clause, the Government will validate the adjustments to the pricing in pricing table and issue a unilateral modification. If the contractor fails or declines to submit the notification required by paragraph above, no later than 60 days prior to the end of Base Period Year 3, Option Period Year 1, and Option Period Year 4, the Government may accomplish the adjustment calculations in accordance with this clause and unilaterally adjust the contract. Failure of the parties to agree on a requested adjustment under this clause shall NOT affect the Government's right to unilaterally exercise its rights pursuant to FAR Clauses 52.217-8, Option to Extend Services and 52.217-9, Option to Extend the Term of the Contract.
c) IHS Markit’s index “United States, Producer Price Index, Telecommunications” shall be used as the standard of measurement for CLINs x001, x003, and x004 for this clause. IHS Markit’s index “United States, Employment Cost Index, Wages and Salary, Private, Professional and Related” in shall be used as the standard of measurement for CLIN x005 for this clause.
d) The following rules shall apply in making numeric calculations under this clause:
1. Round figures to 4 decimal places, except dollar calculations and percentages;
2. Round dollar calculations to the nearest whole cent;
3. Round up numbers equal to or greater than 5;
4. Round down numbers less than or equal to 4;
5. Round percentages to 2 decimal places (e.g., 3.65%).
For purposes of calculating the adjustments required by this clause for CLINs x001, x003, and x004, the following projected average annual index pricing shall apply. The source of the baseline projected indices shown below is IHS Markit’s forecast. Table 1 (below) reflects the index and the projected index based on IHS Markit’s index “United States, Producer Price Index, Telecommunications” for CLINs x001, x003, and x004.
For purposes of calculating the adjustments required by this clause for CLIN x005, the following projected average annual index pricing shall apply. The source of the baseline projected indices shown below is IHS Markit’s forecast.
Table 2 (below) reflects the index and the projected index based on IHS Markit’s index “United States, Employment Cost Index, Wages and Salary, Private, Professional and Related” for CLINs x005.
e) The economic price adjustment shall be calculated as follows:
1. Upon request, the Government will provide the IHS Global Insight's current projected annual index values for the above projected time periods.
2. Divide this current projected annual index by the baseline projected average annual index rate identified in paragraph (d), above, for that particular year;
3. Subtract 1 from this result and multiply the resulting answer by 100 to arrive at the percentage difference;
4. If the resulting value is:
a. Greater than or equal to +2.0%, calculate the upward adjustment by increasing the contracted pricing by the percentage calculated in paragraph (e)(3), above;
b. Between – 2.0% and +2.0%, do not calculate an adjustment;
c. Less than or equal to -2.0%, calculate the downward adjustment by decreasing the contracted pricing by the percentage calculated in paragraph (e)(3), above.
f) Economic Price Adjustments to eligible fixed price amounts will be allowed prior to the end of Base Period Year 3, Option Period Year 1, and Option Period Year 4. If adjustments to the pricing are exercised during any of the above periods, the IHS Markit’s projected average annual index utilized will become the new baseline for the purpose of future adjustments.
g) In the event the IHS Markit’s Indices used are discontinued, or if IHS Markit suspends publication of an index identified in paragraph (d), above, or significantly alters the method of calculating the index, the parties shall agree upon an appropriate substitute index for use under this clause. If the parties cannot agree on a substitute or comparable index within 90 calendar days after an index has been discontinued or altered in method of calculation, the contracting officer may, acting unilaterally and subject to Contractor appeal in accordance with paragraph (h), below, either adopt the IHS Market index as altered or establish a new index.

Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

The timeframe for submitting inquiries will not be extended as a result of an extension to the due date for the receipt of offers, unless authorized by the KO.
c. The Government intends to award without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best approach/terms for technical, management, and price; however, despite this intent, the Government reserves the right to conduct discussions if the Source Selection Authority (SSA) determines they are necessary. In the event issues pertaining to a proposed contract cannot be resolved to the SSA's satisfaction, the Government reserves the right to withdraw and cancel the solicitation. Offerors shall submit their Technical/Management Approach as Volume II of the proposal in response to the Technical/Management Factor found in Sections M2.
L4.1 Content and Organization (Volume II). In the Technical/Management Volume, address your proposed/historical approach, as applicable, to meeting or exceeding the standard for an “acceptable proposal” of each technical/management Factors. Supply Chain Agreements should be annotated and align with the proposal validity period specified in Section L.2.3. Your responses will be evaluated against the technical/management factors defined in Section M, Evaluation Factors for Award. Service Readiness (Gate) (Factor 1) must be given an acceptable rating for the rest of the proposal to be evaluated. The evidence to support an acceptable rating for Factor 1, must be contained in the 5 pages allocated to Factor 1, as outlined in Table L.2.5.1. The Example Service Management Plan (Factor 2) will be used to evaluate acceptability under Section M, Factor 2. When past experience is used for the basis of the factor, provide as specifically as possible the actual methodology used for accomplishing/satisfying the factors. Offerors shall not merely reiterate the objectives or reformulate the problem statements specified in the solicitation. Proposed experience must be labeled with the factor number and presented in the exact order they are presented in Section M. The same past experience reference may be used to satisfy more than one technical factor. Each reference used must satisfy all criteria of the definitions in M2.1. The Technical/Management proposal must also reference the contract number or agreement from which the historical approach was obtained.
L5.0 Volume III Cost/Price
L5.1 Cost/Price General Information. All information relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Cost/Price Volume.
The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. The offeror shall not submit any pricing data within Technical/Management Approach. It is anticipated that pricing will be based on adequate price competition;
therefore, offerors are not required to submit certified cost or pricing data. In accordance with15.304 (c)(1)(ii)(B), the contracting officer will consider price or cost as one of the factors in the selection decision for each order placed under the contract.
L5.2 Cost/Price (Volume III).
a. Price Narrative
b. Attachment 3 Pricing Spreadsheet Template; PLEO Pricing Proposal
L5.2.1 Price Reasonableness and Completeness. This section is to assist in submitting information other than pricing data that is required to evaluate the reasonableness and completeness of the proposed price. Note that unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Price submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a DCAA audit.
L5.2.2 Cost/Price Proposal
a. The cost/price proposal should represent the most competitive pricing the offeror can provide using fixed price rates.
b. To enable the Government to establish the price list for this contract, the Government has provided Attachment 3 Pricing Spreadsheet Template to this solicitation that the offerors shall utilize in pricing their proposal. Additional Cost Volume narratives or documentation not otherwise requested in other sections of this RFP will not be considered when establishing the contract price list. Under no circumstances shall this information and documentation be included elsewhere in the proposal.
c. In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist or that there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see: FAR 15.406- 2-- Certificate of Current Cost or Pricing Data).

m. Changes Summary
L6.1 Contract Representations and Certifications. The offeror's proposal must include a scanned copy of the signed cover page of the solicitation and a digital copy (as described in L2.10) of the completion of Sections A through K. Section D Packaging and Marking, Section E Inspection and Acceptance, and Section F Delivery and Performance will be specified in the individual task orders.
L6.1.1 Solicitation/Contract Form. Completion of Section A, of the Standard Form (SF) 1449 is required.
Signature by the offeror on the SF1449 constitutes an offer, which the Government may accept. By signing the solicitation, the offeror acknowledges compliance with all sections in this RFP, HC101322R0005. Offerors are reminded that many clauses require the prime contractor to include the same or similar clause(s) in contracts with subcontractors. Note: The offeror must comply with the FAR provision 52.204-7 entitled “System for Award Management.” The KO will validate offerors’ qualifications for award in SAM for those offerors who have been determined to be eligible for award. An offeror may be determined ineligible for contract award if not registered within SAM at time of award. Offerors are also required to complete and submit fill-ins, representations, certifications, acknowledgments, and statements reflected in this solicitation.
L6.2 Small Business Subcontracting Plan. Firms other than U.S. Small Business Offerors, must also submit a subcontracting plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 (or DFARS 252.219- 7004 if the Offeror has a comprehensive subcontracting plan). Firms other than U.S. Small Businesses must submit acceptable subcontracting plans to be eligible for award. The plan, at a minimum shall address the elements set forth in FAR Clause 52-219-9(d)(1) through (15). Note: Subcontracting plans will only be reviewed for acceptability for those Offerors deemed to be apparent awardees.
The Government must be able to verify that each percentage is based on the value of the total acquisition. For the purposes of this factor, “other than small business” Offerors shall use a value of $72.5M for the “Total Contract Value” (TCV) when calculating their goals and dollar values. The TCV amounts shall only be used for calculating small business subcontracting goals for this factor and shall not be considered minimum guarantees, ceiling amounts, or estimates for pricing purposes.
Subcontracting plans will only be reviewed for acceptability for those “other than small business” Offerors deemed to be apparent awardees. If a subcontracting plan cannot be determined to be acceptable, the entire proposal will be rendered unawardable. Compliance and acceptability of Subcontracting Plans are a matter of responsibility.
Detailed explanations must be provided when the percentages fall short of the Goals listed below. The Government does not recognize zero percent as a goal. However, if zero goals are submitted for small business or any subcategory, they shall be supported with a detailed explanation as to why the Offeror cannot utilize small business. If the Offeror does not submit a detailed rationale/explanation, the zero percentage may be deemed unacceptable. All percentages should use the TCV as a baseline.
The goals proposed by the Offeror. These goals are a percentage of the total contract value (TCV). The Offeror shall propose goals for the following categories. Goals proposed are at the discretion of the Offeror. Note: These are recommended goals for this requirement. Offerors can propose different goals based on their “good faith” efforts to subcontract work to small businesses.
Recommended Subcontracting Goals for this requirement are:
Small Business: 10% of the total contract value;
Small Disadvantaged Businesses to include 8(a): 2% of the total contract value;
Woman-Owned Small Business (WOSB): 3% of the total contract value;
Historically Underutilized Business Zone (HUBZone) SB: 1.5% of the total contract value;
Veteran Owned Small Business (VOSB): 2% of the total contract value;
Service Disabled Veteran Owned Small Business (SDVOSB): 1.5% of the total contract value.
For example, if a company is a Woman Owned Small Business (WOSB) and Service Disabled Veteran Owned Small Business (SDVOSB), the dollars subcontracted to that company should be counted for Small Business, WOSB and SDVOSB.
L6.3 Organizational and Consultant Conflict of Interest (OCCI) Mitigation Plan. An OCCI Mitigation Plan is required for all offerors, even if no OCCI exists. If the offeror believes that no OCCI exists, the OCCI plan shall set forth sufficient details to support such position.
If the offeror believes an OCCI exists, the offeror shall submit an OCCI Mitigation Plan to the KO which concisely describes all applicable facts concerning any past, present, or current planned interest (financial, contractual, organizational, or otherwise) relating to work to be performed under the PLEO contract/task orders that will or may result in an actual or potential Organizational Conflict of Interest and/or Consultant Conflict of Interest relating to the PLEO contract. The OCCI Mitigation Plan shall explain how the OCCI will be minimized to a level acceptable to the Government.
The OCCI Mitigation Plan shall be submitted as part of the offeror’s proposal and will be incorporated within an Attachment of the resulting contract. Note: No contract award can be made without an approved/acceptable OCCI Mitigation Plan.
The offeror must have an agreed upon OCCI Mitigation Plan with the Government that is approved by the KO prior to award.
L6.4 DD254, DoD Contract Security Classification Specification. Offerors must complete Block 6 of the attached DD254 with the appropriate information for their companies. Completed DD254’s must be submitted with proposals provided in Attachment 1. Security classification requirements must be met at time of proposal submission.
L6.5 Requirements Traceability Matrix. The offeror shall prepare a Requirements Traceability Matrix Attachment 4 cross referencing all RFP requirements to the location of the offeror’s responses in their proposal. The Cross Reference Matrix provides reference information but is not evaluated.
L6.6 Joint Venture/Partnership Agreement (if applicable).
Contractor Team Arrangements (“CTA”), as defined in FAR 9.601(1), may submit a proposal in response to this RFP. While the CTA is its own unique entity distinct from the member companies, for the purpose of evaluation, each member of the CTA is considered the prime offeror.
For example purposes only: Company A and Company B form a CTA as a Joint Venture entitled Company C.
Experience and past performance from either Company A or Company B may be used to satisfy the requirements in the Technical/Management Approach (Evaluation Factors 1 and 2). It is not necessary that Company C have the required experience.
An offeror may submit a proposal as a CTA in response to the solicitation subject to the following conditions:
1) The Joint Venture or Partnership is registered in the System of Award Management (SAM.gov) and has a corresponding Unique Entity Identification (UEI)
2) The Joint Venture or Partnership meets the definition of a Joint Venture for size determination purposes (FAR 19.101(7)(i)).
3) The offeror must submit a complete copy of the Joint Venture or Partnership agreement that established the CTA relationship.
