SECTION L

INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS

L1 – INFORMATION TO OFFERORS

L1.0 Program Title and Objectives

Military Sealift Command (MSC) Next Generation Wideband (NGW) Follow-On (FO)

The goal of this MSC NGW FO vehicle is to sustain and modernize the current NGW satellite communications network supporting MSC. It is MSC’s objective to leverage the most effective blend of commercially available shared and dedicated services to support MSC satellite requirements.

This modernized network should economically optimize the throughput capabilities to MSC terminals (i.e., ships and carry-on antenna systems) and improve on the coverage of the existing network.

L2.0 General Instructions

L2.0.1. This section of the Instructions to Offerors provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The offeror's proposal must include all data and information requested by the request for proposals (RFP) and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS), and Contract Data Requirements List (CDRL). Non-conformance with the instructions provided in this Information to Offerors may result in removal of the proposal from further evaluation.

L2.0.2. The proposal shall be clear and concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation on the information presented in the offeror's proposal.

L2.0.3. Elaborate brochures or documentation, binding, detailed art work, internet hyperlinks, or other embellishments are unnecessary and are not desired.

L2.0.4. The proposal acceptance period is specified in Section A of the solicitation. The offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid through this date.

L2.0.5. In accordance with the Federal Acquisition Regulation (FAR) Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals.

L2.0.6. Portions of the successful offeror’s proposal may be incorporated into the contract as an attachment in Section J.

L2.0.7. Use of Non-Government Advisors. Non-Government personnel will be used on the source selection evaluation team. The non-government advisor may have access to all aspects of the offeror’s proposal except for past performance information. The non-government advisors are from the following companies:

Booz Allen Hamilton 8283 Greensboro Drive McLean, Virginia 22102

E3 Federal Solutions, LLC 8281 Greensboro Dr Ste 400 McLean, VA 22102

Disruptive Technology Associates, Ltd.

Supinf Technologies, LLC 11117 Potomac Oaks Dr.

Rockville, MD 20850

TriSept Corporation 15036 Conference Center Drive Suite 500 Chantilly, VA 20151

Deloitte Consulting, LLP 1919 Lynn Street Arlington, VA 22209 Classified Mailing Address: P.O. Box 12496, Arlington VA 22219

A non-disclosure agreement (NDA) from the company providing each non-government advisor is included with this solicitation. If offerors object to any of the companies listed as participating on the source selection team, the offeror must send their objection to the contracting office point of contact immediately. Otherwise the offeror should sign and submit the completed NDA form, Attachment 9 along with the proposal. Failure to submit the completed NDA form, Attachment 9 along with the proposal may result in the offeror being ineligible for award.

L2.1 General Information

L2.1.1. Point of Contact.

The contracting officer (KO) and the contract specialist (CS) are the sole points of contact for this procurement. Address any questions or concerns to the KO and CS. Written requests for clarification must be sent to the KO at the email address located in Section A.

L2.1.2. Debriefings.

The KO will notify offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

L2.1.3. Discrepancies.

If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the KO in writing with supporting rationale as well. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

L2.1.4. Electronic Reference Documents.

All referenced documents for this solicitation are available on the Beta.SAM.gov web site at https://Beta.SAM.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

L2.1.5. Communications Exchanges of source selection information between Government and offerors will be controlled by the KO or CS. Evaluation notices and responses will be transmitted as emails and will be treated as source selection information. The subject line of the email shall be titled: “RFP HC101320R0014, Contractor Name, Source Selection Information See FAR 2.101 and 3.104.”

Questions/comments are due no later than 1PM central standard time (CST) on April 27, 2021. Questions submitted after the deadline may not be answered. The email address for the KO and CS are contained in para L2.4 Distribution, below. Questions/comments will only be responded to if received in email and only when submitted on Attachment 10 - L1 RFP Questions & Answer Template.

No information concerning this solicitation or requests for clarification will be provided in response to offeror initiated telephone calls. All such requests must be made in writing and submitted as directed above. All questions/comments provided in a timely manner will be answered in writing and provided to all offerors. However, written inquiries may not be answered when requests are received by the Government points of contact after the original due date for receipt of questions as specified in this solicitation. The timeframe for submitting inquiries will not be extended as a result of an extension to the due date for the receipt of offers unless authorized by the KO.

L2.1.6. Award without Discussions.

The Government intends to award without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best approach/terms for technical, management, and price; however, despite this intent, the Government reserves the right to conduct discussions if the Source Selection Authority (SSA) determines they are necessary. If the SSA determines that discussions are necessary, a competitive range will be established. In the event issues pertaining to a proposed contract cannot be resolved to the SSA's satisfaction, the Government reserves the right to withdraw and cancel the solicitation. In such event, offerors will be notified in writing.

L2.1.7. Organizational and Consultant Conflict of Interest (OCCI).

Each offeror shall specifically identify in its proposal whether or not any potential or actual OCCI, as described in Federal Acquisition Regulation (FAR) Subpart 9.5, exists for this procurement. If the offeror believes that no OCCI exists, the OCCI response shall set forth sufficient details to support such a position. If an offeror believes that an actual or perceived OCCI does exist on this procurement, the offeror shall submit an OCCI plan with the proposal, explaining in detail how the OCCI will be mitigated and/or avoided. OCCI submissions shall be submitted in the Contract Volume.

L2.1.8. DD254, DoD Contract Security Classification Specification.

Offerors must complete Block 6 of the attached DD254 with the appropriate information for their companies. Offerors must also complete Block 7 of the attached DD254 with the appropriate information for subontractors, if applicable. Completed DD254’s must be submitted with proposals provided in Section J, Attachment 2. Security classification requirements must be met at time of proposal submission.

L2.1.9. Joint Venture/Partnership Agreement (if applicable).

Contractor Team Arrangements (“CTA”), as defined in FAR 9.601(1), may submit a proposal in response to this RFP. While the CTA is its own unique entity distinct from the member companies, for the purpose of evaluation, each member of the CTA is considered the prime offeror.

For example purposes only: Company A and Company B form a CTA as a Joint Venture named Company C. Experience and past performance from either Company A or Company B may be used to satisfy the requirements in the Technical/Management Approach (Evaluation Factor 1). It is not necessary that Company C have the required experience or past performance. Similarly, either Company A or Company B can possess the required certifications outlined in the PWS/SOW.

An offeror may submit a proposal as a CTA in response to the solicitation subject to the following conditions:

1) The Joint Venture or Partnership is registered in the System of Award Management (SAM.gov) and has a corresponding DUNS Number.

2) The Joint Venture or Partnership meets the definition of a Joint Venture for size determination purposes (FAR 19.101(7)(i)).

3) The offeror must submit a complete copy of the Joint Venture or Partnership agreement that established the CTA relationship.

L2.2 Organization/Number of Copies/Page Limits.

The offeror shall prepare the proposal as set forth in the Proposal Organization Table (Table L1 below). The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified in Table L1. The contents of each proposal volume are described in the information to offerors paragraph as noted in the table below.

L2.2.1 Page Limitations.

Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors. Page limitations shall not be circumvented by including inserted text boxes/pop-ups or internet links to additional information; such inclusions are not acceptable and will not be considered part of the proposal. The Government reserves the right not to consider for award any proposal that does not adhere to the administrative requirements of this solicitation. Each page shall be counted except the following: cover page, table of contents, glossary, link budgets, Information Assurance (IA) Compliance Matrix (CIAQ), OCCI Plans, coverage maps, network diagrams, sample installation design drawings and schedules. The Transition Support Plan shall be limited to 10 pages and is outside of the technical proposal page limitation. The Project Management Plan shall be limited to 25 pages and is outside of the technical proposal page limitation and will be used to evaluate Technical Subfactor 3. The Risk Management Plan shall be limited to 10 pages and does not count towards the Technical/Management Volume page limit and will be used to evaluate Technical Subfactor 4.

L2.2.2 Page Size and Format.

L2.2.2.1 A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches, not including foldouts. Pages shall be 1.0 line spaced/typed with 1.0 line spacing. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12 point Ariel, Times New Roman, or Courier New font for all text. The technical volume of the proposal is to be submitted as a Microsoft Word 2007 or newer file or as an Adobe PDF document. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1 inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall apply to responses to ENs. These limitations shall apply to both electronic and hard copy proposals. It is the sole responsibility of the Offeror to ensure that the electronic files submitted are virus free and can be opened and read by the Government. Proposal submissions shall not be locked, encrypted, or otherwise contain barriers to opening. The Government is under no obligation to seek clarification regarding electronic proposal submissions if submissions cannot be opened or accessed.

L2.2.2.2 Legible tables, charts, graphs, and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and each 8.5 x 11 surface of a foldout shall be counted as a separate page. Foldout pages may only be used for large tables, charts, graphs, diagrams, and schematics; not for pages of text. For tables, charts, graphs, graphics, and figures, the text shall be no smaller than 10 point Ariel, Times New Roman, or Courier New font for all text included in a table.

L2.2.3 Cost or Pricing Information.

All cost or pricing information shall be addressed ONLY in the Section B Pricing Worksheet. Information shall be limited to Contract Line Item Number (CLIN) or SubCLIN, including units and extended pricing, as specified in Section B of the RFP and input in Attachment 1 - Section B Pricing Worksheet.

L2.2.4 Indexing.

Each volume shall contain a more detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.

L2.2.5 Glossary of Abbreviations and Acronyms.

Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

L2.3 Electronic Offers.

Submitting proposals via email: In order to respond to this solicitation, the offeror shall email a copy of its proposal to the KO and CS not later than the time and date specified in this solicitation. In accordance with FAR 52.215-1, ALT, Instructions to Offerors, the offeror's proposal submission will be considered complete when all volumes are received.

L2.4 Distribution.

Proposals shall be addressed to the KO with a copy to the CS at the following email addresses: kathryn.v.koerkenmeier.civ@mail.mil, and sierra.l.billhartz.civ@mail.mil.

L3.0 Volume I – Executive Summary.

In the Executive Summary Volume, the offeror shall provide the following information:

L3.1 Narrative Summary.

The narrative summary of the entire proposal should be concise, to include addressing the significant risks, and highlighting any key or unique features, excluding cost/price. The salient features should tie in with Section M evaluation factors/subfactors. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal or as meeting or exceeding the Section M technical evaluation factors.

L3.2 Table of Contents.

Include a master table of contents of the entire proposal.

L4.0 Volume II – Technical/Management Volume.

L4.1 General.

The Technical/Management Volume should be specific and complete. Responses will be evaluated against the technical/management subfactors defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology to be used for accomplishing/satisfying these subfactors. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.

L4.2 Format and Specific Content.

L4.2.1 Technical/Management.

In the Technical/Management volume, address the proposed approach to meeting or exceeding the minimum performance or capability requirements of each technical/management subfactor, as well as the risks in the proposed approach in terms of technical/performance, cost, and/or schedule. Supply Chain Agreements should align with the proposal validity period specified in Section L.5.2.

L4.2.1.1 Technical/Management Risk Address technical/management risk by identifying those aspects of the proposal you consider to have the potential for disruption of schedule, increased cost, poor performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (e.g., PWS or specification requirements), whether or not those requirements are identified as subfactors. Propose a realistic "workaround" or risk mitigators for identified risks that will eliminate or reduce risk to an acceptable level. Identify any new risks introduced by such risk mitigation.

The Authorizing Official (AO) will assess the offeror’s COMSATCOM Information Assurance Questionnaire (CIAQ) control item implementations, compliance, annotations, and mitigations, and approval must be obtained from the AO prior to award. If the AO does not approve the selected solution, the Government will determine whether it is in the best interest of the Government to open discussions with all offerors in the competitive range, may choose another offerors solution without opening discussions or may choose not to award.

The CIAQ requirements that follow are RFP administrative requirements. All CIAQ requirements must be met in order for an offeror to be eligible for award. The CIAQ must be submitted in its original locked Microsoft Excel format via utilization of Section J Attachment 12 - CIAQ. A single CIAQ must document all applicable system segments (corporate systems not involved in service operations need not be reported upon). The offeror should ensure each response to a control addresses all aspects listed in the control description. The contractor shall demonstrate compliance with the controls listed in the CIAQ by providing a brief narrative of their current implementation. NSA approved cryptography on both the TT&C uplink and downlink shall be the preferred solution. Recognizing that not all commercial satellites are capable of both uplink and downlink TT&C encryption, mitigations to uplink and downlink TT&C capability will result in an ‘Acceptably Mitigated’ rating for that control. Non-responses and/or incomplete responses will be marked as Unacceptable. The contractor shall submit a CIAQ that accounts for all satellites used. If satellites not included in the CIAQ are later proposed for use on task orders, a new CIAQ and Authorizing Official (AO) acceptance will be required prior to award of the order, otherwise, that satellite cannot be used during contract performance. CIAQ submissions for these additions will be handled at the Task Order level.

The Offeror shall submit link budgets in accordance with PWS Subsection 6.1.3.2 and 13.1 Satellite Coverage utilizing the Government provided template, Attachment 14 - Link Budget Template.

L4.2.2 Volume Organization.

The Technical/Management Volume shall be organized according to the following general outline:

1. Table of Contents

1. List of Table and Drawings

1. Glossary

1. Subfactor 1 – Global Network Infrastructure

1. Subfactor 2 – Modernization

1. Subfactor 3 – Project Management & Operations

1. Subfactor 4 – Information Assurance (IA)

L5.0 Volume III – Cost/Price.

L5.1 General Instructions.

L5.1.1 Price Reasonableness and Completeness.

This section is to assist in submitting information other than pricing data that is required to evaluate the reasonableness and completeness of the proposed price. The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. Proposals that quote “not separately priced” or “NSP” prices will not be considered complete, but $0 priced CLINs will be considered complete. The Government has the right to order any CLINs priced at $0 at any time during the PoP of the IDIQ. Note that unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Price submissions should be sufficiently detailed to demonstrate their reasonableness and be adequate enough to support and sustain a DCAA audit.

L5.1.2 Price Information.

Pricing submitted for the Sustainment base period, the Modernization base period, and all option periods, including option pricing for an additional 6-month period that may be authorized IAW FAR 52.217-8 "Option to Extend Services" will be evaluated. See FAR 52.217-8 which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. The pricing proposal should include separate line items by CLIN for the additional 6-month period IAW FAR 52.217-8. These prices shall be identical to the proposed pricing in the 6 months prior to expiration of the base period, or the final option period, if option periods are present. The Government will calculate the total evaluated price by multiplying the duration and the proposed monthly recurring cost (MRC), add the proposed non-recurring cost (NRC), and then multiply by the estimated quantities for each CLIN for the Sustainment base period, Modernization base period, and all option periods. The option pricing for the additional 6-month period will be calculated as half of the total for option period 4. The Sustainment, Modernization, and Option Periods pricing tabs will constitute the ordering catalog for the IDIQ. This pricing will be incorporated into Attachment 1 - Schedule B Pricing Worksheet and related B-Tables upon contract award and used for all orders placed post-contract award. The proposed Installation Services pricing shall be priced based upon the specifications provided in Attachment 6 - Appendix A Technical Specification.

The Government has provided an installation labor CLIN to the IDIQ (CLIN X105) that specifies a daily man rate for installation services. This Firm Fixed Price CLIN specifies eight (8) hours of installation services by a single person. The offer shall price out their daily man rate for installation services in the Attachment 1 - Schedule B Pricing Worksheet CLIN X105. This CLIN will be multiplied by the Government’s ‘plug’ level estimate for each weight class (2 days, 3 days, or 4 days), has also been specified in the Schedule B Pricing Worksheet CLIN description for CLINS X102A-C and will be used as the baseline estimate for installation services. These estimated installation services levels will be multiplied by the evaluated quantities for installation and included in the total evaluated price. This CLIN will be utilized at the task order level based on the approved IDP on an as needed basis for installation services and used to determine the specific level of installation necessary at that task order level for ships requested for modernization installation.

The Government has also included a plug number for the Other Direct Costs (“ODC”) CLIN due to the difficulty of estimating installation support equipment costs prior to the Installation Design Plan process and due to differences across ship class. These EXACT amounts include all markups and burdens allowed by the contract and shall not be adjusted based upon independent decisions regarding actual anticipated costs. Profit and/or fixed fee are not allowed on ODCs. ODCs shall be authorized by the Contracting Officer and Contracting Officer’s Representative (COR), prior to performance.

L5.1.3 Cost/Price Information.

The offeror shall use the Attachment 1 - Section B Pricing Worksheet included with the RFP to submit any/all cost/price information. Additional Cost Volume narratives or documentation not otherwise requested in other sections of this RFP will not be considered. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

L5.1.3 Cost or Pricing Information Requirements.

In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. If, after receipt of proposals, the KO determines the required conditions of adequate competition do not exist or that there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply, the offeror may be required to certify its submitted cost or pricing data (see: FAR FAR 15.406-2-- Certificate of Current Cost or Pricing Data).

L5.2 Volume Organization.

The pricing proposal shall be a separate volume from the technical proposal. The offeror shall use the Attachment 1 - Section B Pricing Worksheet included with the RFP. The offeror agrees to hold the price in its proposal and any subsequently provided support agreements firm for 240 calendar days from the date specified for receipt of proposals or as requested in any subsequent amendment(s).

The offeror shall submit their proposed unit prices for Attachment 1 - Section B Pricing Worksheet in the attachment provided with this RFP. The offeror’s price proposal shall be complete, submitting prices for all of the CLINs identified in the Attachment 1 - Section B Pricing Worksheet; failure to price all CLINs may result in rejection of the proposal. If a CLIN is proposed as $0.00, the Government may order that CLIN for $0.00, at no cost to the Government. The Government will consider a CLIN with a proposed price of $0.00 as complete. The Government will consider a CLIN that is left blank and does not include a price as incomplete. In addition, offeror generated abbreviations such as “NSP”, “N/A”, and “N/C” (No charge) are not acceptable entries and the price proposal will be considered incomplete. Incomplete proposals will be ineligible for award. The offeror must provide pricing for the base year and each of the option years. Each option year must be clearly marked.

Certified cost or pricing data are not required for this procurement at this time; however, the KO is required to determine the offeror's proposed price(s)/costs to be reasonable, and further documentation may be requested.

The failure to submit any of the information requested in this RFP may lead to the rejection of your proposal without further consideration.

L6.0 Volume V – Contract Volume.

L6.1 Contract/Representations and Certifications.

The purpose of this volume is to provide information to the Government for preparing the contract document and supporting file. The Offeror's proposal must include a signed copy of the solicitation and completion of Sections A through K..

L6.1.1 Section A – Solicitation/Contract Form.

Completion of block 17a and signature and date for blocks 30a, 30b, and 30c of the Standard Form (SF) 1449. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept.

L6.1.2 Section B – Supplies or Services and Costs/Prices.

Completed pricing information in Section B of the solicitation.

L6.1.3 Section I – Contract Clauses.

The offeror shall comply with the clauses provided in Section I. Please note that many clauses require the prime contractor to include the same or similar clause in contracts with subcontractors.

L6.1.4 Section J – Attachments.

The offeror shall complete the DoD Security Classification Specification (DD Form 254) located in Section J, Attachment 2. Unless otherwise stated, Section J attachments shall be submitted in the Contracts Documentation Volume.
