Summary of DCTA Agreement for Contractor Services

This is a template contractor services agreement from the Denton County Transportation Authority (DCTA) in Texas. The agreement establishes the terms under which an independent contractor will provide services to DCTA as specified in Exhibit "A" (Scope of Services). The contract commences upon the last date of execution and continues until completion of services, with either party able to terminate with thirty days' prior written notice. The contractor must receive a Notice to Proceed from DCTA before commencing work, and any work performed or expenses incurred prior to receipt of this notice occur entirely at the contractor's own risk. Work shall be performed according to a schedule mutually agreed upon by both parties.

Compensation is established in Exhibit "A" and shall be paid within thirty days of receipt of a proper invoice, provided there are no errors or discrepancies and all invoiced work has been completed. Invoices should be submitted to accountspayable@dcta.net. The contractor is responsible for furnishing all necessary facilities, equipment, and personnel unless otherwise specified, and may engage subcontractors at the contractor's own expense. The contractor must maintain commercial general liability insurance with limits of $2,000,000 aggregate and $1,000,000 per occurrence, commercial automobile liability insurance with limits of $1,000,000, and workers' compensation insurance as required by law. The contractor must provide proof of insurance no later than ten days prior to performance. The agreement is governed by Texas law with venue in Denton County, and the contractor must comply with all applicable federal, state, and local laws, including Texas provisions regarding boycotts of Israel and energy companies.
