About this file

This is a Software as a Service (SaaS) master agreement template between the City of Beaverton, Oregon and a software provider for cloud-based enterprise asset management system services. The agreement establishes the framework for delivering a comprehensive asset lifecycle management platform designed to manage public works assets including water mains, sidewalks, street signs, lights, and sewer connections. The City issued Solicitation #26-062 with proposals due electronically by April 23, 2026, at 2:00 p.m., with question submissions due by April 17, 2026, and interviews potentially scheduled for May 8, 2026. Contract award is anticipated by June 16, 2026, with services commencing July 1, 2026, and completion required by July 1, 2027. The initial contract term is five years, with automatic renewal for successive one-year periods unless either party provides thirty days' written notice of non-renewal prior to the expiration date. The system must provide cloud-based hosting with 99.99% availability requirement, real-time visibility dashboards, GIS-centric capabilities, mobile-first field operations with offline data collection and GPS-accurate asset location, seamless API integrations with existing systems including Springbrook utility billing and GranetNet sewer inspection systems, and comprehensive work order, inspection, and service request tracking functionality.

The pricing structure consists of fixed fees during the initial five-year term with no increases permitted, and any fee increases for renewal terms are capped at the lesser of three percent or the most-recently published Consumer Price Index for all Urban Consumers in the West Region. The provider must maintain comprehensive insurance coverage including Commercial General Liability ($2,000,000 per occurrence), Cyber Liability Insurance ($2,000,000 per claim and annual aggregate), Errors and Omissions/Professional Liability ($2,000,000 per occurrence and aggregate), and Commercial Automobile Liability ($1,000,000 combined single limit). The City must comply with the Beaverton Equity Procurement Program requirements, requiring proposers to participate through certified disadvantaged business enterprises including Emerging Small Business (ESB), Minority-owned Business (MBE), Women-Owned Business (WBE), Service-Disabled Veteran-Owned Business (SDVBO), Disadvantaged Business Enterprise (DBE), and Airport Concessions Disadvantaged Business Enterprise (ACDBE) designations. The provider is responsible for all costs including materials, labor, and expenses; the City does not fund travel expenses except as expressly pre-authorized in writing. Service Availability Credits provide compensation for availability failures, with the City entitled to credits of ten percent of monthly fees for each one percent by which uptime falls below the 99.99% requirement, not to exceed 100% of fees. The agreement includes critical data security provisions requiring SOC2 Type 2 audits, ISO27001 certification, PCI DSS compliance for payment card information, daily backups with weekly off-site storage, and disaster recovery capabilities with a maximum recovery time objective of eight hours and recovery point objective of four hours, with immediate termination rights if these standards are not met.
