About this file
This document is a draft Consultant Services Agreement between the City of St. Cloud, Florida and an unspecified civil engineering consultant for continuing professional civil engineering services. The agreement, resulting from Request for Qualifications No. 2022-213, establishes a framework for providing civil engineering services on a task basis, with projects assigned through a rotation system. The contract will become effective upon execution and remain in effect for a predetermined number of years, with the option to extend for two additional one-year periods. The City will request services by providing a general task description, after which the consultant will generate a detailed Scope of Work, schedule, and not-to-exceed budget within 15 days.
The compensation structure is based on the consultant's Professional Services Fee Schedule (Exhibit A), which includes all wages, salaries, taxes, insurance, overhead, and profit. Reimbursable expenses will be passed through at a cost factor of 1.0, with certain overhead items like in-house copying and telephone services not billable separately. The consultant is required to maintain various insurance policies, including commercial general liability, business automobile liability, workers' compensation, and professional liability, with specific coverage limits. The agreement emphasizes compliance with safety requirements, public records laws, and Florida statutes, and includes provisions for task authorization, performance evaluation, termination, and dispute resolution.

C. The parties hereto expressly agree that the obligation to comply with applicable safety provisions is a material provision of this Agreement and a duty of the CONSULTANT. The CITY reserves the right to require demonstration of compliance with the safety provisions of this Agreement. The parties agree that such failure is deemed to be a material breach of this Agreement; and the CONSULTANT agrees upon such breach, all work pursuant to the Agreement shall terminate until demonstration to the CITY that the safety provisions of this Agreement have been complied with. In no event shall action or failure to act on the part of the CITY be construed as a duty to enforce the safety provisions of this Agreement, nor shall it be construed to create liability for the CITY for any act or failure to act in respect to the safety provisions of this Agreement.
