3. Preventative Maintenance and Warranties

The period of performance for the following preventative maintenance and warranties will be added via modifications once the items are received and accepted:

4. Section 508 and Accessibility

This product must conform to the Revised Section 508 (https://www.access-board.gov/guidelines-and-standards/communications-and-it/about-the-ict-refresh/final-rule/text-of-the-standards-and-guidelines) and WCAG 2.0 Level AA standards as outlined below.

5. Delivery and Acceptance

All hardware and materials shall be delivered FOB Destination to the following address within 45 calendar days from the time of the award:

The Contractor shall complete delivery and configuration of all specified equipment. Delivery shall not be considered complete until the Government Contracting Officer’s Representative (COR) verifies that all items have been received, properly configured, and are fully functional in accordance with contract requirements. Final acceptance is contingent upon successful inspection, operational verification, and documented Government approval.

Notice Regarding Late Delivery:

If at any time the Contractor anticipates a delay in delivery, the Contractor shall immediately notify the COR and any other designated Government representative. The notice shall include the reason for the delay, a proposed revised schedule, and the anticipated project impact. This notification does not limit the Government’s rights to pursue contractual remedies, including termination for default.

6. Award Statement

A single award will be given to the lowest responsive responsible bidder who meets all the technical specification requirements, Section 508 and Accessibility, and the IHS Buy Indian Act, Indian Economic Enterprise Representative. The Government reserves the right to reject any or all bids.

This is set aside for Native Owned Businesses.

7. IHS Contracting Officer Responsibility

The Contracting Officer (CO) is the only person with authority to act as an agent of the Government under this contract. The CO is the only individual with the authority to:

1. Direct or negotiate any changes in the scope of work.

2. Modify or extend the period of performance.

3. Change any monetary aspect of the contract.

8. Contracting Officer Representative (COR)

The major responsibility of the COR is to ensure contractor accountability, monitor performance, and assist the Contractor in the resolution of problems encountered during the performance.

The COR, who the CO shall designate in writing, will be responsible for working with the CO in ensuring that Contractor complies with contract requirements. However, the COR does not have the authority to modify or change the terms and conditions of the contract. The COR’s duties will be specifically identified in the COR Appointment Letter issued by the CO at the time of the award.

9. IHS, Invoice Submission Instructions

In compliance with the Office of Management and Budget (OMB) M-15-19 memorandum “Improving Government Efficiency and Saving Taxpayer Dollars Through Electronic Invoicing” directing Federal agencies to adopt electronic invoicing as the primary means to disburse payment to vendors. Invoices submitted under any award resulting from this solicitation will be required to utilize the Invoice Processing Platform (IPP) in accordance with HHSAR 352.232- 71, Electronic Submission and Processing of Payment Requests”

IPP is a secure, web-based electronic invoicing system provided by the U.S. Department of the Treasury’s Bureau of the Fiscal Service, in partnership with the Federal Reserve Bank of St.

Louis (FRSTL). Respondents to this solicitation are encouraged to register an account with IPP if they have not already done so. If your organization is already registered to use IPP, you will not be required to re-register- however, we encourage you make sure your organization and designated IPP user accounts are valid and up to date.

10. Invoice Requirements and Supporting Documentation

Supporting documentation and invoices must be submitted after the product has been shipped out. Changes or corrections shall be submitted by separate invoices. 1. Name and address of the Contractor;

2. Invoice Date and Number;

3. Contract Number, line item number and, if applicable, the order number;

4. Description, quantity, unit of measure, unit price and extended price of the items delivered;

5. Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

6. Terms of any discount for prompt payment offered;

7. Name and address of official to whom payment is to be sent;

8. Name, title, and phone number of person to notify in event of defective invoice; and

9. Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if require elsewhere in this contract.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. (d)(1) The Comptroller General of the United States, an appropriate Inspector General appointed under section 3 or 8 G of the Inspector General Act of 1978 (5 U.S.C. App.), or an authorized representative of either of the foregoing officials shall have access to and right to—

(i) Examine any of the Contractor’s or any subcontractors’ records that pertain to, and involve transactions relating to, this contract; and

(ii) Interview any officer or employee regarding such transactions.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), and (c), of this clause, the Contractor is not required to flow down any FAR clause in a subcontract for commercial products or commercial services, other than—

(i) Paragraph (d) of this clause. This paragraph flows down to all subcontracts, except the authority of the Inspector General under paragraph (d)(1)(ii) does not flow down; and

(ii) Those clauses listed in this paragraph (e)(1). Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
