About this file
This is a Professional Services Agreement (Draft) between the Lee County Port Authority in Fort Myers, Florida, and a consultant selected to provide general planning and environmental services for the Southwest Florida International Airport and Page Field General Aviation Airport on a continuing contract basis. The consultant will serve as the Authority's professional planning and environmental consultant for various projects and provide customary services associated with these roles. The agreement establishes a three-year term from the effective execution date, with the possibility of extending work beyond the expiration date through Contract Amendments or Task Authorizations, provided such extensions do not exceed six months beyond the initial term. All work is contingent upon the execution of written Task Authorizations or Contract Amendments that specify the scope of services, compensation, and delivery schedules. No work shall commence until the consultant receives a fully executed copy of the agreement and a signed Task Authorization form.
Compensation is structured on a lump-sum basis or not-to-exceed (N.T.E.) amounts as specified in individual Task Authorizations, with monthly invoicing for work-in-progress based on percentage completion. The consultant must maintain professional liability insurance with limits of not less than $2,000,000 per claim and $2,000,000 annual aggregate, plus additional coverages including commercial general liability, automobile liability, workers' compensation, and pollution liability insurance. The consultant is responsible for accurate construction cost estimates within plus or minus ten percent (10%) of actual construction costs; if bids exceed estimates by more than five percent (5%), the consultant must modify the design and specifications at no additional cost or forfeit the cost of preparing the estimate. The Authority retains the right to terminate the agreement for convenience with thirty days' notice, limiting the consultant's recovery to earned fees and reasonable termination costs, or for cause with seven days' notice. The agreement is governed by Florida law and the consultant must comply with all federal, state, and local requirements, including FAA regulations, nondiscrimination provisions, E-Verify requirements, and public records obligations.
