The selected supplier shall not assign, transfer, or subcontract any interest in the electricity supply services contract without the express prior written approval of the College.
The selected firm shall not discriminate in its hiring practices against any employee or applicant because of age, race, religion, color, gender, sexual orientation, disability, marital status, or national origin; and be able to demonstrate compliance with affirmative action programs.
No communication should be had with the Board of Trustees, College employees, employees of the auxiliary services organization (Faculty Student Association, Inc.), its Foundation, or
Schenectady County concerning this solicitation in any manner other than by written inquiry to purchasing@sunysccc.edu.
All materials submitted in response to an RFQ will become the property of SUNY Schenectady and will be returned only at SUNY Schenectady’s option and at the expense of the bidder. One copy of each quote will be retained for SUNY Schenectady’s official files.
3. DISCLAIMERS
SUNY Schenectady reserves the right to withdraw this RFQ at any time and for any reason, and to issue such clarifications, modifications, and/or amendments, as it may deem appropriate.
Receipt of Quote materials by SUNY Schenectady or submission of a quote to the College confers no rights upon the offeror nor obligates SUNY Schenectady in any manner. The College reserves the right to waive non-material irregularities in quotes, if such action is in the best interest of SUNY Schenectady. Any such waiver shall not modify remaining RFQ requirements or excuse the offer from full compliance with the RFQ specifications and other contract requirements if the offer is awarded the contract.
3. ERRORS IN THE RFQ
If a bidder discovers any ambiguity, conflict, discrepancy, omission, or other error in the RFQ, the bidder should immediately provide SUNY Schenectady with written notice of the problem and request that the RFQ be clarified or modified. Without disclosing the source of the request, the College may modify the document prior to the date fixed for submission of quotes by issuing an addendum and advising all those to whom the RFQ was provided.
If prior to the date fixed for submissions, a bidder knows of or should have known of an error in the RFQ but fails to notify SUNY Schenectady of the error, the bidder shall provide a quote at its own risk, and if, awarded the contract, shall not be entitled to additional compensation or time by reason of the error or its later correction.
5. ADDENDA

6. QUESTIONS REGARDING THE RFQ
Questions regarding this solicitation should be sent to purchasing@sunysccc.edu. All inquiries should include the title and number of the solicitation in the subject line. All questions and answers will be published in the form of an addendum. No communication should be had with
SUNY Schenectady, its employees, agents, or assigns concerning this solicitation in any other manner than by written inquiry to this email address.
Contact with SUNY Schenectady personnel in connection with this RFQ may not be made other than as specified in this RFQ. Unauthorized direct or indirect contact with any college personnel may be cause for rejection of a quote.
All questions and answers regarding the RFQ will be shared with all bidders known to be interested in submitting a quote. If a question relates to a proprietary aspect of its quote and the question would expose proprietary information if disclosed to competitors, the bidder may submit the question in writing, conspicuously marking it as “CONFIDENTIAL.” With the question, the bidder must submit a statement explaining why the question is confidential. If
SUNY Schenectady agrees that the disclosure of the question or answer would expose proprietary information, the question will be answered, and both the question and answer will be kept in confidence. If SUNY Schenectady does not agree regarding the proprietary nature of the question, the question will not be answered in this manner, and the bidder will be notified.
Prior to contract award, SUNY Schenectady may contact the bidder for clarification of any portion of its quote.
7. WITHDRAWAL AND RESUBMISSION/MODIFICATION OF QUOTES
A quote may be withdrawn at any time prior to the deadline for submitting quotes by notifying
SUNY Schenectady in writing of its withdrawal. The notice must be signed by the Bidder. The
Bidder may thereafter submit a new or modified quote, provided that it is submitted to SUNY
Schenectady no later than the deadline. Modifications offered in any other manner, oral or written, will not be considered. Quotes cannot be changed or withdrawn after the deadline.
8. BID DEADLINE
Quotes must be received by the Division of Administrative Services of SUNY Schenectady no later than the deadline date and time stated in the timetable above. Any quote received after this time will not be considered and will be rejected or returned to the Bidder. The College reserves the right to postpone the quote deadline for any reason.
Brokers may submit multiple supplier quotes. Each must be separate, complete, and will be independently considered. Award shall be made to the lowest responsive and responsible bidder in accordance with Attachment 4. Multiple submissions confer no advantage.
SUNY Schenectady Electricity Supply, RFQ 2026-08 9 of 34
9. DUPLICATE SUPPLIER SUBMISSIONS AND BROKER REPRESENTATION
In the event that multiple quotes are submitted by different brokers, agents, or authorized representatives for the same electricity supplier, and such quotes contain identical or substantially identical pricing, products, contract terms, and service offerings, the College reserves the right, at its sole discretion, to:
• Treat such quotes as a single supplier offering;
• Request clarification from the supplier regarding its authorized representative(s);
• Request the supplier to identify or designate a single representative for purposes of contract administration;
• Award to the bidder whose complete responsive quote was first received by the College;
• Require disclosure of all broker relationships associated with the submitted quotes; or
• Reject duplicate submissions that provide no material distinction in pricing or terms.
Nothing herein shall limit the College's right to:
• Contract directly with the electricity supplier;
• Verify the authority of any broker, agent, or representative to submit a quote on behalf of a supplier;
• Determine whether multiple quotes are substantially identical; or
• Reject any or all quotes in accordance with the provisions of this RFQ.
For purposes of this section, the determination of whether quotes are substantially identical, the resolution of duplicate supplier submissions, and the selection of the successful bidder shall be made solely by the College, whose determination shall be final.
10. DEBRIEFING OF UNSUCCESSFUL BIDDERS/PROTESTS
Upon request, a debriefing conference will be scheduled with an unsuccessful Bidder. The request for a debriefing conference should be sent to purchasing@sunysccc.edu with the words
“Request for Debriefing” in the subject line within five (5) business days after the notification that the quote was unsuccessful has been emailed to the bidder. The debriefing must be held within seven (7) business days of the request, unless otherwise agreed to by the parties, except that the request will be stayed pending negotiations of the final agreement with the successful
Bidder. Discussion will be limited to a critique of the requester’s quote. Comparisons between quotes or reviews of the other quotes will not be allowed. Debriefing conferences may be conducted in person, Microsoft Teams, or on the telephone and will be scheduled for no more than one hour.
11. REJECTION OF QUOTES
SUNY Schenectady reserves the right in its sole discretion to reject any or all quotes in whole or in part, without incurring any cost or liability whatsoever. All quotes will be reviewed for completeness. If a quote fails to meet material requirements of the RFQ, if it is incomplete, or contains irregularities, the quote may be rejected.
SUNY Schenectady Electricity Supply, RFQ 2026-08 10 of 34
Material deviations may cause a quote to be rejected. SUNY Schenectady may or may not waive an immaterial deviation in a quote. The College’s waiver of an immaterial deviation will in no way modify the RFQ or excuse a bidder from full compliance with the RFQ requirements. A deviation is “material” if it is not in substantial accord with RFQ requirements.
Quotes containing false or misleading statements may be rejected if in SUNY Schenectady’s opinion the information was intended to mislead the College regarding a requirement of the
RFQ.
12. AWARD AND EXECUTION OF CONTRACT
Upon the Board’s adoption of a resolution awarding a contract for electricity supply service, a written notice of contract award will be sent electronically to the awardee and a contract will be executed.
No contract or agreement, express or implied, shall exist or be binding on SUNY Schenectady before the execution of a written contract by both parties. If the successful bidder fails to execute a contract consistent with the requirements of this RFQ within the timeframe established by the
College, the College may reject the quote and proceed to the next lowest responsive and responsible bidder or take any other action permitted by law.
13. CONTRACT TERM
The term of the contract shall be for either three (3) years or five (5) years, at the discretion of the College, at the cost set forth in the quote; however, final pricing may be adjusted based on market conditions at the time of the Award, adjustments are limited to the lesser of: (a) documented market change over four weeks or (b) ±5% of proposed $/kWh.
The ±5% pricing tolerance applies only during the four-week pricing hold period contemplated by the RFQ. If market pricing changes by more than 5% during that period, the College reserves the right not to proceed with an award based on the submitted quote. Qualifying regulatory, statutory, transmission, and public-policy cost changes occurring after the Quote submission date are treated separately and are not subject to the ±5% limitation, provided such adjustments comply with all requirements answered and stated in a previous question and are passed through at actual cost without markup. Current known costs as of the quote submission date must be included in the bidder's proposed fixed price.
Supplier contract governs but must comply with RFQ. No additional costs allowed. RFQ prevails in case of conflict.
14. NOTICE
Where written notice is required in this RFQ, the notice must be sent by both U.S. mail and by electronic mail, unless otherwise specified by SUNY Schenectady.
Notice to SUNY Schenectady shall be to:

15. PUBLICITY
No bidder shall issue any public announcements concerning SUNY Schenectady or this RFQ without the prior written consent of the college. News releases pertaining to the award of any contract resulting from the procurement may not be made without the prior written approval of
SUNY Schenectady.
16. USE AND RELEASE OF BIDDER SUBMISSIONS
All materials submitted by the Bidder become the property of SUNY Schenectady and may be returned to Bidder at its sole discretion. One copy of each Quote will be retained for the college’s official files. Submissions may be reviewed and evaluated by any person, other than one associated with a competing Bidder, designated by SUNY Schenectady.
17. FREEDOM OF INFORMATION LAW
SUNY Schenectady is required to comply with the New York State Freedom of Information Law
(Public Officer’s Law Article 6). Should any member of the public request a copy of a Quote or

ATTACHMENT 1: SCOPE OF SERVICES
Introduction This RFQ solicits quotes from qualified, responsive, and responsible electricity suppliers and brokers to provide fixed-price electricity supply. Pricing shall be firm, fixed, and all-inclusive on a $/kWh basis for each 3-year and 5-year term.
The selected supplier(s) shall provide electricity supply, account management, coordination with utilities, and customer service support.
SUNY Schenectady prefers dual billing, with National Grid continuing to provide delivery service billing and the selected electricity supplier providing separate billing for electricity supply charges. Bidders should clearly describe their billing process and invoice format in their quotes.
Under the College's preferred dual-billing arrangement, National Grid will invoice the College separately for delivery charges and the selected supplier will invoice the College for electricity supply charges. Payment terms for supplier invoices shall be Net 30 days following receipt of a proper invoice, unless otherwise mutually agreed upon during contract negotiations.
The College intends for additions or removals of meters associated with normal facility operations, acquisitions, dispositions, relocations, or utility account changes to be accommodated at the contracted pricing without repricing, penalties, or additional fees. However, the College reserves the right to discuss implementation details with the successful bidder should extraordinary circumstances occur that materially alter the nature or size of the portfolio.
SUNY Schenectady's current electric supplier is Constellation NewEnergy, Inc.
Service Territory The College’s accounts are located within NYISO Zone F National Grid (Niagara Mohawk /
NIMO), and quotes must reflect pricing and delivery consistent with this zone and utility structure.
Broker Compensation and Fee Structure The College shall not be responsible for broker fees. Compensation must be paid by supplier and embedded in $/kWh. No separate fees are allowed. Broker authorization may be required with no financial obligation.
Pricing Validity and Market Conditions Electricity is a market-based commodity subject to fluctuation. Pricing submitted is for Review purposes. A period of up to four (4) weeks may occur between quote submission and award.
Suppliers must refresh pricing at time of execution consistent with their proposed structure.
SUNY Schenectady Electricity Supply, RFQ 2026-08 14 of 34
Market Price Adjustment Mechanism Award shall be based on proposed pricing; however, final pricing may be adjusted based on market conditions. Adjustments must reflect verifiable wholesale market changes, maintain structure, and not introduce new costs. Adjustments are limited to the lesser of: (a) documented market change over four weeks or (b) ±5% of proposed $/kWh.
For clarity, this prohibition on new costs includes, without limitation, any adjustments arising from changes in law, regulatory actions, ISO or utility charges, or market structure changes.
Fixed Price Integrity All pricing under this RFQ shall remain firm, fixed, and all-inclusive for the full contract term following execution. Suppliers shall not introduce or apply any additional charges, adjustments, or cost components after contract execution, including but not limited to regulatory changes, ISO or utility charges, changes in law, or market structure changes, except as expressly permitted under the Market Price Adjustment Mechanism prior to contract award.
This requirement applies regardless of any supplier contract language or industry practice.
Current CES-related costs and regulatory obligations known as of the quote submission date shall be included in the bidder's proposed fixed $/kWh price.
The College will consider alternative product structures if the pricing methodology and all adjustable components are clearly disclosed. Bidders should note that the College's preference remains for firm, fixed, all-inclusive pricing except for the limited regulatory, statutory, transmission, and public-policy cost adjustments
Certain qualifying charges, including but not limited to NTAC, PPT, CES-related components, and successor programs, may be adjusted during the contract term, provided such adjustments comply with the requirements set forth in the Addendum and are passed through at actual cost without markup, profit, administrative fee, broker fee, or other adder.
Load and Usage Disclaimer The College’s current estimated annual electricity usage is approximately 5,500,000 kWh, served across nine (9) electric meters. This information is provided for reference only and is not guaranteed. Normal variations in usage, load profile, or seasonal demand shall not justify repricing.
The College reserves the right to add or remove meters and associated load during the term of the contract due to acquisition, disposition, or changes in facilities. Any such additions or removals shall be incorporated into the agreement at the contracted $/kWh rate, without penalty, repricing, or additional fees. The College reserves the right to discuss implementation details if extraordinary circumstances materially alter the size or nature of the portfolio.
SUNY Schenectady Electricity Supply, RFQ 2026-08 15 of 34
Transition SUNY Schenectady may require the Successful Bidder to provide uninterrupted services after contract termination/expiration in order to transition to a subsequent electricity supply provider.
At all times during the transition period and unless directed otherwise in writing by SUNY
Schenectady, the Successful Bidder shall continue all contractual obligations set forth in the
Contract until such time as an orderly transition of operations to the college or a third party has taken place. The Successful Bidder shall be required to meet its contractual obligations pursuant to this paragraph notwithstanding the issuance of a termination for cause or convenience.
Within fifteen (15) days of the giving of a notice of termination as set forth in the Contract or three
(3) months prior to the end of the term of the Contract, whichever event occurs first, the Successful
Bidder shall provide for approval by SUNY Schenectady a detailed written plan for Transition
(Transition Plan) which outlines, at a minimum, the tasks, milestones and deliverables associated with the smooth transition of Project Services to the college or the successor contractor. Successful
Bidder agrees to amend the Transition Plan to include all other information deemed necessary by
SUNY Schenectady.
“Transition Services” shall be deemed to include Contactor’s responsibility for all tasks and services outlined in the Contract, and for transferring in a planned manner specified in the
Transition Plan all tasks and services to SUNY Schenectady or the successor contractor. It is expressly agreed between the parties that the level of service during the transition period shall be maintained in accordance with and shall be subject to all the terms and conditions of the Contract, provided, however, that where, during the transition period, tasks or services are transitioned to or assumed SUNY Schenectady or the successor contractor. Contractor shall not be held responsible for the negligent acts or negligent omissions of SUNY Schenectady or the successor contractor or for service degradation resulting from the negligent omissions of SUNY Schenectady or the successor contractor.
Contractor shall be compensated for services performed during the transition period at the rates set forth in the Contract.
