The Government intends to establish a single-award Firm-Fixed Price (FFP) Blanket Purchase Agreements (BPAs) as a result of this solicitation, in accordance with FAR 13.303 and FAR 16. This BPA will be used to furnish the Eastern Laboratory (EL), Midwestern Laboratory (ML), and Western Laboratory with industrial gases.

The Government anticipates recurring requirements for Argon, Helium, Nitrogen, Oxygen, Hydrogen, Methane, Compressed Air, and Blood Gas on a routine and emergency basis. The use of a BPA will allow the Government to place firm-fixed-price Call Orders for specific industrial gases over the term of the agreement.

The BPA is anticipated to have a period of performance for five (5) consecutive years from the effective date of the award, unless earlier terminated. The Contractor shall deliver industrial gases, on a Firm-Fixed- Price basis, to the Food Safety and Inspection Service (FSIS) Eastern Laboratory (EL), Midwestern Laboratory (ML), and Western Laboratory in the accordance with the attached Statement of Work.

Call Orders will be issued under the BPA at fixed prices agreed upon at the time of the BPA establishment.

Call Orders shall reflect the agreed-upon prices for that specific year. No minimum guaranteed quantity is implied or stated.

C - Description/Specifications

The contactor shall furnish the Eastern Laboratory (EL), Midwestern Laboratory (ML), and Western Laboratory with industrial gases including Argon, Helium, Nitrogen, Oxygen, Hydrogen, Methane, Compressed Air, and Blood Gas on a routine and emergency basis. The Contractor shall, without additional expense to FSIS, be responsible for obtaining any necessary licenses and permits, and for complying with any applicable Federal, state and local laws, codes, and regulations in connection with the execution of the work.

Ordering Procedures

1. Any supplies and services to be furnished under this BPA shall be ordered by issuance of Call Orders by the individuals or activities designated in the Schedule. Such orders may be issued from "Award Date" through five (5) consecutive years.

(a) All Call Orders are subject to the terms and conditions of this BPA. In the event of conflict between a Call Order and the BPA, the BPA shall control.

(b) A Call Order is considered "issued" if sent electronically, the Government either-

(i) Posts a copy of the Call Order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the Call Order via email to the Contractor's email address.

2. No minimum guarantee or ceiling amount applies to the BPA resulting from this solicitation. The Government is obligated only to the extent of authorized purchases actually made via issuance of Call Orders under the BPA.

D - Packaging and Marking

The Contractor shall package, mark, label and placard all items in such a manner that all applicable federal, state, and local EPA and DOT regulations are met. Packaging, shipping names, marking, labeling, placarding, etc., under the terms of this contract will be in accordance with 49 CFR and 40 CFR. If items must be packaged for proper shipment, the contractor shall perform such repackaging and furnish all required materials. When repackaging is necessary, the contractor shall be responsible for disposal of the original container and placarding in a manner that complies with all applicable federal, state, and local EPA and DOT regulations.

E - Inspection and Acceptance

The Contracting Officer or the Contracting Officer's Representative (COR) will inspect and accept the supplies and/or services to be provided under this contract.

Inspection and acceptance will be performed at the FSIS Laboratory being serviced.

• Upon notice, gas cylinders will need to instead be delivered to USDA FSIS Midwestern Lab, 7654 Natural Bridge Road, St. Louis, MO 63121

• Deliveries are accepted Monday to Friday 7:30am to 4pm.

• Entry to the facility is through the front gate. The guard will grant access to the loading dock through the back gate.

• Valid Driver's License required for entry

Eastern Laboratory Delivery Instructions-

• Gas cylinders are to be delivered to the USDA FSIS Eastern Laboratory Chemistry Department

• Located on the 6th floor of the Russell Research Center.

• Deliveries will only be accepted between the hours of 8:30 am and 3:00 pm

• Entry to the facility is through the rear of the main building (RRC). The driver must use the intercom system to gain access.

• Valid Driver's License required for entry

Western Laboratory Delivery Instructions-

• Gas cylinders are to be delivered to USDA FSIS Western Laboratory's Sample and Receiving department located on the ground floor of the Western Regional Research Center

F.5 Legal Holidays

CONTRACTING OFFICER (JAN 2012)

The Contracting Officer (CO) has the overall responsibility for the administration of this contract. The CO alone, without delegation, is authorized to take actions on behalf of the Government to amend, modify or deviate from the contract terms, conditions, requirements, specifications, details and/or delivery schedules;

issue task orders against the contract; make final decisions on disputed deductions from contract payments for nonperformance, or unsatisfactory performance; terminate the contract for convenience or default; and issue final decisions regarding contract questions or matters under dispute. However, the CO may delegate certain other responsibilities to the Contracting Officer's Representative (COR). All delegated duties will be specified in writing by the Contracting Officer.

The COR shall be responsible for administering the performance of work under this contract. In no event, however, will any understanding, agreement, modification, change order, or other matter deviating from the terms of this contract be effective or binding upon the Government unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of the contract.

The Contracting Officer shall be informed as soon as possible of any actions or inactions by the Contractor or the Government which will change the required delivery or completion times stated in the contract, and the contract shall be modified accordingly.

On all matters that pertain to the contract terms, the contractor shall communicate with the Contracting Officer. Whenever, in the opinion of the Contractor, the COR requests effort outside the scope of the contract, the contractor shall so advise the COR. If the COR persists and there still exists a disagreement as to proper contractual coverage, the Contracting Officer shall be notified immediately, preferably in writing if time permits. Proceeding with work without proper contractual coverage may result in nonpayment or necessitate submittal of a contract claim.

The COR shall be responsible for initiating the Contractor Performance Assessment Report (CPAR) for awards over the simplified acquisition threshold of $250K to document contractor's performance during the period of performance 14 days after completion of services or delivery of goods.

ELECTRONIC INVOICING AND PAYMENT REQUIREMENTS - INVOICE PROCESSING

PLATFORM (IPP) (APR 2013)

Effective May 6, 2013, payment requests must be submitted electronically through the U.S. Department of the Treasury's Invoice Processing Platform (IPP).

"Payment Request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions' Commercial Items included in commercial item contracts. (d)Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. As used in this provision-

Commercial and Government Entity (CAGE) code means-

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity by unique location; or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. (a) Definitions. As used in this provision-

Commercial and Government Entity (CAGE) code means-

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity by unique location; or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

L.1 General Instructions

The U.S. Department of Agriculture (USDA), Food Safety and Inspection Service (FSIS), is seeking a qualified contractor to supply ultra-high purity (UHP) industrial gases, including Argon, Helium, Nitrogen, Oxygen, Hydrogen, Methane, Compressed Air, and Blood Gas to FSIS Eastern Laboratory (EL), Midwestern Laboratory (MWL), and Western Laboratory (WL). The BPA will support both scheduled deliveries and emergency orders with defined delivery windows of 24 to 48 hours. Offerors shall provide complete documentation demonstrating their technical capability, pricing structure, and performance history.

The government intends to establish a Firm-Fixed Price, Single-Award Blanket Purchase Agreements (BPAs) for a base period of five (5) consecutive years, to support FSIS laboratories and facilities nationwide.

This acquisition is being conducted in accordance with FAR Parts 12 and 13 (Commercial and Simplified Acquisition Procedures).

Offerors are required to complete FAR provision 52.212-3, and other required reps/certs in SAM.gov.

Offerors must submit complete quotes electronically to Contract Specialist by the due date and time listed in the solicitation. Late submissions will not be considered.

L.2 Quote Format and Content

Format

Quotes shall consist of two (2) Volumes:

Volume I - Technical (15-page limit, excluding appendices)

1. Technical Subfactor 1.1 - Gas Quality and Purity Standards

- Identify and describe the purity levels for each offered gas type (e.g., UHP 99.999% purity)

- Submit representative Certificates of Analysis (COAs) for each gas proposed

- Explain quality assurance and quality control (QA/QC) procedures, including calibration gas capabilities, contamination controls, and traceability.

- List any relevant industry certifications (e.g. ISO 90001, Compressed Gas Association (CGA) standards)

Subfactor 1.2 - Delivery Capability

- Describe processes for fulfilling:

- Routine deliveries to three designated laboratory locations

- Emergency orders within 24 to 48 hours, including after-hours and weekend availability

- Detail logistics infrastructure and delivery fleet readiness

- Explain order tracking and communication protocols with Government points of contact.

Subfactor 1.3 - Tank Leasing and Equipment Support

- Provide information on availability and terms for leased or loaned tanks

- Describe tank condition assurance, inspection schedules, and safety certifications

- Include methods for tracking tank usage, returns, and replacements

Subfactor 1.4 - Safety and Regulatory Compliance

- Describe compliance with applicable state and federal regulations (e.g. Occupational Safety and Health Administration (OSHA), Department of Transportation (DOT), Environmental Protection Agency (EPA))

- Provide evidence of safety training for personnel and incident response protocols

- Include Safety Data Sheets (SDSs) for all proposed gases

2. Past Performance

- Describe company experience in providing high-purity gases to Government or commercial labs.

- Include at least three (3) contracts within the past five (5) years that are relevant and similar in size and scope.

- For each reference, include: customer name, contract number, contract value, period of performance, scope of work, and contact information.

Volume II - Pricing

The Offeror shall provide a complete price build up for the Period of Performance that includes and clearly identifies all labor, and other costs, which must reconcile with the offered prices. Pricing shall be identified for the entire period of performance, five (5) consecutive years. Certified cost and pricing data is not required to be submitted part of the Volume II Cost/Pricing.

• Firm fixed unit prices for each gas type and purity grade

• Pricing for routine deliveries and emergency response services

• Tank rental pricing (if separate) and applicable surcharges or fees

• Delivery Charges (routine and emergency)

• Identify any volume-based discounts or tiered pricing models

• Price list of any ancillary equipment or services

L.3 Site Visit / Locations

The Government does not anticipate site visits at this time. FSIS laboratories may be geographically dispersed, including remote sites.
