DEC 2022

52.216-1 Type of Contract

Type of Contract (Apr 1984)

The Government contemplates award of a Firm Fixed Price (FFP) contract resulting from this solicitation.

(End of provision)

52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract.

These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days [insert the period of time within which the Contracting Officer may exercise the option].

(End of clause)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days [60 days unless a different number of days is inserted] before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 6 months (months)(years).

Document Number: 05GA0A25Q0002 Page 7 of 14

(b) Except as provided in the Act, all disputes arising under or relating to this contract shall be resolved under this clause.

(c) Claim, as used in this clause, means a written demand or written assertion by one of the contracting parties seeking, as a matter of right, the payment of money in a sum certain, the adjustment or interpretation of contract terms, or other relief arising under or relating to this contract. However, a written demand or written assertion by the Contractor seeking the payment of money exceeding $50,000 is not a claim under the Act until certified. A voucher, invoice, or other routine request for payment that is not in dispute when submitted is not a claim under the Act. The submission may be converted to a claim under the Act, by complying with the submission and certification requirements of this clause, if it is disputed either as to liability or amount or is not acted upon in a reasonable time.

(d)(1) A claim by the Contractor shall be made in writing and, unless otherwise stated in this contract, submitted within 6 years after accrual of the claim to the Contracting Officer for a written decision. A claim by the Government against the Contractor shall be subject to a written decision by the Contracting Officer.

(d)(2)(i) The Contractor shall provide the certification specified in paragraph (d) (2) (iii) of this clause when submitting any claim exceeding $50,000.

(ii) The certification requirement does not apply to issues in controversy that have not been submitted as all or part of a claim.

(iii) The certification shall state as follows: "I certify that the claim is made in good faith; that the supporting data are accurate and complete to the best of my knowledge and belief; that the amount requested accurately reflects the contract adjustment for which the Contractor believes the Government is liable; and that I am duly authorized to certify the claim on behalf of the Contractor."

(d)(3) The certification may be executed by any person duly authorized to bind the Contractor with respect to the claim.

(e) For Contractor claims of $50,000 or less, the Contracting Officer must, if requested in writing by the Contractor, render a decision within 60 days of the request. For Contractor-certified claims over $50,000, the Contracting Officer must, within 60 days, decide the claim or notify the Contractor of the date by which the decision will be made.

(f) The Contracting Officer's decision shall be final unless the Contractor appeals, within 90 days of receipt of a contracting officer’s decision, to the Government Accountability Office Contract Appeals Board, 441 G Street, N.W., Room 7182, Washington, D.C.

20548; Facsimile: 202-512-9749; E-Mail: CAB@gao.gov.

(g) If the claim by the Contractor is submitted to the Contracting Officer or a claim by the Government is presented to the Contractor, the parties, by mutual consent, may agree to use alternative dispute resolution (ADR). If the Contractor refuses an offer for ADR, the Contractor shall inform the Contracting Officer, in writing, of the Contractor's specific reasons for rejecting the offer.

(h) The Government shall pay interest on the amount found due and unpaid from (1) the date that the Contracting Officer receives the claim (certified, if required); or (2) the date that payment otherwise would be due, if that date is later, until the date of payment.

With regard to claims having defective certifications, as defined in FAR, 48 CFR 33.201, interest shall be paid from the date that the Contracting Officer initially receives the claim. Simple interest on claims shall be paid at the rate, fixed by the Secretary of the Treasury as provided in the Act, which is applicable to the period during which the Contracting Officer receives the claim and then at the rate applicable for each 6-month period as fixed by the Treasury Secretary during the pendency of the claim.

(i) The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under the contract, and comply with any decision of the Contracting Officer.

Alternate I. As prescribed in 33.215, the contracting officer does substitute the following paragraph (i) for paragraph (i) of the basic clause:(i) The Contractor shall proceed diligently with performance of this contract, pending final resolution of any request for relief, claim, appeal, or action arising under or relating to the contract, and comply with any decision of the Contracting Officer.

52.235-73 GAO 52.235-73 Confidentiality of GAO Data (APR 1984)

Because of the sensitivity and confidentiality of much of the data handled by GAO, the contractor shall maintain documents, data, and other information supplied to it by the GAO, in accordance with all applicable Federal guidelines and regulations. Also, specific

Document Number: 05GA0A25Q0002 Page 8 of 14

CLINs under this contract may involve processing records or portions of records which GAO treats as confidential, and contain information subject to the GAO Privacy Procedures for Personnel Records, 4 C.F.R. Part 83.

The contractor assumes full responsibility for and guarantees the security of all documents, data, and other information supplied by GAO. No action taken by, or on behalf of, the contractor, or which the contractor could prevent, will be permitted if the effect is or could reasonably be foreseen to undermine GAO's ability to maintain the security of records created by GAO or which may be subject to the GAO Privacy Procedures.

The contractor will prevent any person other than the Contractor’s team members (or other persons for whom access is necessary for the completion of the contract) from seeing or having access to information in the possession or under the control of the contractor.

The contractor will prevent any person from disclosing the contents of description of documents or information to any person not authorized under this contract or by the GAO to have access to such documents or information.

The contractor will prevent removal of any documents or information from the Contractor’s premises without authorization by appropriate GAO officials. The contractor shall execute a Non-Disclosure Agreement, if applicable.. The contractor agrees to include similar requirements in any subcontracts which it may enter into regarding or supporting work under this contract and furnish the contracting officer one copy of each subcontractor employees’ non-disclosure agreement which must be signed by an authorized contractor administrator.

The contractor will report to the GAO Contracting Officer any breach of confidence by any person as soon as the breach is known.

The contractor shall assure that all persons handling GAO confidential or sensitive materials has signed the GAO Non-Disclosure Agreement.

The contractor agrees that no contractor or subcontractor employee will be given access to GAO documents or other records unless that employee shall have first executed a Non-Disclosure Agreement. A Non-Disclosure Agreement, whether submitted prior to or after the award of this contract, shall be binding with regard to information obtained at any time throughout the period of performance of this contract. All Non-Disclosure Agreements are binding indefinitely unless released by a duly authorized official of the GAO. A contractor or subcontractor employee whose employment is continuous need not execute a new Agreement if his assignment to work related to this contract terminates but later resumes.

Any deviation from provisions of this clause which is attributable to the contractor or to persons allowed on the CONTRACTOR'S premises constitutes a material breach of confidentiality and may be sufficient ground for default. Further, the contractor agrees to save the Government harmless in the amount of any judgment against the United States resulting from such a breach. At the Comptroller General's option, the contractor shall assign all of his rights of action against any person to the United States. Disclosure in violation of the Privacy Procedures also may involve the imposition of criminal penalties. To the extent this contract provides for the operation, on behalf of the GAO, of a system of records to accomplish an agency function, it shall be subject to the requirements of any GAO Order or regulations pertaining to privacy procedures.

52.243-70 GAO 52.243-70 Notification of Changes

Definitions: "Contracting Officer," as used in this clause, does not include any representative of the Contracting Officer: "Contracting Officer's Representative (COR)," as used in this clause, means any person the Contracting Officer has so designated by written notice (a copy of which shall be provided to the Contractor) which shall refer to this subparagraph and shall be issued to the designated representative before the COR exercises such authority.

Notice: The primary purpose of this clause is to obtain prompt reporting of Government conduct that the Contractor considers constituting a change to this contract. Except for changes identified as such in writing and signed by the Contracting Officer, the Contractor shall notify the Contracting Officer in writing promptly, within 15 calendar days from the date that the Contractor identifies any Government conduct (including actions, inactions, and written or oral communications) that the Contractor regards as a change to the contract terms and conditions. On the basis of the most accurate information available to the Contractor, the notice shall state:

1) The date, nature, and circumstances of the conduct regarded as a change;

2) The name, function, and activity of each Government individual and Contractor official or employee involved in or knowledgeable about such conduct;

3) The identification of any documents and the substance of any oral communication involved in such conduct; and 4) In the instance of alleged acceleration of scheduled performance or delivery, the basis upon which it arose.

2 Evaluation for Award and Basis for Award

Vendors should ONLY submit information explicitly requested in this RFQ. Vendors who respond to this RFQ acknowledge and agree to all the instructions, procedures, terms, and clauses described in this RFQ.

Overview Quotations will be evaluated based on the criteria listed below. Failure to follow the instructions may result in the quotation being removed from further consideration for award. Vendors are cautioned not to include assumptions, caveats, or exceptions within any part of their submission. Inclusion of assumptions, caveats, or exceptions to the requirement of any kind may result in the quotation no longer being considered. Vendors should ONLY submit information explicitly requested in this RFQ. Vendors who respond to this RFQ acknowledge and agree to all the instructions, procedures, terms, and clauses described in this RFQ.

Lowest Price Technically Acceptable GAO intends to issue an award on a Lowest Price Technically Acceptable (LPTA) basis to the responsible Vendor who provides the LPTA. GAO will determine first which vendor’s price quotation has the lowest price that complies with the solicitation requirements and then, determine if that vendor also submitted a technically acceptable quotation. If the vendor is deemed technically acceptable, Document Number: 05GA0A25Q0002 Page 14 of 14

GAO will award to that vendor. Should the vendor with the lowest price that complies with the solicitation requirements be deemed technically unacceptable, GAO will move to the next vendor with the lowest price that complies with the solicitation requirements. If necessary, this evaluation approach will continue until the vendor is deemed technically acceptable.

NOTE: Quotations will first be reviewed to ascertain whether they have been submitted in accordance with the instructions to vendors before being evaluated against the criteria identified below:

Non-Price Factor Did the vendor’s quotation state they would meet the specified requirements in the RFQ Instructions to Vendors and Attachment A - Statement of Work?

Price Factor Did the Vendor provide pricing for the corresponding CLIN to be eligible for award?

Basis for Award

The Government anticipates selecting an awardee based upon initial quotations received; therefore, vendors are cautioned to submit their best price quotations in the initial submission. All quotations received will be fairly considered and award will be made in accordance with the evaluation criteria in this RFQ. The basis of award will be made to the responsible Vendor who complies with the RFQ instructions, criteria, and provides the lowest price.
