PART II – SUPPLIES OR SERVICES AND PRICES/COST
2.1 BRIEF DESCRIPTION OF SERVICES: The U. S. Department of Housing and Urban Development (HUD), Office of Healthcare Programs located in Washington, D.C., requires the services of a Contractor to provide project management, loan insurance underwriting, loan closing and monitoring after loan closing/post-loan closing administration for FHA loans under Sections 232/223(f) refinancing or purchase of existing residential care facilities and 232/223(a)(7) refinancing of FHA insured mortgages.
2.2. ACQUISTION APPROACH: This acquisition will utilize a competitive 8(a) small business approach using the policies and procedures of Federal Acquisition Regulation (FAR) Part 15 - Contracting by Negotiation in conjunction with the policies and procedures of FAR Part 12 - Acquisition of Commercial Products and Commercial Services, and FAR Subpart 19.8 - Contracting with the Small Business Administration (The 8(a) Program). The selected Contractor shall fully comply with all the specifications, clauses and terms and conditions of the federal schedule. In addition, the selected Contractor must comply with any additional, supplemental terms and conditions and clauses specific to HUD.
2.3. CONTRACT TYPE: A hybrid contract with Firm Fixed Price (FFP) and Fixed Unit Rate (FUR) line items is anticipated.
2.4. NAICS CODE AND SMALL BUSINESS SIZE STANDARD: 524126 – Direct Property and Casualty Insurance Carriers with a small business size standard of 1,500 employees.
2.5. PRODUCT SERVICE CODE (PSC): R710 - Support- Management: Financial.
2.6. PERIOD OF PERFORMANCE: This requirement is for a base period of 1-year (09/29/2022 – 09/28/2023) with four (4) 1-year option periods.
2.7. ADDENDUM: FAR Clause 52.212-1 Instructions to Offerors-Commercial Items contains an addendum.
2.8. SERVICES AND PRICES (BASE PERIOD AND OPTION PERIODS, IF EXERCISED): The Contractor shall provide the services in accordance with Attachment 0001 – Performance Work Statement (PWS) and the contract Line Item Numbers (LINs), See the SF 1449 pages 1-6, and Attachment 0002 - Price Rate Schedule.
As total compensation for all services performed in accordance with the terms, conditions, and specifications stated herein, the Contractor shall be paid according to the awarded Price Schedule as reflected in the Contract. In Attachment 0002 - Price Rate Schedule, the Government requires the Contractor to price out the base and all options.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

FAR 52.217-8 Option to Extend Services (Nov 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor no later than 10 days prior to the expiration of the contract.

As prescribed in FAR 17.208(g), insert the following clause in solicitations and contracts when the inclusion of an option is appropriate (see FAR 17.200 and 17.202) and it is necessary to include in the contract any or all of the following: (1) A requirement that the Government must give the contractor a preliminary written notice of its intent to extend the contract; (2) A statement that an extension of the contract includes an extension of the option; (3) A specified limitation on the total duration of the contract.
FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor no later than 30 days prior to the expiration of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed the period of time set in the Schedule except that extensions pursuant to FAR 52.217-8 permit the duration to extend up to 6 months beyond the stated limit.
