This is the estimate of the additional costs to the State for processing the billing as a stale claim and this amount shall be deducted from the stale claims payment due the contractor.

SECTION XI – INSURANCE REQUIREMENTS

The awarded Vendor must maintain, for the duration of its Contract, insurance coverage as set forth in Attachment E, Insurance Schedule for RFP 3506 executed in response to this RFP. Proposals that are not submitted correctly may be deemed non-responsive at the sole discretion of the State.

Selection will be based on the Evaluation Factors listed in Section IV - Instructions to Vendor, which will be used by a Review Committee to evaluate the Proposals. The Review Committee will be developed in accordance with Nevada Administrative Code (NAC) 333.162, and may include other members representing the public, vendor community, or local entities. The entire committee shall remain anonymous to protect the integrity of the procurement process. The Review Committee will individually review and score the Technical Proposal and then a meeting will be held to discuss their evaluations and determine the final Total Score. The Cost Proposal will remain hidden from the Review Committee and scored using the process outlined in Section IV by the State. After the Technical Proposal scoring has been finalized, the State will allow the Review Committee to inspect the Cost Proposals. The Review Committee may ask for clarification of a Cost Proposal prior to finalizing the Cost Proposal scoring in its sole discretion. Once the Review Committee approves the scoring of the Cost Proposal evaluation, the Technical Proposal score will be combined with the Cost Proposal score to determine the final Total Score.

Financial stability will be a pass/fail evaluation based on the intended awarded Vendors ability to obtain the insurance required for the Contract and the ability to obtain an active and in good standing Nevada State Business license.

A Nevada-based business may apply for a five percent (5%) preference on its proposal. To claim this preference a business must submit a Nevada based business qualification letter with its proposal showing that it qualifies for the preference. The letter will be reviewed by the State to determine if the preference will be applied to the Total Score.

The Proposals will be ranked, and a Contract may be negotiated following the selection of a most qualified Vendor. If an acceptable Contract cannot be reached with the highest ranked Vendor, the State may proceed to negotiate with the next highest ranked Vendor, and so on, until an acceptable Contract is negotiated, or the State, in its sole discretion, elects to terminate the solicitation.

SECTION XIII - DISCLOSURE OF CURRENT AND FORMER STATE EMPLOYEES

Each Vendor shall submit, as part of their Proposal, the “Authorization Current Employee” and/or “Authorization Former Employee” form(s) to assist the State in requesting such approval from the BOE. The forms are located at http://purchasing.nv.gov/contracts/empcontracting.

SECTION XIV - AWARD PROCESS

The State shall issue its Notice of Intent in accordance with NAC 333.170. Any award is contingent upon the successful negotiation of final contract terms and upon approval of the BOE, when required. Negotiations shall be confidential and not subject to disclosure to competing Vendors. The terms agreed to by the parties shall be confidential until a Contract is executed. If Contract negotiations cannot be concluded successfully, the State, at its sole discretion and upon written notice to all Vendors, may negotiate a Contract with the next highest-ranking Vendor or withdraw the RFP and cancel this procurement.

SECTION XV - TERMS, CONDITIONS AND EXCEPTIONS

This procurement is being conducted in accordance with NRS Chapter 333, NAC Chapter 333, and SAM Section 300.

The State reserves the right to alter, amend, or modify any provisions of this RFP, or to withdraw this RFP, at any time prior to the award of a Contract pursuant hereto, if, in the sole discretion of the State, it is in the best interest of the State to do so.

The State reserves the right to waive informalities and minor irregularities in Proposals received.

The State reserves the right to reject any or all Proposals received prior to contract award (NRS 333.350).

The State shall not be obligated to accept the lowest priced Proposal but will make an award in the best interests of the State after all factors have been evaluated (NRS 333.335).

Alterations, modifications or variations to a Proposal may not be considered unless authorized by the RFP, or by an addendum or an amendment to the RFP.

Proposals which appear unrealistic in the terms of technical commitments, lack of technical competence, or are indicative of failure to comprehend the complexity and risk of the requirements of this RFP, may be rejected.

All materials submitted in accordance with the prescribed deadline become the property of the State and will not be returned. The State’s selection or rejection of a Proposal does not affect this right. Each Proposal shall be retained for official files and will become public record after execution of a Contract. Only specific parts of the Proposal may be labeled a “trade secret,” provided that the Proposer agrees to defend and indemnify the State for honoring such a designation (NRS 333.333); unsuccessful Proposals containing “trade secrets” will be returned pursuant to NRS 239.010. The failure to label any information shall constitute a complete waiver of any and all claims for damages caused by any release of such information by the State. The State shall not be liable for disclosure or release of information when authorized or required by law to do so pursuant to NRS 239.012.

The awarded Vendor must maintain, for the duration of its Contract, insurance coverage as set forth in the Contract executed in response to this RFP. Work under the Contract shall not begin until after the awarded Vendor has submitted to the State acceptable evidence of the required insurance coverage. Failure to maintain any required insurance coverage or alternative method of insurance acceptable to the State in its sole discretion will be deemed a breach of contract.

Each Proposer must disclose any existing or potential conflict of interest relative to the performance of the contractual services resulting from this RFP. Any such relationship that might be perceived or represented as a conflict must be disclosed. By submitting a Proposal in response to this RFP, each Proposer affirms that they have not given, nor intend to give at any time hereafter, any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor, or service to a public servant or any employee or representative of same, in connection with this procurement. Any attempt to intentionally or unintentionally conceal or obfuscate a conflict of interest will automatically result in the disqualification of a Vendor’s Proposal. An award will not be made where a conflict of interest exists. The State, in its sole discretion, will determine whether a conflict of interest exists and whether it may reflect negatively on the State’s selection of a Vendor. The State reserves the right in its sole discretion to impose additional requirements upon the Vendor to mitigate such conflict of interest or to disqualify any Vendor on the grounds of an actual or an apparent conflict of interest.

The State will not be liable for Federal, State, or Local excise taxes.

The State reserves the right to negotiate final Contract terms with any Vendor selected in accordance with NAC 333.170. The Contract between the parties will consist of the final executed Contract, the RFP with any modifications thereto, and the awarded Vendor’s Proposal with any modifications and clarifications thereto that are incorporated at the request of the State during the evaluation and negotiation process. In the event of any conflict or contradiction between or among these documents, the documents shall control in the following order of precedence: the final executed Contract, Amendments to the RFP, the RFP, any modifications and clarifications to the awarded Vendor’s Proposal, and the awarded Vendor’s Proposal. Specific exceptions to this general rule may be noted in the final executed Contract.

The Vendor understands and acknowledges that the representations above are material and important and will be relied on by the State in its evaluation of a Proposal. Any misrepresentation by a Vendor shall be treated as fraudulent concealment from the State of the true facts relating to the Proposal.

No announcement concerning the award of a Contract as a result of this RFP can be made without the prior written approval of the State.

The Nevada Attorney General will not render any type of legal opinion regarding this transaction.

Appeals shall be in writing and sent to the State’s designated representative found on page one of this RFP.

Each Vendor, by submitting its Proposal, expressly recognizes the limitation on its rights to appeal provided in this section and expressly waives all other rights and remedies and agrees that the decision on the appeal is final and conclusive. If a Vendor disregards, disputes, or does not follow the exclusive appeal remedies provided in this section, it shall indemnify and hold harmless the State and its officers, employees, agents, and consultants from and against all liabilities, fees and costs, including legal and consultant fees and costs, and damages incurred or suffered as a result of such Vendor’s actions. Each Vendor, by submitting a Proposal, shall be deemed to have irrevocably and unconditionally agreed to this indemnity obligation.

ATTACHMENT D - SCOPE OF SERVICES

· Tasks within this Scope of Services will include:

· Task 1 – Remove all designated trees from project area, which are identified with at least two blue paint spots on the bole, one on the uphill side and one on the downhill side, and an additional stump mark Activity – Tree falling: hand fell marked trees using chainsaws, directional felling away from leave trees including advanced reproduction. Trees will be felled away from trails, roads. In aspen areas, falling the conifers will damage aspen. Damaged aspen will be cut off at the stump and left tree length in place. Limbing will be done at the log landing. An NDF Forester will be the Project Manager and may approve limbing prior to yarding if limbing will prevent unacceptable damage to residual trees that might occur during yarding. Stump height should be the minimum necessary to safely fell the tree. Maximum stump height is 12 inches unless otherwise agreed. No long butts will be left in the woods unless agreed by the Project Manager. Borax/Sporax application to stump following cutting. Deliverable – 100% of blue marked trees within area designated for cutting are cut and ready for removal. Activity – Yarding will be done by helicopter. Ground skidding equipment may be used in areas approved by the Project Manager, but this activity will be restricted to landings and tree removal associated with temporary road construction. Deliverable –, approximately 1.225 MM board feet based on a preliminary cruise.

· Task 2 – Temporary Road and Landing Construction/Road Maintenance Activity – Landing locations are pre-determined. Clear trees and brush, blade to standard, landing site #1 and landing site #2(if landing #2 is needed). Clear and blade approximately 150 feet of temporary road to access landing #1. Clear and blade approximately 200 feet of temporary road to provide suitable turn radius for access on to North Canyon Road from Landing #1. This section of temporary road will require a metal sheet or other suitable means to bridge a historic ditch so that the integrity of the ditch is maintained. Distance from Landing #1 to Highway 28 is 0.5 miles on native surface. Landing #2 access is via the Kings Canyon Road north off U.S. Highway 50 at Spooner Summit. Minor blading may be necessary on this road if it is used. The landing is located 1.2 miles from the highway. One service landing location is available on State Land 0.7 miles north of U.S. Highway 50 on the Kings Canyon Road. A second service landing site, located on USFS administered land, 400 feet south of Highway 50 at Spooner Summit, may be available but would require approval from the USFS. Both service landings will require rock Deliverable – A minimum of one log landing approximately one acre in size and a second log landing if needed, approximately one acre in size. One service landing that meets industry standards for fuel storage and safe operations. Activity – blading and dust abatement on landings, temporary roads, native surface roads as necessary to meet local standards. Water source is Spooner Lake.

· Task 3 – Transportation Removal of products which may include sawlogs, wood chips, unmerchantable material, firewood etc. Time of use on North Canyon Road may be restricted to specific hours during the day, certain days of the week, depending on the season and recreation use in the State Park. The Project Manager will work with the contractor to coordinate necessary road/area closures in consultation with State Parks. Contractor will get required permits from NDOT for access onto controlled access highways (Highway 28 and Highway 50). Required highway signage, traffic signs on Park and Forest System roads and other appropriate signs at trailheads and entry points to project area will be required to inform public that helicopter logging and tree falling operations are in progress.

Deliverable – All product is removed from project area. Documentation to include tare slips from sawmills or other delivery points. If available, the State would like to get documentation on the weight flown from woods to landing as well. Contractor will provide sufficient signage and personnel to ensure safety of public during operations. Note: Agency may have to agree to area closures.

· Task 4 – Rehabilitation/restoration of landings, temporary roads. Temporary roads will be restored as follows: berms bladed back onto road surface, metal plate used to cross historical ditch, if used, is removed. Landing #1 is the only location with temporary roads, approximately 350 feet. Landing #1will be ripped and berms bladed back onto disturbed area. Landing #2 will be shaped to the original contour and berms will be removed. Compacted flat ground will be ripped. Native surface roads utilized for operations will be watered and bladed to original condition. Any berms created will be removed by blading back onto road surface. Service landing rock will remain in place. Deliverable – System roads bladed to acceptable standard with no washboard or berms to channel water. Existing drive through dips for drainage will be reshaped if necessary. Temporary roads are restored to original contour and berms have been removed.
