2.16 The Contractor certifies that neither Contractor nor its principals are presently debarred, suspended, proposed for debarment or suspension, or declared ineligible from participating in transactions by the federal government or any state or local government department or agency. Contractor further agrees that it will immediately notify the State if during the term of this Agreement Contractor or its principals become subject to debarment, suspension or ineligibility from participating in transactions by the federal government, or by any state or local government department or agency.

2.17 In the event that any court of competent jurisdiction shall hold any provision of this Agreement unenforceable or invalid, such holding shall not invalidate or render unenforceable any other provision hereof.

2.18 In the event of a conflict among contract documents, the documents shall control in the following order:

purchase order or contract award documents, written contract amendments or modifications, this RFP and any addenda, the Contractor’s accepted proposal to the extent it does not conflict with the RFP or contract documents, and any other incorporated documents.

Provide information regarding the vendor's experience, reliability, past performance, personnel, subcontractors, and ability to deliver the proposed aircraft, equipment, installation, integration, testing, warranty support, and related contract requirements. Vendors shall describe their experience providing aircraft, mission equipment, modifications, installations, or related support for public safety, law enforcement, or other governmental aviation operations.

Vendors shall provide information demonstrating their understanding of public safety aviation mission requirements, including aircraft configuration, mission equipment integration, operational considerations, and support requirements relevant to the aircraft and equipment proposed.

Vendors shall describe their post-delivery support capabilities, including maintenance support, technical assistance, parts availability, software support, and response procedures for warranty or operational issues. Information provided in this section may be used in evaluating the vendor's experience, reliability, past performance, demonstrated understanding of public safety aviation mission requirements, warranty, maintenance, and long term support.

5.2.8 Exceptions, Assumptions, and Alternatives. Clearly identify any requirement the vendor cannot meet, any proposed alternate approach, and any assumption, exclusion, limitation, risk, or dependency that may affect cost, schedule, performance, warranty, or acceptance.

5.2.9 Cost Proposal. Provide firm fixed pricing unless otherwise clearly identified. Pricing should be separated by major cost components so the State can evaluate the proposal as a complete solution or as separate portions. Vendors may submit pricing for one or more of the following:

Kodiak 100 Series III aircraft only; mission equipment installation/integration; or a full turnkey mission ready Kodiak 100 Series III. Optional items, alternate approaches, assumptions, exclusions, and separately priced components must be clearly identified. See Section 7.0 for additional cost proposal requirements.

6.0 PROPOSAL EVALUATION AND AWARD PROCESS

6.1 After determining that a proposal satisfies the mandatory requirements stated in this RFP, the State will conduct a comparative evaluation of responsive proposals. Evaluation factors may include, but are not limited to:

6.1.1 Aircraft compliance, condition, availability, and suitability for SDHP’s mission needs

6.1.2 Installation approach, FAA approval path, testing, delivery schedule, and integration risk

6.1.3 Mission equipment capability, compatibility, and supportability

6.1.4 Vendor experience, reliability, and record of past performance

6.1.5 Demonstrated understanding of public safety aviation mission requirements

6.1.6 Warranty, training, maintenance, and long term support

6.1.7 Cost

6.2 The State will award a contract or purchase order, or multiple contracts or purchase orders, to the vendor or vendors whose proposal or combination of proposals provides the best value and is in the State’s best interest. Best value may include consideration of aircraft suitability, equipment capability, installation risk, delivery schedule, warranty, support, cost, and the overall risk and benefit of the proposed solution.

6.3 The State may evaluate proposals by category, by combination of categories, or as a complete solution. The

State may consider proposals for Kodiak 100 Series III aircraft only, mission equipment installation/integration, or a full turnkey mission ready Kodiak 100 Series III. The State may issue one or more contracts or purchase orders, award separate portions of the procurement, or combine portions of different proposals if determined to provide the best value and be in the State’s best interest.

6.4 Vendors should provide enough information for the State to evaluate the proposed aircraft, equipment, installation approach, delivery schedule, FAA approval path, warranty, support, pricing, and any assumptions, limitations, exceptions, or risks. The State is not required to request missing information.

6.5 The State may request clarification, conduct discussions, or negotiate with one or more vendors. Discussions or negotiations may address final contract terms, delivery schedule, aircraft or equipment configuration, installation approach, warranty, support, documentation, pricing, and other matters necessary to complete an award. If the State is unable to reach acceptable final terms with a vendor, the State may discontinue discussions with that vendor and proceed with another vendor, make a different award decision, or cancel the procurement.

6.6 The State reserves the right to reject any or all proposals, waive technicalities, request clarification, conduct discussions or negotiations, issue the award or awards determined to be in the best interest of the State of South Dakota, and cancel the procurement.

7.0 COST PROPOSAL

7.1 Vendors may submit pricing for one or more proposal options. The State intends to allow flexibility so vendors may propose the option or combination of options that best fits their available aircraft, equipment, installation capabilities, and delivery approach.

7.2 Vendors may submit pricing for Kodiak 100 Series III aircraft only, mission equipment installation/integration, or a full turnkey mission ready Kodiak 100 Series III.

7.3 Cost proposals should include firm fixed pricing unless otherwise clearly stated. Any price that is estimated, subject to change, dependent on inspection, dependent on aircraft availability, or dependent on equipment lead time must be clearly identified.

7.4 Pricing must be itemized by major cost components, as applicable, including aircraft purchase, aircraft inspection, aircraft delivery or ferry costs, mission equipment, installation labor, FAA approvals, STCs, DER services, engineering, documentation, testing, training, warranty, support, optional items, recurring subscription or licensing costs, and any other costs, fees, or charges. Desired Equipment must be priced separately from the Required Equipment and base proposed solution.

7.5 Vendors should clearly identify any assumptions, exclusions, or conditions that may affect price. This includes aircraft condition, aircraft availability, inspection findings, equipment substitutions, equipment lead times, FAA approval requirements, installation location, delivery location, and State furnished equipment. Vendors shall disclose any known deferred maintenance items, upcoming major inspections, component overhauls, life-limited parts, or anticipated maintenance events expected within twenty-four

(24) months following delivery.

7.6 If multiple options are proposed, the vendor should provide a separate cost summary for each option. The State must be able to review each option independently and compare options or combinations of options.

7.7 The State may award one or more contracts or purchase orders based on the option or combination of options determined to provide the best value and be in the State’s best interest.
