About this file

This is an addendum to RFP 23782222377 issued by the City of Portland, Oregon, for the procurement of a single performing arts venue operator to manage and operate Portland'5 Centers for the Arts, comprising five downtown Portland venues: Keller Auditorium, Arlene Schnitzer Concert Hall, Newmark Theatre, Dolores Winningstad Theatre, and Brunish Theatre. The operator will assume full management and operational responsibilities effective July 1, 2027, when Metro ceases current operations. Proposals were due October 14, 2026, at 3:00 p.m. Pacific Time. A virtual pre-proposal meeting was scheduled for September 17, 2026, at 10:00 a.m. Pacific Time, with optional on-site venue tours available September 22, 2026, from 10:00 a.m. to 12:00 p.m. Pacific Time (RSVP required by September 21 at 5:00 p.m.). Questions were due October 1, 2026. The contract term is five years with an option to renegotiate and renew for an additional five years, with Keller Auditorium management guaranteed through the first five-year term. Proposals were limited to 50 pages, with supporting documents excluded from the page count, and were required to be submitted through the City of Portland Online Procurement Center.

The scope encompasses comprehensive venue management including staffing, programming, booking, ticketing, financial management, and capital planning across all five properties. The operator must assume employment of all 58 full-time and 440 part-time staff represented by four unions across six locals at existing terms and conditions. Portland'5 currently operates under a rental model with an annual operating budget of approximately $25 million, with revenue derived from services (approximately 83%), City and governmental funding (approximately 13%), and miscellaneous sources (approximately 4%). Financial proposals must include proposed management fee structure, potential revenue share to the City, capital contribution willingness, and five-year projections with supporting assumptions. A portion of ticketing facility fees ($1.00 per ticket at Antoinette Hatfield Hall venues and $2.00 per ticket at Keller Auditorium and Arlene Schnitzer Concert Hall) will be directed to the City's capital reserve fund. The operator must maintain existing booking policies, rental rates in Year 1, honor existing calendar commitments, and comply with the Broadway Across America agreement through the 2032-2033 season. Evaluation occurs in two phases: Phase 1 written scoring (100 points) and Phase 2 interviews (100 points) for shortlisted proposers, with a maximum total score of 200 points. All transition planning and implementation costs prior to July 1, 2027, are borne by the operator.

6. Who is responsible for slips and falls? (Keller or the City?)

a. Under Metro’s management, injury claims are handled on a case-by-case basis. The current standard license agreement requires the licensee, when the facility is rented, to provide commercial general liability insurance and to assume responsibility for all persons connected with the licensee’s use of the facility, including all its employees, agents, members, invitees, vendors and contractors. The agreement also requires that any licensee add Metro and the City as an additional insured and indemnify both parties for all claims with the exception of the sole negligence or willful misconduct of Portland’5. To the extent any claims are not covered, Metro’s self-insurance covers any claims up to a certain amount and then an excess policy covers above that amount. For any promoted shows, Portland’5 purchases special events coverage for any claims.

The City will require the new operator to hold a Commercial General Liability policy and other applicable policies with appropriate limits that name the City as an additional insured. The operator must also indemnify the City.
