Payment will be made on a per-job basis from Contractor’s invoice. Payment shall be issued thirty (30) days after receipt of invoice, upon inspection, acceptance, and approval of the District. District is responsible only for time worked on the job site. Should any invoice contain work not yet accepted, District will deduct that amount from the invoice and pay the remainder. The District is exempt from all taxes and shall not be included in the proposal. Exemption certificates will be provided upon request.
Material costs are subject to verification by the District, and all materials shall be FOB destination; COD not accepted. The hourly labor rate can reflect a maximum of one hour (30 minutes each way) per day for travel time (workman's hourly rate) between your business address (shop) and the jobsite.
However, travel time closer to thirty minutes (fifteen minutes each way) shall be billed accordingly. No additional charge will be allowed for truck mileage. Holiday labor rates go in effect only on nationally recognized holidays.
Contractor Performance Contractor shall provide inspection and testing, service maintenance and repair services in accordance with the manufacturer’s recommended procedure, and State required Safety Tests to bring and maintain generators and ensure proper performance when generator is needed. District reserves the right to declare any needed work to be an emergency, and all emergency work shall be continued until completion. Contractor should first coordinate with the District’s Maintenance Department for all work that may impact the safety or work environment of any in-use building (i.e. when electrical power outage is necessary).
The Contractor shall furnish all equipment and material needed to perform service, and it shall be commercial quality from a regular product line. Prototype, obsolete, used and/or residential quality/grade equipment shall not be specified or installed in any building. The District will not store or inventory parts for the Contractor. If materials used are purchased from a local electrical supplier's stock, the successful Contractor shall charge the wholesale price as listed in the current copy of the National Price Service. The National Price Service is a pricing service used by most local suppliers. If materials need to be ordered from the manufacturer or are not listed in the National Price Service, the successful Contractor shall charge the manufacturer's suggested wholesale price. Contractor may be required to purchase materials from vendors holding term contracts for District at District’s discounted price.

The generators shall be inspected once every twelve (12) months by the Contractor’s supervisor to ensure performance at maximum contract specifications.
CALL BACK SERVICE: Upon notice from the District’s Maintenance Department, the Contractor must, without charge, promptly and properly replace any and all improper work and material that may become apparent within a one-week period from the date of acceptance by the District’s Maintenance Department. Call back service for previous repairs or maintenance will be on a twenty-four hour, five days a week basis at no additional cost to District’s Maintenance Department, and response time will be within forty-eight hours for call-back non-emergencies.
STANDARD OF PERFORMANCE: Contractor guarantees the performance of the commodities, goods, and services rendered herein in accordance with the accepted standards of the industry concerned herein, except that if these specifications call for higher standards, then such higher standards shall be provided. Contractor must conform to all Federal, State and Local laws, codes, and governmental regulations, as amended.
Contract Period and Termination Bidder will be required to enter into a signed contract with the District for the services in which Bidder is being recommended. A contract acknowledgement is included in this RFP for Bidder’s prior review.
District intends to issue two-year contract awards to one or more Contractors. Upon the mutual agreement of each Contractor and District, the awards may be extended, one year at a time with a maximum of three (3) possible annual extensions. Extensions may occur for none, one, some or all Contractors. This may result in a maximum of five years’ contract.
Contractor may request a labor price adjustment at each renewal period, not to exceed the maximum indicated on the pricing form. Labor price adjustments are subject to District’s approval. Price adjustments must be supported by evidence of increased prices to the Employment Cost Index for this region as published by the Bureau of Labor Statistics (BLS). Price adjustments for a federally mandated increase in the minimum wage will be allowed at any time. However, a federally mandated change in the minimum wage will not drive all other wage rates up.
In the event that performance on the part of any party hereto shall be delayed or suspended as a result of circumstances beyond reasonable control and without the fault and negligence of said party, none of the parties shall incur any liability to the other parties as a result of such delay or suspension.
Circumstances deemed to be beyond the control of the parties hereunder shall include, but not be limited to, acts of God or of the public enemy; insurrection; acts of the Federal Government or any unit of State or Local Government in either sovereign or contractual capacity; fires, floods; epidemics;

The District reserves the right to suspend work wholly or in part if deemed necessary for the best interest of the District. This suspension will be without compensation to the Contractor, other than adjusting the contract completion/delivery requirements. The District also reserves the right to cancel the contract for convenience or if the terms, conditions, services and/or specifications set forth herein are not met by the Contractor. This contract can be made null and void by either party with 30 days’ written notice.
