The Contractor shall not use, disclose, or reproduce proprietary data other than as required in the performance of this contract.
1.8 Program Management.
The contractor shall establish and maintain a management program during task order performance, incorporating details of the requirements set forth in this SOW. As a minimum, the management program shall identify all contractor resources, i.e., equipment, material, supplies, and staffing plan on how these resources will enable the contractor to meet performance objectives. The contractor shall provide program management oversight to ensure all work conducted within this contract is planned and executed in a manner that will achieve all management, technical, logistics, budget and schedule objectives. The contractor shall ensure coordination and integration of all functional areas within each task or project.
1.8.1 Subcontractor Management.
The contractor is responsible for performance requirements delineated in this SOW and shall institute appropriate management actions relative to subcontractor performance. Requirements that are contractually specified shall apply to subcontractor performance. The prime contractor shall be accountable for compliance of subcontractors and is responsible for ensuring all deliverable products comply with task order requirements.
1.8.2 Assignment of Responsibility and Authority.
The contractor shall identify the organizational elements responsible for conducting the activities delineated in this SOW. Responsibilities shall be assigned, and clear lines of authority defined for determining and controlling the resources necessary to satisfy each element of this SOW. The contractor shall notify the Government of any changes regarding authority or responsibility changes made by the contractor during the period of performance in accordance with Section H, Special Contract Requirements, of the basic contract.
1.9 Personal Service.
The use of a SEAPORT-e Task Order to satisfy this requirement is in the best interest of the government, economic and other factors considered, and this task order is not being used to procure personal services which are prohibited by FAR Part 37.104 titled Personal Services Contract. The contractor is specifically prohibited from performing functions which are defined as inherently governmental functions (See FAR 7.503) and require performance by Government employees in order to retain essential control and responsibility.
This order is for "non-personal services" as defined in FAR 37.101. It is, therefore, understood and agreed that the contractor and/or the contractor's employees and subcontractors: (1) shall perform the services specified herein as independent contractors, not as employees of the Government; (2) shall be responsible for their own management and administration of the work required and bear sole responsibility for complying with any and all technical, schedule, or financial requirements or constraints attendant to the performance of this contract; (3) shall be free from supervision or control by any Government employee with respect to the manner or method of performance of the services specified; but (4) shall, pursuant to the Government's right and obligation to inspect, accept, or reject the work, comply with such general direction of the Contracting Officer, or the duly authorized representative of the Contracting Officer, as is necessary to ensure accomplishment of the contract objectives.

The contractor is responsible for properly training its employees before they commence work to recognize the scope of their duties. Contractor personnel must be qualified to perform the duties of their assigned labor classifications at the beginning of the task order.
Although the Department of Labor SCA Labor Classification descriptions may include references to supervision or supervisory responsibility, it is an overarching requirement of the contract that only contractor employees shall supervise other contractor employees. In no instance shall a contractor employee supervise a Government employee, nor shall any Government employee be a supervisor of a contractor employee. However, on site Government technical personnel may assess contractor work to assure quality performance and accuracy, as set forth.
All contractor personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public or Congress that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.
2.0 Description of Services.
2.1 Contractor Employees.
The contractor shall provide, and ensure that all subcontractors provide, capable personnel necessary to accomplish all contract work and services within the government specified performance parameters and timeframes. The contractor shall provide personnel with qualifications, necessary licenses, certifications, training, experience levels, and security clearances that are required, including those required by Federal, State, and local laws and regulations prior to starting work.
The contractor shall ensure that that all training, licenses, and certifications remain current. The contractor shall maintain records of training qualifications and certifications and provide evidence of qualifications and training to the government upon request.
Contractors must have the ability to effectively communicate (both orally and in writing) to all applicable parties, as necessary for the task performance. The contractor shall manage all resources and workload independently. The contractor shall resolve all personnel conflicts between contractor employees or performance issues. The Contractor shall be responsible for maintaining satisfactory standards of employee competency, conduct, and integrity and shall be responsible for taking such disciplinary action with respect to their employees as may be necessary. Each employee shall adhere to standards of behavior that reflect well on himself/herself, his/her employer, and the Federal Government. The contractor is responsible for ensuring that all personnel employed for this task order are given a copy of the SOW.
If a contracted employee is not performing at the appropriate level of competence or professionalism while performing the requirements of the SOW, the COR will notify the Contractor’s Project Manager and the contractor will have three (3) working days to provide the COR with their solution.

The contractor filled positions shall not be unfilled or supported more than two consecutive weeks without being either temporarily filled or backfilled. The contractor shall not pull support from one code/work area to meet the minimum of another code/work area without concurrence from the COR. Positions shall be permanently backfilled with qualified personnel within 30 days.
The Contractor's failure to acquire and maintain clearance and certification requirements of its employees may result in removal or transfer from this task order. The Contractor is responsible for tracking of status and compliance.
2.2 Personnel Qualifications and Staffing Requirements
The contractor shall provide personnel with qualifications, training, certifications, experience levels and security clearances required to accomplish all contract work and services including those required by Federal, State and local laws and regulations. Minimum requirements are identified in Attachment 06, Personnel Qualifications. These qualifications are the minimum deemed necessary to successfully perform the tasking to be assigned (experience identified for each area of support may have been acquired concurrently).
Contractor personnel shall be assigned to contract efforts in a manner that will maximize productivity and efficiency. The contractor must utilize these categories when estimating tasks and reporting labor expenditures.
Although the Government is not responsible for developing private Contractor employees, in the event of a requirement for a one-time training event or a training requirement specific to the Government that cannot be obtained commercially, the Contracting Officer will approve Contractor training attendance by issuing a technical instruction (TI) letter to the Contractor.

The PM shall serve as the primary technical point of contact between the contractor and the Contracting Officer Representative (COR), and be responsible for the coordination of all contractor technical activities related to the task order.
2.4 Labor Categories, Training, Education and Experience
Attachment 06, Personnel Qualifications provides a description of the labor categories, desired and/or required experience, and the corresponding Service Contract Act Labor Category or labor category found on the Bureau of Labor Statistics (BLS) website. The BLS categories also include a pay- range representative of the skill level required. The ranges were obtained from the 2023 Seattle-Tacoma-Bellevue Metropolitan area data as provided on the BLS website at http://data.bls.gov/oes/.

The Contractor may be required to respond to an emergency requirement and work outside of regular working hours to perform the tasking. Variances and exceptions in working hours must be approved by the COR. Alternate work schedules used by the Contractor must not negatively impact task order deliverables or project schedules.
3.2 Overtime.
Overtime is anticipated at a total of XXX hours for the base year and all options and is included in the total hours provided in Attachment 01, Level of Effort. Overtime shall be coordinated with the COR and documented in an approved Technical Instruction Letter (TIL) prior to use. Overtime that is not approved in advance shall not be authorized for payment. Should the need arise in such a manner that written authorization is not possible, a verbal authorization shall be obtained from the Contracting Officer to be followed up in writing within three (3) working days.
3.3 Telework.
Teleworking may be permitted on a situational basis. Telework must be approved by the COR, monitored by the Contractor for conformance to the terms and conditions of the contract, and may be rescinded should the arrangement not meet the needs of the Government. Remote telework and indefinite remote work arrangements (also known as fully remote work) will not be available under this task order. Upon completion of teleworking, the contractor must submit a telework report to the Program Manager detailing the work accomplished during the telework hours by close of business the following workday. The Program Manager shall submit any telework reports developed during the month as an attachment to the Contractor’s Progress, Status, and Management Report (CDRL A001).
3.4 Early Dismissal and Closure of Government Facilities.
When a Government facility is closed and/or early dismissal of Federal employees is directed due to severe weather, a security threat, or a facility related problem that prevents personnel from working, on-site Contractor personnel regularly assigned to work at that facility shall follow the same reporting and/or departure directions given to Government personnel. The Contractor shall not direct charge to the task order for time off but shall follow parent company policies regarding taking leave (administrative or other). Non-essential Contractor personnel who are not required to remain at or report to the facility shall follow their parent company policy regarding whether they should go/stay home or report to another company facility. During periods of inclement weather, the on-site Contractor employees' PM should monitor the Keyport Operations Status line at 360-396-2553 to determine if the facility is closed or operating on a delayed arrival basis.
3.5 Special Events.
When Federal employees are excused from work due to a holiday or a special event that is unrelated to severe weather, a security threat, or a facility related problem, on-site Contractors shall continue working established work hours or take leave in accordance with parent company policy. Those Contractor personnel who take leave shall not direct charge the non-working hours to the task order.
3.6 Federal Holidays.

3.7 Access to Naval Base Kitsap during an Emergency.
The federal government, state government, and regional commands may impose specific requirements and restrictions to protect the workforce and the public from an unforeseen event such as a natural disaster, pathogenic epidemic/pandemic, or other declared emergency. These requirements and restrictions shall be observed and followed by the Contractor and Contractor employees. Base access during emergency circumstances may be limited, and may involve personnel screening, specific reporting requirements, and social distancing restrictions. Information about the Force Protection Condition (FPCON) and Health Protection Condition (HPCON) level for Naval Base Kitsap, and changes to base access procedures and workforce restrictions may be obtained by contacting the Contracting Officer or the COR.
3.8 Government Facilities/ Office Space.

The contractor is responsible for providing transportation services to and from the work site. While working at Government facilities the contractor shall follow all local regulations and guidance for workplace safety and security. The contractor shall adhere to industry safety standards and local guidance on cleanliness of the work area.

The Government may give technical direction to the task performers to identify tasking and prioritize efforts to meet organizational goals and mission priorities. Technical direction will originate from the Government program manager, work area lead, Contracting Officer or their appointed technical direction representative or the COR. The work area lead will notify the COR and Contractor PM of the direction given. It is understood that this reprioritization will neither change the scope of the contract nor be at any additional cost. Contractors shall immediately and before acting, notify the Contracting Officer or COR if technical direction is issued which they believe changes the requirements of the SOW.
