About this file

This is a Proprietary Information Agreement attachment issued by the County of Sacramento for use in conjunction with a Request for Information (RFI) regarding automated vehicle gate access control systems for the Department of Regional Parks. The agreement establishes terms governing the protection and handling of proprietary and confidential information submitted by consultants and vendors in response to the RFI. Respondents must execute the agreement to protect their proprietary data from public disclosure, with the understanding that the County may disclose submitted information as reasonably necessary to evaluate proposals and monitor services. The agreement establishes a confidentiality period for an unspecified duration (to be filled in upon execution) and requires consultants to defend and indemnify the County against any claims or actions resulting from assertions of confidentiality regarding submitted proprietary data.

The agreement specifies that consultants bear full responsibility for defending and indemnifying the County, its Board of Supervisors, officers, directors, agents, employees, and volunteers against all claims, actions, liabilities, losses, damages, and costs, including reasonable attorneys' fees, arising from performance under the agreement. The County retains sole discretion to determine whether to assert claims of confidentiality on behalf of the consultant and reserves the right to grant Public Records Act requests if the consultant fails to execute the agreement. The document provides no pricing information, set-asides, or incumbent vendor details, as it serves exclusively as a protective mechanism for proprietary submissions in the informational RFI process, which does not constitute a commitment to award a contract.
