GENERAL INSTRUCTIONS

REVISED 2023

Please Note: Any and all of the following requirements will be strictly adhered to, and failure on the part of any bidder to comply with any one of these requirements will be sufficient grounds for rejection of any bid.

Bidders Responsibility: Bidders shall fully acquaint themselves with all of the details set forth in SPECIFICATIONS and GENERAL INSTRUCTIONS before submission of bids. All items bid upon must be in accordance with manufacturer's current specification sheets and the available options listed thereon.

Wherever components are identified by their trade names those units are desired by the County of Warren. However, the use of trade names is not intended to be restrictive, and other manufacturer's units meeting or exceeding these specifications will be considered. Vendor must identify and describe all items offered since the term "meet or exceed" for alternate items is not acceptable in vendors' specifications proposal sheets. Failure to do so may be grounds for rejection.

Bidders Qualifications: All bidders, including foreign and domestic corporations must be qualified and/or licensed to do business within the State of New York. Warren County reserves the right to make any investigation deemed necessary to determine bidder qualifications and responsibility. Bidder shall furnish to the County, upon request, all data pertinent thereto.

Delivery: Whether specifically mentioned herein or not, all items of equipment, assemblies, subassemblies and accessories normally furnished shall be included unless specifically deleted or otherwise specified herein. Unless otherwise stated, deliveries shall be Terms of Sale F.O.B. Destination, Freight Prepaid to agency as specified by a voucher or purchase order. Deliveries must be made within 10 days A.R.O. unless otherwise specified.

Bid Format: Bids must be submitted on the attached Proposal form in complete detail and any deviation from the required items must be fully explained.

Bid proposals must be typed or in ink. Failure to sign proposal may be justification for rejection. Each bid must be accompanied by a signed Non-Collusion Certificate, Iran Divestment Act Certification and, if applicable, Corporate Resolution with seal.

Bid Submission: Each bid submitted shall be in a sealed envelope plainly marked with the Warren County bid number and title. A facsimile (fax) bid not containing an original (ink) signature is not acceptable.

Questions/Verbal Responses Not Binding: It is the bidder's sole responsibility to become familiar with all terms and conditions regarding the bid before the bid opening. Any questions should be submitted in writing to the Purchasing Department and, if relevant, should cite the section and page number of the bidding document relating to the question raised by the bidder. Answers to all questions of a substantive nature will be given to all bidders in the form of a formal addendum which will be annexed to and become part of the bid. Please be advised that Warren County shall not be bound by any verbal response by any County Official or employee which is not confirmed in writing or which does not result in an addendum issued by the Purchasing Department.

Time of Submission: Each bid shall be filed no later than the stated time noted on the bid proposal form. At the time of submission, each bid shall be time/date stamped in the Office of the Purchasing Agent. Late bids received by mail, courier or in person shall be refused. Warren County shall not accept any bid which is not delivered directly to Purchasing by the time indicated on the time stamp in the Purchasing Office.

Award: Awarding of the contract to the successful bidder will be made at the earliest possible time. Successful bidder, upon acceptance of proposal, shall bind themself to enter into the written contract with Warren County. Where bidder is requested to submit a bid on individual items and/or on a total sum or sums, the right is reserved to award bids on individual items or on total sums. The County reserves the right to award in whole or in part based on the lowest responsible bid.

Rejection: The right is reserved to reject any or all bids, waive any informalities in any bids, readvertise for new bids and/or otherwise accept any considered advantage to Warren County to the extent such is allowed under law.

Cancellation of Contract: Warren County reserves the right, in its sole discretion and without reason, to terminate this bid upon fourteen days written notice for commodities and sixty days written notice for contracts. However, failure on the part of the bidder to meet the specification requirements, especially with regard to product/service quality, shall result in immediate termination at the option of Warren County. The County's sole obligation shall be to pay bidder for services rendered to date and to the extent of appropriations. The County shall have no other liability or responsibility for lost compensation, lost profit, or damages of any kind or nature arising from the said termination.

Previous Defaults: No bid for materials, supplies, equipment or services may be accepted from or contract therefore awarded to any person who is in arrears to Warren County, upon debt or contract, or who has defaulted as to surety or otherwise upon a contract or obligation to Warren County.

SPECIFICATIONS

INTENT:

It is the intent of these specifications to secure bids for various Nursing Supplies.

TERM OF BID:

For a one (1) year term commencing December 1, 2025 and terminating November 30, 2026 with no escalation in price.

SCOPE:

This contract shall cover Nursing Supplies for Countryside Adult Home, Warren County Health Services Department, Warren County Sheriff’s Office, Warren County Office of Emergency Services, Warren County Probation Department, and any other designated County facility or municipality that may be added during the term of this bid.

QUANTITIES:

Quantities listed are estimates only. The bidder understands that the quantities shown on the proposal pages are approximate and are subject to increase or decrease with no change in unit price. Said estimates are PER EACH individual item, NOT package or case quantities. The County will not accept any bids for case quantities only.

Any bids submitted as a case quantity will be automatically rejected. All items must be available on a per each and per box basis. In the interest of the Warren County taxpayers, we will not be ordering case quantities when such quantity is not needed, and will most likely not be used before the expiration date.

QUALITY:

All items bid shall be of the best quality. The right is reserved by the Purchasing Agent to submit any items or article to the State Bureau of Standards and Purchase and/or the Warren County Weights & Measures Department to determine quality and grade.

For items that have expiration dates, the shelf life must be a minimum of 12 months subsequent to order fulfillment. Any items not meeting the 12 month minimum shelf life will be returned to vendor at no cost to the County. Vendor will replace with product meeting or exceeding this requirement. If a problem persists with vendors meeting this standard, the County reserves the right to cancel award(s) for the items at issue and purchase in any manner allowed by law.

PRICE:

Bid unit price PER EACH must be submitted on all items as listed on bid proposal. Estimates listed on proposal pages are PER EACH unless otherwise indicated. Number per package and number per case must also be noted. Bidder failure to indicate their correct package size shall be cause for immediate rejection, before or after award. Shipments received which differ from package size bid will be paid for according to per unit or per ounce price bid by vendor on bid proposal.

Vendors not providing the correct pricing PER EACH will be automatically rejected and no further consideration will be given. Please make sure that all pricing in your bid is correct. Warren County reserves the right to reject future bids of Vendors that request withdrawal of current bids for items throughout the term of the contract because of Vendor error or a change in pricing.

DELIVERY:

Delivery charges shall be included in the bid price for each item. Warren County Bid items shall be kept in stock for delivery within 5 DAYS A.R.O. Vendors submitting delivery times exceeding 5 days will automatically be rejected with no further consideration given. Deliveries shall be made on an “AS NEEDED” BASIS. All delivery costs must be included in the bid price. Fuel surcharges are not allowed and will not be paid by Warren County.

Warren County will NOT accept minimum order requirements. Orders must be shipped directly from the awarded vendor. Third party shipments will not be acceptable. Each address for departments utilizing this bid will be given when initial order is placed.

SAMPLES:

The County may request representative samples of items bid, either prior to award or before deliveries are made.

If any sample does not meet the requirements of the specifications, the County may reject item bid, or if award has been made, delete item from award. The County shall have no other liability or responsibility for lost compensation, lost profit, or damages of any kind or nature arising from the said termination. Samples must be provided in a timely matter. If a vendor is not able to supply the requested sample(s) in a reasonable time as determined by the Warren County Purchasing Agent, the item(s) will be awarded to next low.

Items shipped to using departments which are not equal to samples will be rejected and deleted from award.

If at any point a substitution is necessary after an award has been made, County must approve substitution to ensure it still meets our specifications.

SPECIFICATIONS

DESCRIPTIVE LITERATURE:

Vendors MUST provide spec sheets for ALL items bid in response here to.

AWARD OF BID:

Bids will be awarded on a line-item basis for lowest cost PER EACH item which meets specifications. Some line items may be grouped together (i.e. dressings, bandages, gauze) and determination will be made given the lowest price per each grouped item which best meets specifications. If package and/or case size differs from numbers listed on proposal, vendor must make note of their actual package size. Brand names listed represent the industry-wide standard. Products which are equivalent may be bid with samples to be furnished, upon request, to Warren County.

Unsatisfactory samples will be rejected and awarded to next low.

DISQUALIFICATION OF BIDDERS:

Each bidder shall fully acquaint themselves with all details of these specifications. Failure to comply with these specifications shall be grounds for immediate rejection by the Warren County Purchasing Agent. Bidders must submit proposals in complete detail, covering all items, and must explain any deviation from the specifications. Each bidder shall furnish all the information required on the proposal form; package size, brand, item number, and any variation from specifications. If the County has a history with a vendor not meeting these requirements the County may automatically reject bids submitted in response to WC 43-25, or in the alternative, if new vendors are not meeting these standards after award, the County may terminate immediately for non-performance.

Bidders are also cautioned against inserting any conditions or qualifications in their bids which are not called for by the contract specifications and against offering items which are not in conformity with these documents. If there are unauthorized additions, terms, or conditional or alternate pay items which make the proposal conditional, incomplete, indefinite, or otherwise ambiguous, said bid offering such non-conforming terms shall be deemed to be non-responsive to the invitation for bids. Bids determined as not responsive to the invitation and applicable specifications will be rejected as constituting a counter proposal.

PAYMENT:

Warren County will NOT accept minimum case orders, minimum dollar orders, fuel surcharges, delivery charges, sales tax or any other charges during the term of this bid. If charges are added in error, they must be removed promptly so that payment can be made. Departments should not have to make multiple attempts to remove charges. Charges consistently being added to invoices may be grounds for termination. Successful bidders shall comply with the voucher and billing procedures of Warren County. The Warren County Auditor will not accept third party invoices. The County shall make payment within forty-five (45) days of receipt of a fully completed and properly executed County voucher and invoice itemizing all items received. In the event that, upon receipt of appropriate documents as indicated, the County does not make payment within forty-five (45) days and there is no good faith dispute concerning the supplies, any claims for interest in connection with required payment shall be determined under and governed by the laws of the State of New York. A late charge shall accrue in any of the payments not made by the County to Contractor when due, the amount thereof to be calculated pursuant to the provisions of Article 11-A of the New York State Finance Law. Any municipalities utilizing this bid will be responsible for payment of their own invoices.

TERMINATION:

If found to be in the best interest of Warren County, it is understood that the County, at its discretion, can terminate all or part of this contract after thirty (30) days written notification. However, if contractor fails to perform according to the specifications contained herein, as per the Warren County Purchasing Agent, contract shall be subject to immediate termination. Vendors must be accessible when our departments order. It is not acceptable that multiple attempts be made when ordering. If it’s reported to the Purchasing Department that this is an issue, it will be grounds for immediate termination of the award.

BACK-ORDERS:

Warren County Bid items shall be kept in stock. The vendor must notify the ordering department immediately whether or not their company intends to fill back order items and give a fair estimated delivery time. Bids awarded to vendors that consistently do not notify the County of back-order status at the time the initial order is placed may be terminated at any time. BACK-ORDERS ARE NOT TO EXCEED 14 DAYS. Items which are consistently back ordered or exceed the 14 day limit will be awarded to next low. If a Warren County department cannot wait for untimely back-ordered items and is forced to buy elsewhere, cost difference will be deducted from bidder's next invoice.

SPECIFICATIONS

RETURN POLICY:

If Warren County incorrectly orders an item and has to return the same to Vendor, the County will pay applicable shipping fees for the return. If the Vendor ships items that are not correct due to an error on their part, or item(s) that do not meet the specifications, then Vendor will be responsible for payment of return shipping. In either case, the vendor shall issue the prepaid shipping label via e-mail upon our request for a return. Upon receipt of return, if payment is the County’s responsibility, the shipping costs will be deducted from the credit invoice/memo issued by the vendor for the returned product(s). The County will then apply the credit, less the shipping charges, against the original invoice for payment.

REPORTS:

Upon request, successful vendor/contractor shall provide annual usage reports to the Purchasing Department for all municipalities participating in and/or piggybacking on this bid.

CONTRACT EXTENSIONS TO MUNICIPAL DIVISIONS:

The contract if awarded will be to the lowest responsive/responsible bidder(s) in part or in whole who meet(s) all the terms of the specifications. The County guarantees no minimum or maximum purchases or contracts as a result of award of this bid. Warren County reserves the right to allow all municipal and not for profit organizations authorized under the General Municipal Laws of the State of New York, to purchase any goods and/or services awarded as a result of this bid in accordance with the latest amendments to NYS GML 100 through 104.
