JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION UNDER

AUTHORITY OF 10 U.S.C. 2304(c)(1) FOR FULL FOODSERVICE PRIME VENDOR

CUSTOMERS IN NORTHERN NEW YORK AND SURROUNDING AREAS

1. Defense Logistics Agency (DLA) Troop Support, Subsistence Supply Chain, is the contracting activity.

2. The action being approved is the ability to solicit for DLA requirements on an other than full and open competition basis.

3. The proposed acquisition will be an Indefinite-delivery, Indefinite-quantity (IDIQ), fixed price with Economic Price Adjustment (EPA) bridge contract for Subsistence Prime Vendor (SPV) support for a period of 182 days, which includes coverage for a sixty day

(60) ramp-up period for the follow-on competitive procurement to allow for implementation activities such as the establishment of a Subsistence Total Order and Receipt System (STORES) catalog by the awardee.

The proposed bridge contract (SPE300-20-D-3285) encompasses SPV support for all authorized DLA customers located in the Northern New York and Surrounding Areas for a full-line of food and beverage items. Based on current annual usage/sales, the estimated total dollar value for the proposed bridge contract is $1,676,217.35. The guaranteed minimum dollar value is ten percent (10%) of the estimated dollar value, or $167,621.74.

The maximum total dollar value, including surge of 225%, is $3,771,489.04. This proposed action will result in the award of a bridge contract to Renzi Food Service effective July 26, 2020 through January 24, 2021.

4. The applicable statutory authority permitting other than full and open competition is

10 U.S.C. 2304(c)(1), as implemented by FAR Part 6.302-1 – Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. The use of this authority is necessary to provide continuous, uninterrupted food supplies to

DLA customers in Northern New York and Surrounding Areas. The last Long Term Prime Vendor contract covering this region was a fixed price with EPA IDIQ contract (SPE300- 14-D-3012) awarded to Renzi Food Service on June 30, 2014 and expired on July 29, 2019.

Contract SPE300-14-D-3012 had a base period of up to twenty-four (24) months, which included a two (2) month implementation period and a twenty-two (22) month ordering period, and was followed by one (1) twelve (12) month option period and one twenty-four

(24) month option period.. The contract was awarded utilizing full and open competition and had a maximum contract dollar value of $33,600,000.00. The current contract, SPE300-19-D-3228, is a 361 day bridge contract awarded on July 29, 2019 and due to expire July 25, 2020. The proposed action will result in the award of a second bridge contract to Renzi Food Service effective July 26, 2020 through January 24, 2021.

The delays necessitating the first bridge contract are documented in the Justification and Approval (J&A) to support that contract action. This bridge contract is necessary due to unforeseen occurrences as discussed below.

The anticipated issue date for the follow-on competitive solicitation for this region was early September 2019.

A fully competitive solicitation for this region was issued on January 6, 2020 with an initial closing date of February 6, 2020, which was extended to February 26, 2020 to clarify estimated dollar value requirements and to add a list of items that the offerors are required to stock for one of the solicitation customers.

At closing, the Government received evaluations commenced.

At this time, the novel coronavirus (COVID-19) pandemic lead to a halt in travel. As a result of these new travel restrictions, Both the technical evaluation reports and all pricing evaluations were completed by July 2020.

The bridge contract allows adequate time to conclude prepare final award documentation, award the follow-on action, and implement the contract during the full contract implementation period of sixty (60) days.

The required food service supplies are deemed to be available only from the current contractor in the timeframe required, and award to any other source would result in unacceptable delays in fulfilling the agency’s requirements. Renzi Food Service is able to meet the DLA requirements starting on July 26, 2020. They are the only food supplier in the Northern New York and Surrounding Areas that has a fully implemented STORES electronic catalog, which, alone, requires at least sixty (60) days, the total duration of ramp-up/implementation period. Award to any other potential food supplier would cause an unacceptable break in supply.

Failure to make award to Renzi Food Service will result in a break in Prime Vendor support. The military customers rely on the DLA Prime Vendor contract for all of their foodservice needs. The absence of this contract for any time will result in the inability of our military customers to order food and associated supplies. Failure to feed our military service men and women would constitute mission failure for DLA and our military customers. Should a competitively awarded contract be put into place ahead of the projected timeframe and the guaranteed minimum has been met under this bridge contract, no further orders will be placed against the bridge contract.

6. As required by FAR 5.2, a notice will be published in Contract Opportunities

(Beta.SAM.GOV). All information pertinent to the special notice will be available to the general public at website https://www.dla.mil/TroopSupport/Subsistence/. In addition, this justification will be made available for public inspection, after award, in accordance with

FAR 6.305.

7. As the Contracting Officer, I hereby determine that the anticipated cost to the Government will be fair and reasonable based on price analysis, which will include an overall assessment of market conditions and a comparison of the distribution prices and delivered prices with recently awarded CONUS Prime Vendor contracts.

8. The information supporting this action is based primarily on the Government’s knowledge of the foodservice market in the region. With the exception of synopsizing this requirement, no additional market research will be conducted and no other firms will be solicited since the Government is unaware of any other firm in the region with the existing capability, including electronic STORES cataloging, to perform in the timeframe required.

9. In the Northern New York and Surrounding Areas, only Renzi Food Service has a fully implemented STORES electronic catalog. The required foodservice supplies are available only from the current contractor in the timeframe required, and award to any other source would result in unexpected delays in fulfilling the agency’s requirements.

10. Renzi Food Service is the only source expected to express an interest in the proposed bridge contract.

11. The follow-on acquisition solicitation, SPE300-20-R-0013 was issued on January 6, 2020 on a full and open competition basis and it is anticipated that all future acquisitions for these requirements will be competed on a full and open competition basis.

12. As the Contracting Officer, I hereby certify that this justification is accurate and complete to the best of my knowledge and belief.
