About this file
This document is a Non-Competitive Procurement Justification Memorandum for the Naval Surface Warfare Center Carderock Division (NSWCCD), justifying a sole-source procurement of MAESTRO (NW) License software from Maestro Marine LLC. The procurement covers one (1) base year of maintenance and support from 15 August 2025 through 14 August 2026, with four additional one-year option periods, at a total estimated contract cost of $70,454.22 ($14,090.84 for the base year).
The justification emphasizes that MAESTRO software is uniquely designed as a complete ship structural design system, utilizing finite element methods (FEM) with specialized tools specific to ship design. The software is not available on GSA schedule, NASA SEWP V vendor catalogs, or DoD ESI, and is crucial for design engineers at shipbuilding centers to model and communicate structural adequacy of initial and in-service ships. The sole-source determination is based on Maestro Marine LLC being the developer and sole proprietor of the software, with proprietary rights that make the product difficult or impossible to replicate using standard FEM tools.

NSWCCD SAP Non-Competitive Procurement Justification Memo Effective April 2025
MEMORANDUM FOR FILE
FROM:
CODE: 6550
TO: Code 02 DATE: 29 April 2025 SUBJECT: Non-Competitive Procurement Justification Memo for Actions Under SAT
I. BACKGROUND
1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available.
2. FAR 8.405-6 allows for limiting sources for orders or BPAs under Federal Supply Schedules under certain circumstances or for items peculiar to one manufacturer
3. As required by FAR 13.106-3(b)(3)(i), FAR 8.405-6(a)(1), or FAR 8.405-6(b)(2), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.
II. DESCRIPTION OF ITEM OR SERVICE (Include manufacture/sole source name and address.)
Code 65 requires the procurement of MAESTRO (NW) License (1) One Year Maintenance & Support (M&S) software package for one (1) base year and four (4) additional one-year option periods. The Period Of Performance (POP) for the base year shall be 15 August 2025 through 14 August 2026.

B. SOLE SOURCE. (select all that apply)
1. Restrictive Rights. The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.
MAESTRO Marine LLC is the developer and sole proprietor of MAESTRO. The product is not available on GSA schedule, NASA SEWP V vendor catalogs or DoD ESI. This procurement is to maintain our CIO-required annual maintenance and license agreement and is not for the procurement of new software. Pursuant to FAR 6.302- 1(a)(2)(iii), this software is only available from one source.
MAESTRO software is uniquely designed to be a complete ship structural design system. At the core of the program is the same fundamental theory used by most structural analysis tools, finite element methods (FEM).
What make MAESTRO unique are the specialized tools and interfaces specific to ship design that are difficult or impossible to replicate in normal FEM tools or combination of tools. The MAESTRO software also can interface seamlessly with FEMAP/NASTRAN software bundles which allows for the use of existing Navy and vendor FEM representations of ship structure to be analyzed using the unique load and criteria in the MAESTRO software system. Design engineers at the shipbuilding centers throughout the United States and NSWC engineers use MAESTRO software to model and communicate the structural adequacy, of not only initial ship designs but models of as built or in-service ships that have experienced corrosion or damage, quickly and efficiently with program sponsor engineers.
2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.
3. Other Reasons.
4. Federal Supply Schedules (FSS): IAW FAR 8.405-6(a)(1)
a. An urgent and compelling need exists, and following the procedures would result in unacceptable delays;
b. Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or
c. In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order or BPA must not have been previously issued under sole-source or limited-sources procedures.
IV. CERTIFICATIONS & APPROVALS
A. Technical/Requirements Certification: I certify that the facts and representation under my cognizance, which are included in this justification, are complete and accurate to the best of my knowledge and belief.
