About this file
This is a Sole Source Justification document for a follow-on firm-fixed-price contract under FAR 12 simplified procedures for commercial items.
The Department of Veterans Affairs, VISN 04, NCO4 Services 2 is procuring maintenance, inspection, and parts services for Johnson Controls fire alarm, access control, camera systems, security/intrusion systems, gaseous suppression systems, and kitchen hood equipment at Butler Veterans Affairs Medical Center in Butler, Pennsylvania. Services include labor and parts for fire alarm system maintenance (9 panels, mass notification systems, panic buttons, battery replacement, peripherals, pull stations, door holders, smoke detectors, and audio visuals); access control system maintenance (C-Cure software, workstations, indoor and exterior readers); ONSSI CCTV camera system maintenance (monitors, controllers, servers, security updates); intrusion system maintenance (control panels, door contacts, motion detectors); semi-annual kitchen hood inspections; semi-annual gaseous suppression system inspections; and callback response requirements (technician on-site within 24 hours for non-critical calls, one-hour telephone response, and qualified technician on-site within 4 hours for critical calls). The contract is structured as a base year from May 15, 2026 through May 14, 2027, with two one-year option periods (May 15, 2027–May 14, 2028 and May 15, 2028–May 14, 2029), with all options priced and evaluated before award. Competition is restricted under 41 U.S.C. § 1901 based on only one responsible source being available, as portions of the requirement are proprietary to Johnson Controls and must integrate with existing Johnson Controls architecture. Market research identified only one certified small business entity capable of providing related services under NAICS Code 561621, but that vendor lacks necessary proprietary authorizations from Johnson Controls, making the VA Rule of Two inapplicable. Johnson Controls' GSA Federal Supply Schedule contract is being utilized for proprietary components, with non-proprietary items procured as an integrated package from Johnson Controls to ensure system functionality, warranty protection, and single-source accountability. The contracting activity anticipates future market monitoring and potential competition for subsequent acquisitions as non-proprietary components are decoupled from the core proprietary fire system architecture.

4. Statutory Authority Permitting Restricted Competition:
FAR 12 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106-1(b)(2) for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:
( X ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements
( ) Unusual and Compelling Urgency ( ) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert
Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority: This proposed follow-on sole source acquisition for maintenance and inspections of the Johnson Control fire alarm, access control, camera systems, security/intrusion systems, Gaseous Suppression System inspections, and Kitchen Hood inspections at the VA Pittsburgh Healthcare System will utilize the procedures outlined in FAR Part 12 authorizing the use of simplified acquisition procedures for commercial products and services up to $9 million. Specifically, FAR Subpart 12.102(b) 41 U.S.C. 1901 speaks to the requirement for a sole source justification which is the purpose of this document. Market research shows similar maintenance and inspection services available on the commercial marketplace however portions of this requirement are propriatoty of Johnson Controls.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: Market research was conducted to identify procurement pathways for this requirement, which consists of both proprietary and commercial items. A portion of the required equipment and software is proprietary to Johnson Controls and is being procured directly through their GSA Federal Supply Schedule (FSS) contract. To ensure maximum practicable competition, the remaining non-proprietary components were reviewed for open-market availability. However, because these open-market items must seamlessly integrate into the existing, proprietary Johnson Controls architecture, they require strict compatibility with JCI’s intellectual property and technical data protocols.
Revision: 02
Soliciting these open-market components from separate, third-party sources is impracticable. It would result in split-vendor liability, voided system warranties, and substantial technical incompatibility risks. Procuring the combined open-market and FSS items as a single, integrated package from Johnson Controls is the only method that ensures total system functionality and protects the Government's existing infrastructure investment.
The agency will continue to monitor the market for new technologies, open-protocol alternatives, or authorized third-party integrators. Future requirements will be reviewed to determine if changes in market capabilities allow for open competition.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The anticipated cost to the Government is determined to be fair and reasonable based on a historical price analysis, pre-negotiated Federal Supply Schedule (FSS) pricing, and comparison to the Independent Government Cost Estimate (IGCE). The total quoted price of xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons
Market Research Was Not Conducted As described in section 6 above, market research, and accordance with far part 10 was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties.
Market research was further conducted Per PPM 2016-05, the application of the VA Rule of Two is mandatory, not discretionary, requiring a review of verified veteran-owned businesses for all contracting determinations. To satisfy this requirement for the Butler VA Medical Center in Pennsylvania, a vendor search was conducted under NAICS Code 561621 (Security Systems Services) in the official Small Business Administration (SBA) database in accordance with VAAR Class Deviation 819.001-70.
Results of Market Research:
The SBA database query identified only one certified small business entity under NAICS Code 561621 capable of providing related services. However, this single vendor does not possess the proprietary intellectual property, software access codes, or manufacturer-authorized distribution rights required by Johnson Controls to fulfill this specific requirement. Because only one potential source was identified, and that source lacks the necessary proprietary authorizations, there is no reasonable expectation that two or more verified SDVOSBs or VOSBs can provide the required integrated solution. Therefore, the VA Rule of Two cannot be met, and a sole-source award to Johnson Controls is necessary to ensure complete system functionality at the Butler VA Medical Center.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition:
Not all items in this requirement are proprietary. However, the open-market items must integrate directly into the existing Johnson Controls system at the Butler VA Medical Center. Splitting the order between multiple vendors at this time would cause technical incompatibility, void existing warranties, and create split-vendor liability for system failures. Sourcing the open-market and proprietary items together from Johnson Controls ensures single-source accountability and total system functionality.
Revision: 02
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition: N/A
11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required:
To remove barriers to competition for subsequent acquisitions, Contracting is collaborating directly with the Butler VA Medical Center Fire Department. Many components are currently hardwired into the facility’s proprietary Johnson Controls fire system, which severely restricts open competition.
Contracting, and the on-site Fire Chief will actively conduct market research to systematically identify and decouple non-proprietary security components from the core proprietary fire architecture. Future requirements will be split into separate, distinct packages—allowing the open-market items to be competitively sourced while isolating the proprietary elements strictly to Johnson Controls.
