About this file

This document is a Justification for Exception to Fair Opportunity (JEFO) for the Department of Homeland Security's Federal Protective Service. The document seeks to extend an existing task order with Triple Canopy for Protective Security Officer (PSO) services at the Federal Triangle Complex in Washington, DC for a 6-month period from 07/01/2025 to 12/31/2025, with an estimated value of $26 million. The extension is being pursued to allow time to complete the solicitation, evaluation, and award of a follow-on task order, with an anticipated award date of August 31, 2025, and performance start date of January 1, 2026.

The justification cites the need for continuity of services, noting that an immediate replacement of the current contractor would result in significant security risks due to extensive screening, training, licensing, and transition requirements for PSOs. Triple Canopy will continue providing services with an adjusted bill rate incorporating a new Collective Bargaining Agreement, including a 50% increase to the blended rate and accounting for wage and benefit adjustments. The government intends to post the requirement on sam.gov and is preparing to solicit a competitive task order under Track 1 of the current Multiple Award Contract.

OPOAM 3016.505-90(a)(2)(ii) Justification for Exception to Fair Opportunity

Exceeding the SAT pursuant to FAR 16.505(b)(2)(i)(B)

JEFO No.: FY25-00162 Rev. 6/2021 1

JEFO No.: FY25-00162

Date: 6/25/2025 PR Number: 192125R11GRDP1406

1. Agency and Contracting Activity. Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for an Exception to Fair Opportunity.”

The Department of Homeland Security (DHS), Office of Procurement Operations (OPO), Federal Protective Service Acquisitions Division (FPS AD), prepared this Justification for an Exception to Fair Opportunity.

2. Nature and/or description of the action being approved.

DHS/OPO/FPS AD intends to extend task order 70RFP224FREC00024, with Triple Canopy, under FPS multiple award contract (MAC) 70RFP224DEC000011 without considering other awardees under the FPS MAC for Protective Security Officer (PSO) services pursuant to FAR 16.505(b)(2)(i)(B).

3. A description of the supplies or services required to meet the agency’s need (including the estimated value).

Protective Security Officer (PSO) services are required at the Federal Triangle Complex (detailed in Paragraph 5 below) in Washington, DC. The estimated value for the 6-month extension to the period (07/01/2025 – 12/31/2025) is approximately $26 million.

4. Identify the exception to fair opportunity and supporting rationale, including a demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the exception cited.

FAR 16.505(b)(2)(i)(B). Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

Rationale:

Task Order 70RFP224FREC00024 was awarded to Triple Canopy, Inc. on June 12, 2024, under multiple award contract 70RFP224DEC000011 for protective security officer (PSO) services at the Federal Triangle Complex (FTC) in Washington, DC covering the period of performance of 07/01/2024- 06/30/2025. All Multiple Award Contract (MAC) awardees were given a fair opportunity to be considered for the original order.

Triple Canopy’s current task order, 70RFP224FREC00024, must be extended for a period of up to six (6) months to continue PSO services at the Federal Triangle Complex (FTC) allowing time to complete the solicitation, evaluations, award and internal reviews as well as to provide an adequate 120-day transition time on the recompeted follow-on task order under the FPS MAC for PSO services.

Due to extensive screening, training, health, licensing, and transition requirements for PSOs under the FPS program, award to another PSO firm cannot immediately be made. If a new PSO firm were to immediately replace Triple Canopy under this effort, a significant and severe drop in overall security would result and would also place Federal Government personnel, visitors, and assets in jeopardy.

Triple Canopy’s bill rates for this extension period were compared to the competitively awarded rates established under similar task orders supporting FPS. Based on the detailed analysis above, the basic hourly rates are in line with the current range of prices for similar services across the FPS portfolio of contracts. The anticipated cost to the Government is determined to be fair and reasonable.

6. Any other facts supporting the justification.

The government requires additional time to complete the procurement prior to issuing the award of the follow-on task order, which requires a 120-day transition period. Unexpected and unavoidable delays occurred due to the following circumstances: The follow-on procurement is currently in the pre-solicitation phase. The FPS Region 11 Program Office is working with the building stakeholders to finalize the requirement and post exhibit due to agency closures and changes. USAID recently vacated the property, and other stakeholders are expanding their vacant space. These unforeseen changes have necessitated revisions to the solicitation package. Additionally, during the past several months, FPS incurred unexpected delays due a variety of policy updates that led to procedural changes, thus requiring additional documentation which increased reviews and processing timelines for procurement actions.

These circumstances necessitate the extension of the incumbent task order for PSO services at the Federal Triangle Complex to allow for the solicitation, evaluation, and award of the follow-on MAC task order and the required transition period.

7. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the exception to fair opportunity before any subsequent acquisition for the supplies or services is made.

FPS AD is preparing to solicit a competitive task order under Track 1 of the current MAC contract for this requirement. The follow-on task order requirement is estimated to be awarded on or before August 31, 2025, with an anticipated performance start date on or before January 1, 2026.

8. DHS intends to post this requirement on sam.gov pursuant to FAR 16.505(b)(2)(ii)(D).
