This is a Request for Proposal (RFP) issued by the Saint Louis Zoo for Property & Casualty Insurance and Risk Management Consulting/Brokerage Services for the year 2025, with the solicitation number 2025-04-020. The RFP seeks a state-licensed, full-service broker to assist the Zoo with strategic consultation for their insurance and risk management programs across multiple campuses, including the Forest Park campus, the upcoming WildCare Park campus in Spanish Lake (scheduled to open in 2027), and the Sears Lehmann Jr. Wildlife Reserve in Franklin County. The proposed contract term is up to five years, with the ability to terminate after three years, and the Zoo will be responsible for selecting insurance carriers for 2026. Proposals are due by 2:00 p.m. CST on October 9, 2025, with all electronic submissions to be submitted as a single PDF.

The current lines of insurance coverage include Property, Wind/Hail Buydown, Crime, General Liability, Commercial Auto Liability, Umbrella Liability, Workers Compensation, Directors & Officers, Employment Practices & Fiduciary Liability, Cyber Security, Veterinary Professional Liability, Miscellaneous Foreign and Executive Liability, and Pollution Liability. The Zoo is interested in different compensation models and requests bidders to provide both commission and flat fee options. The selection will be based on criteria such as the firm's professional reputation, qualifications, staff experience, proposed compensation, familiarity with similar insurance issues, client service responsiveness, client recommendations, and a preference for local firms. The Zoo emphasizes that the best bid will be selected, not necessarily the lowest cost bid, and reserves the right to reject any or all proposals.

COMPENSATION AND TERM OF CONTRACT

It is anticipated that a contract will be signed within thirty (30) days after the selection of a broker.

The term of the contract will be for up to five (5) years with the ability to terminate the contract after three (3) years. The selected broker will be responsible for the work required for selection of insurance carriers for 2026. Due to the fact that the Zoo is a public trust, it is anticipated that this brokerage business will be bid out again at the end of a maximum of five (5) years.

All bids should identify the commission percentage that would be applicable to each line of coverage and provide a preferred alternative compensation structure based on a flat fee. In the event commissions cannot be removed, please state so and the amount of commission to be paid to the broker.

This invitation is not an offer to contract. Acceptance of a proposal does not commit the Zoo to award a contract to any bidder, even if all requirements stated in this letter and in the attached outline are met, nor does it limit our right to negotiate in our best interest. The Zoo reserves the right to contract with any provider of insurance brokerage services for reasons other than lowest price. The prices quoted, as well as other material terms of your proposal, shall be valid and binding, and not subject to change for a period of 90 days from date your proposal is submitted.

Responses to this RFP become the exclusive property of the Saint Louis Zoo. Unless you obtain our prior written consent, you may not use the information contained herein except only for purposes of responding to this invitation. All proposals received in response to this RFP become

Property & Casualty Insurance and Risk Management Consulting/Brokerage Services, #2024-04-020 a matter of public record and shall be regarded as public records, with the exception of those elements in each proposal which are defined by the Respondent as business or trade secrets and plainly marked as “Confidential,” “Trade Secret,” or “Proprietary.” The Zoo shall not in any way be liable or responsible for the disclosure of any such proposal or portions thereof, if they are not plainly marked as “Confidential,” “Trade Secret,” or “Proprietary” or if disclosure is required under the Public Records Act. Trade secret information may be protected from disclosure; the

Zoo may not be in a position to establish that the information a Respondent submits is a trade secret. If a request is made for information marked “Confidential,” “Trade Secret,” or
