About this file

This is a Professional Services Agreement template from the City of Bridgeport, Connecticut, establishing the contractual framework for independent contractors providing professional services to the municipality. The agreement incorporates terms and conditions from the underlying Request for Proposals (RFP) solicitation and the contractor's proposal response. The contract specifies that the contractor shall provide services as detailed in the RFP solicitation documents, available to the City throughout the agreement term in a professional and skillful manner compliant with applicable codes, regulations, and standards of practice. The initial contract term is variable (to be filled in upon execution), with the City retaining unilateral options to extend for consecutive periods as specified in the agreement. The contractor is classified as an independent contractor and is not entitled to employee benefits, including health insurance, workers' compensation, vacation, or pension participation.

Compensation is structured as a total annual sum not to exceed an amount to be specified, with monthly progress payments made upon satisfactory completion of services according to an approved Schedule of Values. The contractor must submit detailed invoices setting forth hours worked and services completed, with payment made within the timeline specified in the agreement. No direct costs are reimbursable without prior written approval from the City's designated Director. The City may terminate the agreement at any time with or without cause upon fifteen days' written notice, with the contractor receiving compensation only for satisfactorily completed services prior to termination. The contractor is required to maintain comprehensive insurance coverage, including Workers' Compensation with $100,000 employer's liability limits, Commercial General Liability of $1,000,000 per occurrence with $2,000,000 annual aggregate, Automobile Liability of $1,000,000, and Professional Liability of $1,000,000 per claim with $1,000,000 aggregate, with professional liability coverage required for seven years following project completion. All work product and intellectual property rights become the sole property of the City upon creation. The agreement is governed by Connecticut law and any action shall be brought in the Judicial District of Bridgeport.
