About this file

This is a Professional Services Agreement template between the City of Bridgeport, Connecticut, and a selected consulting firm for the provision of multi-disciplinary engineering and/or planning consulting services. The City issued a solicitation for qualified firms to provide services for the development of a Citywide Complete Streets Program, funded through the USDOT Safe Streets and Roads for All (SS4A) program. The scope of work includes developing a community-driven Complete & Safe Streets Design Manual, preparing a Safety Action Plan, and implementing demonstration activities to support Plan Bridgeport's 10-year Comprehensive Plan of Conservation and Development goals and Vision Zero strategies. The selected consultant must designate a principal in charge acceptable to the City and shall commence services only upon receipt of a written Notice to Proceed from the City's designated Director. The agreement specifies that services must be completed within a timeframe to be determined at execution, with a schedule for completing individual project tasks to be included in the consultant's proposal clarification.

Compensation for satisfactory performance shall not exceed a maximum amount to be specified in the final executed agreement and is based on the consultant's itemized proposal response form. Monthly invoicing is permitted based on services performed and percentage of completion for individual tasks, with final invoicing submitted upon project completion. Reimbursable costs directly related to services require specific prior written approval from the Director for each expense. The consultant must obtain and maintain comprehensive insurance coverage, including general liability, professional liability, and workers' compensation, naming the City as an additional insured on a primary and noncontributory basis. The agreement is subject to Connecticut law and requires compliance with the City's Living Wage Ordinance under Chapter 62 of the Bridgeport Charter. All work product, deliverables, and intellectual property developed under the agreement become the exclusive property of the City. The City reserves the right to terminate the agreement for convenience with thirty days' notice or for cause upon five days' written notice if material breaches occur or services are not performed in a timely and professional manner.

Acceptance by the Consultant of final payment for the Services performed under this Agreement shall constitute a full and complete release of the City, its officers, and agents, of all claims, demands, and liabilities to the Consultant related to this Agreement.

{00113067.DOCX 1} Page 6

8.01. Insurance Requirements. Article 9. Indemnification

9.01. The Consultant expressly agrees that it shall at all times indemnify, defend and save harmless the City and its respective officers, agents, and employees, from and against any and all demands; claims; damages; losses; litigation; reasonable financial costs and expenses; and compensation related to personal injuries (including death), any damage to property, real or personal, and any other loss, expense or aggrievement directly or indirectly arising from related to or connected with the breach of this Agreement or the negligent, wanton or willful acts or omissions of the Consultant, its employees, agents, subcontractors, material suppliers, or anyone directly or indirectly employed by any of them in the performance of this Agreement. The Consultant shall and does hereby assume and agree to pay for the defense of all such aforementioned claims, demands, suits, proceedings, and litigation. The provisions of this paragraph shall survive the expiration or early termination of this Agreement; shall be separate and independent of any other provision or requirement of this Agreement; and shall not be limited by reason of any insurance coverage provided hereunder. The City may withhold from any payment due or to become due to the Consultant an amount sufficient in its judgment to protect and indemnify the City, its officers, agents, servants, and employees from and against any and all such claims and liabilities described above.

The Consultant’s duties under this section shall remain in effect and binding in accordance with the terms and conditions of this Agreement and any extension thereof, without being lessened or compromised in any way, even where the Consultant, or its employees, agents, subcontractors, material suppliers, or anyone directly or indirectly employed by any of them, are alleged or found to have merely contributed in part to the actions or omissions giving rise to the claims and/or where

In furtherance to but not in limitation of the indemnity provisions in this Agreement, Consultant hereby expressly and specifically agrees that its obligation to indemnify, defend and save harmless the City as provided in this Agreement shall not in any way be affected or diminished by any statutory or constitutional immunity it enjoys from suits by its own employees or from limitations of liability or recovery under workers' compensation laws.

Article 10. Termination, Damages, and Remedies

10.01. Termination for Convenience. The City may at any time and for any reason terminate this Agreement for convenience by written notice specifying the termination date, which shall be not less than thirty (30) days from the date such notice is given. In the event of such termination, Services shall be paid for in such amount as shall compensate the Consultant for the portion of the Services satisfactorily performed prior to termination. Such compensation shall not, however, include unabsorbed home office overhead or lost profits. The Consultant’s compensation upon termination for convenience shall be fixed by the City after consultation with the Consultant and shall be subject to audit by the City's Comptroller. Termination under this section shall not give rise to any claim against the City for damages or for compensation in addition to that provided hereunder.

10.02. Termination for Cause. In the event the Director determines that there has been a material breach by the Consultant of any of the terms of the Agreement, or that the Consultant refuses or has failed to perform the required Services or any part thereof in a timely, professional, and diligent manner as will ensure its completion in accordance with the requirements hereof, the City has the right, power and authority to terminate this Agreement for cause upon providing the Consultant five (5) days written notice. By the terms of this Agreement, the City may, but is not obligated to, provide the Consultant with a reasonable opportunity to cure the breach before the termination becomes effective. If any such costs exceed the sum due or to become due to the Consultant, then, upon demand, the Consultant shall pay the excess amount to the City. In computing the amounts chargeable to the Consultant, the City shall not be held to a basis of the lowest prices for which the completion of the Services or any part thereof, but it shall charge to the Consultant, and the Consultant shall be liable for all sums actually paid and expenses actually incurred in affecting prompt completion of the Project hereunder. The City’s rights described herein are in addition to any other rights and remedies provided by law.

Termination under this section shall not give rise to any claim against the City for damages or compensation in addition to that provided hereunder.

10.05. City’s Remedies for Default. The City may withhold payment of any amount otherwise due and payable to the Consultant hereunder when the City has reasonable grounds for believing that:

(A) The Consultant will be unable to perform the Services required under this Agreement fully, professionally, and satisfactorily within the time fixed for performance; or (B) A meritorious claim exists or will exist against the Consultant or the City arising out of the negligent, willful or wanton acts, errors or omissions of the Consultant, its agents, servants or employees, or the Consultant’s breach of any provision of this Agreement (“Default”). Any amount so withheld may be retained by the City for such period as it may deem advisable to protect the City against any loss and may, after written notice to the Consultant, be applied in satisfaction of any claim herein described. This provision is intended solely for the benefit of the City, and no person shall have any right against the City or claim against the City by reason of the City’s failure or refusal to withhold monies. The period during which such Services are suspended shall be deemed added to the time for performance. In the event that the City directs the suspension of the Services hereunder for a period of time in excess of one (1) year, through no fault of the Consultant, the parties may negotiate an adjustment in the fees payable hereunder due to a rise in the cost of performance.

Suspension of Services under this Article shall not give rise to any claim against the City.
