About this file
This document is a Quote Form and Statement of Work (SOW) issued by the Commonwealth of Massachusetts for a statewide contract (RFR#: PRF78) covering Categories of Service C-5 and C-6 related to Revenue Recovery, Revenue Maximization, and Telecommunication Utility Audits. The contract is a Master Blanket Purchase Order (COMMBUYS Contract#: PO-21-1080-OSD03-SRC01-20832) with a duration from January 1, 2025 to December 31, 2026, and is available to all Commonwealth Eligible Entities across government branches.
The contract focuses on revenue enhancement and recovery services, including utility audits, telecommunication audits, accounts payable and receivable audits, and recoveries. Contractors can be compensated on either a fee-for-service basis or a contingent fee based on recoveries collected. The document outlines a competitive quote process where eligible entities can select contractors based on qualifications, work plan, costs, and potential interviews. Pricing is restricted to blended hourly rates and negotiated contingent fees listed in the original RFR Response. Statements of Work (SOWs) under this contract may not extend beyond December 31, 2027, and contingent fee contracts are limited to 36 months. All SOWs require prior review and approval, particularly for state departments, to ensure compliance with state financial regulations.

COMMBUYS: Master Blanket Purchase Order Contract Duration: January 1, 2025 – December 31, 2026 MMARS #: MAOSDPRF78DesignatedCTR01 – Must be used by State Departments on MMARS This Quote Form/SOW is to be used by all Commonwealth Eligible Entities for any engagements for Statements of Work (SOW) under RFR# PRF78DESIGNATEDCTR00. This Quote Form/SOW must be used by any Commonwealth Eligible Entity in any branch of government that uses the Statewide Contract for Ancillary Audit Services.
Once a Contractor has been selected, the details of the engagement (services to be performed, timeline or schedule of performance completion dates and pricing) should be completed as part of this Quote Form/SOW (and not by separate attachment) as the formal engagement of a Contractor. Note: all allowable additional terms and conditions have been included in the Statewide Contract. Eligible Entities may NOT execute a separate Standard Contract Form or ANY OTHER contract form or addendum with engagement or contractual terms. All performance expectations must be included as part of this Quote Form/SOW.
If an amendment is needed, this Quote Form/SOW must be used for any amendments. This Quote Form/SOW is not a separate contract but serves as the scope of performance and budget for each ancillary audit engagement which incorporates by reference all the terms of the Contractor submitted in its Response to the Statewide Contract.
Performance may not begin until the Quote Form/SOW has been executed by authorized signatories of the Eligible Entity and the Contractor.
The scope of performance identified in this Quote Form for the purpose of Contractor selection is an estimate in order to evaluate potential Contractors and select the best value qualified Contractor for the engagement. The Eligible Entity will determine which Contractor provides the best value and may base final selection on the best fit of experience, expertise and skills, interviews with Contractors and project managers, the willingness of Contractors to negotiate the best value for a project (including allocation of resources) and the ability to perform the engagement in the time required.

Eligible Entities that are State Departments seeking to engage a contractor for Revenue recovery or other services for a contingent fee payment based upon revenues collected or saved, are required to receive prior approval of the Comptroller for delegation to procure a contingent fee contract.
Compensation is paid to a Contractor under a contingency contract or related interdepartmental service agreement after certification by the Eligible Entity state department, and approval by the Comptroller’s Office, of both of the following steps:
(a) it is determined that increased revenue over the measurement basis has been collected and such collection is confirmed through deposit to a bank account with the State Treasury or other method of cost recovery, cost avoidance or revenue collection approved by the Office of the Comptroller, and
(b) it is determined that a specified deliverable in the contract has been accepted. The amount of compensation to be paid after accomplishment of these steps will be governed by the terms of this SOW.
The Office of the Comptroller will establish all funds, subfunds, revenue accounts, and expenditure accounts, including retained revenue accounts, to implement each contingency contract executed pursuant to 815 CMR 8.00.
The Office of the Comptroller may establish new accounts or other accounting mechanisms as necessary in order to assure proper distinction between revenue and expense operations associated with contingency contracts and revenue and expense operations not associated with contingency contracts.
Approval of the Office of the Comptroller will be required for all specific transactions by which revenues over the measurement basis associated with contingency contracts are accounted to specified accounts. This approval may be done on an item by item basis, summarized basis, or by other method as determined by the Comptroller.
Measurement Basis for Contingency Contracts. The measurement basis for contingency contracts shall be specified to establish clearly the difference between that revenue which would be received without outside assistance and that revenue expected to be received with outside assistance. A measurement basis for contingency contracts may be defined and applied to base revenue situations, maximized revenue situations, or both situations.
Revenue. Income earned by the Commonwealth for services provided. Only revenue actually received and confirmed by a Treasury cash receipt or other approved method is available for measuring revenue for contingency payments. Cost avoidance includes savings which free up current funds making these funds available for other expenditures.
Comptroller Approval Contingency Contracts. Final SOWs for Contingency contracts, or Interdepartmental Service Agreements relating to contingency contracts, must be signed by the Comptroller.
All contingency contracts will specify the maximum obligation of the Commonwealth to the outside party. In addition to maximum obligation, contingency contracts may specify compensation as a percent of the increase of federal financial participation or other reimbursement only over the measurement basis. It is expected that most contingency contracts will be structured as a percent of the increase of federal financial participation or other reimbursement only over the measurement basis not to exceed the maximum obligation; however in some cases fee for service arrangements may be appropriate. Within the compensation structure, a differential set of percentages related to differential increments over the measurement basis is allowable.
Any department performing contract and project management and supervision will provide progress and status reports in a form and at intervals as specified by the Comptroller. These specifications may be tailored by the Comptroller to suit the requirements of individual contingency contracts. Non-performance by a department of the specified requirements under a SOW will be grounds for the Comptroller to revoke the delegation of contract and project management and supervision. If this circumstance arises, the Comptroller may delegate responsibility to another signatory to the contract or assume the responsibility directly to the Comptroller’s Office.
