About this file
The document is a Request for Proposal (RFP #2022-RFP-0073) issued by Sacramento County, California, seeking a contractor to provide portable restrooms and sinks for persons experiencing homelessness. The RFP solicits rental of portable toilets (including ADA and standard units with and without sinks) for unsheltered individuals in public encampments and designated sites. The County requires a minimum of 40 units throughout Sacramento County, with locations, unit numbers, and servicing frequency subject to change. The RFP was released on July 22, 2022, with a pre-bid meeting scheduled for July 26, 2022, a question submission deadline of August 12, 2022, and a response deadline of August 23, 2022, at 4:00 pm. The County plans to award the contract on October 3, 2022, and intends to establish both a primary and secondary vendor.
The pricing structure includes various unit types with weekly rental rates, servicing fees (from one to five times per week), and additional costs such as relocation, delivery/pickup, and replacement fees. The County will evaluate proposals based on multiple criteria including supply requirements, sanitation, pricing, communication, program needs, references, audit logs, locations, order quantity, cleaning logs, ability to work with the homeless population, environmental considerations, and risk assessment. The contract requires the vendor to provide comprehensive services including regular cleaning, waste removal, restocking supplies, and maintaining good neighbor practices. Insurance requirements are extensive, with minimum coverage levels for general liability, automobile liability, workers' compensation, and pollution liability, reflecting the sensitive nature of the services and target population.

This proposal award will be determined by factors other than price alone. The County’s sole purpose in the evaluation process is to determine from among the Responses received, which one is best suited to meet the County’s needs. Any final analysis or weighted point score does not imply that one proposal is superior to another, but simply that in our judgment the proposal(s) we select offer(s) the best overall solution for our current and anticipated needs. The County reserves the right to make modifications to any scoring and/or weight structure prior to the evaluation of responses. The responses will remain sealed during the proposal evaluation period, and will be made available for public inspection upon notice of proposal award.
A primary and secondary vendor will be considered for contract award by the County. The next highest scoring Responsive proposal shall be the Secondary Vendor who shall be the secondary or back-up source of for all designated proposal items. The Secondary Vendor shall be utilized only if extenuating circumstances or non-compliance precludes the Primary Vendor from fulfilling orders for goods or services. In any situation where obtaining services from the Primary Vendor (s) is not in the best interest of the County, or the vendor cannot deliver material and/or services within 24 hours of date required, or on an emergency basis, staff may obtain services from the Secondary Vendor.
Bid responses will be considered valid for a period of 90 calendar days after bid closing date above.
Note: All specifications, terms and conditions of this request will apply to any resulting order.
4.1. Scoring Criteria
Proposals will be scored on supply requirements, sanitation, pricing, communication, quality needs of program, references, audit log, locations, order quantity, cleaning log, working successfully with persons experiencing homelessness, environment and risk assessment. Contract(s) will be awarded to the highest scoring proposer(s).

6.9. Damaged Units
The vendor will offer a damage waiver to the County that releases the County from any repair obligation in the event the sanitation unit is damaged, vandalized or otherwise tampered with during the rental period. The costs associated with and the terms and conditions of the damage waiver shall be included in the vendor's proposal.
6.10. Audit Log
In addition to the cleaning logs inside each unit vendor shall maintain a separate system that will ideally include a photo and a time stamp of cleaning or other mutually agreed upon documentation. The
County will provide a form for the vendor to complete or may approve a vendor created form. Audit logs should be provided to County on a weekly basis. Should there be the opportunity for same day data input, that would be the preference. Sample form information below:
6.11. Locations
A map of current locations is included. County Staff may adjust the locations prior to deployment at no cost. Any changes required by the County after initial deployment, the vendor’s standard delivery/pick up fee (if any) shall apply.
6.12. Order Quantity
The County may require additional units at the same bid prices within the term of the agreement.
6.13. Cleaning Log
Vendor shall provide documentation that servicing of units has been completed. Documentation shall include a cleaning log on the units (sanitation stations and sinks) that is completed after servicing.
Cleaning log should include a minimum information of the date it was serviced and indication of who serviced it. Cleaning log should include at least 5 past visits.
6.14. Ability to work successfully with the population we are serving
In this project we are working with people experiencing homelessness. There are specific strategies around entering a community that is different from one’s own (an encampment) that is required for any contractor doing sanitation services to operate within. Some of those strategies included a trauma informed approach, de-escalation, and clear communication. A kind, humble and safe approach to people living outside is needed.
If an issue arises between vendor staff and individuals living in an encampment that has escalated to impeding relationships and service delivery, notification shall be made to sanitation@saccounty.gov
(916-917-3496) within 4 hours.
6.15. Pricing
Rental prices shall include all equipment, labor, chemicals, delivery, installation and pickup. Said prices should account for the expected use of these units, including usage volume, wear and tear, and unmonitored locations. Awarded vendor shall provide all chemicals, hand sanitation solution and paper products required for servicing of each unit at no additional cost.
6.16. Environment
During service, the vendor will keep the surrounding area free from any debris and/or fluids produced as a result of the service process. Any fluid spill (including cleaning or added tank solutions) that occurs will be cleaned immediately by the vendor before they leave the site. The vendor will take all precautions and employ best management practices to avoid any spill that enters any storm drainage inlet and or waterway. Adequate spill protection will be carried by each service truck and the driver will be trained on the procedure to clean and manage a spill by the vendor firm. In the event that of a spill that enters a storm drain or waterway, the contractor should report to County 3-1-1 and provide location of spill, estimated amount that entered into the storm drain or open waterway. County 3-1-1 will then immediately notify DWR Drainage Maintenance and Operations and a crew will be dispatched to address the spill by containing and cleaning.
During service, the vendor will keep the surrounding area, including sidewalks and parking lots, free of any service vehicle fluids including, but not limited to, engine oil and hydraulic fluid. Service vehicles will be leak free before coming on site to conduct service and or drop off/pick up. Any staining of the surrounding area (concrete, brick or asphalt) caused by the vendor's activities will be cleaned by the vendor with a hot/pressure/chemical washer (within 48 hours of contact from the County representative) at the expense of the Contractor. The need for cleaning will be determined by the
County representative.

H. ASSIGNMENT: (a) This award is not assignable by contractor either in whole or in part, without the prior written approval of the Purchasing Agent of the County of Sacramento. O. FORCE MAJEURE: The contractor will not be held liable for failure or delay in the fulfillment of conditions of purchase order/contract if hindered or prevented by fire, strikes, or Acts of God.
P. INVOICING: Upon submission of itemized invoices, in duplicate, payment shall be made of the prices stipulated herein for supplies delivered and accepted or services rendered and accepted, less deductions, if any, as herein provided. Payment on partial deliveries may be made whenever amounts due so warrant or when requested by the contractor and approved by the

C. Preference for California-made materials. Pursuant to Sections 4330-4333 of the Government
Code, the County, in awarding the purchase, must prefer supplies partially manufactured, grown or processed in California, price, fitness and quality being equal. In order to receive preference, responses must clearly specify the item(s) for which preference is claimed and the preference applicable.

A. Include any sales, use, or federal excise taxes in your response as separate line item(s).

Purchasing Agent as to what items are equal is final and conclusive. When brand, number, or level of quality is not stated by bidder, the offer will be considered exactly as specified.
Samples: Samples of articles, when required, must be furnished free of cost. Samples may be retained for future comparison. Samples which are not destroyed by testing or which are not retained for future comparison will be returned upon request at your expense.
Indemnification for Sanitation Station Contractors: To the fullest extent permitted by law, Contractor shall indemnify, defend, and hold harmless County, its governing Board, officers, directors, officials, employees, and authorized volunteers and agents, (collectively “Indemnified Parties”) from and against any and all claims, demands, actions, losses, liabilities, damages, and all expenses and costs incidental thereto (collectively “Claims”) including cost of defense, settlement, arbitration, and reasonable attorneys' fees, resulting from injuries to or death of persons, including but not limited to employees of either Party hereto, and damage to or destruction of property or loss of use thereof, including but not limited to the property of either Party hereto, arising out of, pertaining to, or resulting from the acts or omissions of the Contractor, its officers, employees, or agents, or the acts or omissions of anyone else directly or indirectly acting on behalf of the Contractor, or for which the Contractor is legally liable under law regardless of whether caused in part by an Indemnified Party. Claims arising from the sole negligence or willful misconduct of an Indemnified Party where such indemnification would be invalid under Section 2782 of the Civil Code.
This indemnity shall not be limited by the types and amounts of insurance or self-insurance maintained by the Contractor or the Contractor’s Subcontractors.
Nothing in this Indemnity shall be construed to create any duty to, any standard of care with reference to, or any liability or obligation, contractual or otherwise, to any third party.
The provisions of this Indemnity shall survive the expiration or termination of the Agreement.
Termination:
A. County may terminate any resulting agreement without cause upon thirty (30) days written notice to the other party. Notice shall be deemed served on the date of mailing. In the event of such termination, County may proceed with the work in any manner deemed proper by County. If notice of termination for cause is given by County to contractor and it is later determined that contractor was not in default or the default was excusable, then the notice of termination shall be deemed to have been given without cause pursuant to paragraph (A) above.
C. County may terminate or amend any resulting agreement immediately upon giving written notice to contractor, 1) if advised that funds are not available from external sources for this agreement or any portion thereof, including if distribution of such funds to the County is suspended or delayed; 2) if funds for the services and/or programs provided pursuant to this
Agreement are not appropriated by the State; 3) if funds in County's yearly proposed and/or final budget are not appropriated by County for this agreement or any portion thereof; or 4) if funds that were previously appropriated for this agreement are reduced, eliminated, and/or re-allocated by County as a result of mid-year budget reductions.
D. If any resulting agreement is terminated under paragraph A or C above, contractor shall only be paid for any services completed and provided prior to notice of termination. In the event of termination under paragraph a or c above, contractor shall be paid an amount which bears the same ratio to the total compensation authorized by the agreement as the services actually performed bear to the total services of contractor covered by this agreement, less payments of compensation previously made. In no event, however, shall County pay contractor an amount which exceeds a pro rata portion of the agreement total based on the portion of the agreement term that has elapsed on the effective date of the termination.
E. Contractor shall not incur any expenses under any resulting agreement after notice of termination and shall cancel any outstanding expenses obligations to a third party that contractor can legally cancel.
