About this file

This is a Justification and Approval (J&A) document for a sole-source contract award under the "Unusual and Compelling Urgency" authority. The United States Space Force, Space Acquisition & Integration Office (SAIO) is seeking to award a Firm-Fixed-Price commercial services contract to DEFTEC Corporation, a small business, for Program Management Office (PMO) support related to the relocation of U.S. Space Command (USSPACECOM) headquarters to Redstone Arsenal. The contract period runs from February 23, 2026, through February 22, 2027 (12 months), with an estimated cost in the range of $750,000 to $15 million. The services required include Advisory and Assistance Services (A&AS) under NAICS 541330 (Engineering Services), specifically focused on design, construction planning, project execution, and transition-to-occupancy support for the USSPACECOM Command & Control Facility (C2F). The contract line items include Labor, Travel, Other Direct Costs, and Contract Access Fee, all structured as Firm-Fixed-Price arrangements.

The justification cites the urgent directive from the Secretary of War to establish 50% of USSPACECOM at Redstone Arsenal by October 2028, with construction of the permanent facility beginning in 2027. DEFTEC was selected based on its satisfactory or higher performance on a similar, competitively awarded contract currently in its first option period under USSPACECOM J4. The government determined that engaging in competitive procurement would introduce unacceptable delays and mission risk, particularly given the short-term nature of this requirement and the potential for substantially different requirements over the next 6-9 months depending on the final MILCON strategy. The contracting officer will determine fair and reasonable pricing using historical cost data for similar A&AS awards, labor rate analysis, and trend analysis. A follow-on competitive acquisition for similar services is planned to be awarded and transitioned prior to contract expiration. The J&A was approved on February 14, 2026, by Jodi L. West.

(See "Specific Guidance for Completing this Template" after item XII below.)

I. Agency and Contracting Activity.

Department of the Air Force (DAF)

United States Space Force (USSF)

Combat Forces Command (CFC)

Space Acquisition & Integration Office (SAIO)

135 Dover St. Ste. 2225, Peterson SFB, CO 80914

II. Nature and/or description of the action being approved.

U.S. Space Command (USSPACECOM) has an urgent need for a new contract in support of the basing decision and move of HQ USSPACECOM to Redstone Arsenal (RSA). At the direction of the United States Secretary of War (SECWAR), USSPACECOM is ordered to establish 50% of the command on RSA by October 2028, with construction of the permanent Command and Control Facility beginning in 2027. To accomplish this, the newly established USSPACECOM Redstone Transition Team (RTT) requires a dedicated Program Management Office (PMO.)

To meet the SECWAR direction and the USSPACECOM RTT planning objectives, a new contract is needed as soon as possible. The contract will be a Firm-Fixed-Price, commercial services contract under FAR 6.302-2 10 USC 3204(a)(2), Unusual and Compelling Urgency.

III. Description of supplies/services required to meet agency needs.

US Space Command (USSPACECOM) RTT Program Management Office (PMO) manages the design, construction, and mission equipment integration for the USSPACECOM Command & Control Facility (C2F), as well as the transition-to-occupancy. The design and construction planning and project execution responsibilities include the integration of all USSPACECOM requirements, which also consists of information technology (IT) and security components. As the USSPACECOM Command & Control Facility (C2F) Requirements Owner, the RTT PMO requires this support to assist in establishing technical and engineering expertise to successfully accomplish assigned tasks.

This is a requirement for performance-based services with a 12-month period with an estimated period of performance of 23 February 2026 through 22 February 2027. It covers various Advisory and Assistance Services (A&AS) within the RTT PMO to support planning, design, construction, and transition to occupancy for the C2F.

This requirement is for A&AS support and falls under North American Industry Classification System (NAICS) 541330 - Engineering Services.

The anticipated contract line items (CLINs) and the corresponding line item type are as follows:

Labor: Firm Fixed Price Travel: Firm Fixed Price Other Direct Costs: Firm Fixed Price Contract Access Fee: Firm Fixed Price

Estimated cost for the one year period of performance is . The estimated cost was determined by using a bottom up cost estimating technique and researching labor category fully burdened rates for the Huntsville, AL area.

The Procuring Contracting Officer and USSPACECOM have determined this to be a commercially available service.

The CLIN structure will not include separately-priced CLINs for intellectual property (IP) and IP rights.

IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above.

In order to successfully meet the urgent need to support the RTT PMO, a direct award to DEFTEC Corporation, a small business, has been determined to be the appropriate course of action. USSPACECOM J4 has a contract of similar scope that was competitively awarded to DEFTEC. This contract is currently in its first option period and performance is determined to be satisfactory or higher in all areas. There is significant risk of mission impact and subsequent military readiness if additional delays are incurred by engaging in further market research or issuing requests for information to broader industry. In this case, since a high performing company is performing like requirements, and was selected through a competitive process, additional market research would not result in substantive differences that outweigh the mission impact.

V. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under

FAR 5.202 applies.

The Government's market research indicates that while there are multiple companies that could perform this work, competition should not be pursued at this time. Competition would introduce unacceptable risk in performance delays due to the need for a transition/phase-in period for the contractor to get acclimated and would not make good business sense for a short-term contract solution.

This acquisition will not require a Pre-solicitation Notice IAW FAR 5.1 or a Solicitation Notice IAW FAR 5.2 due to the use of other than full and open competition exception FAR 6.103-2, Unusual and Compelling Urgency.

VI. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Procuring Contracting Officer has historical cost and price data for multiple A&AS awards with many of the same or similar labor categories and levels, which will be utilized with proposal analysis techniques under FAR 15.404-1 to determine fair and reasonable pricing. Additionally, analysis of certified cost or pricing data through comparison with historical pricing, evaluation of direct labor rates, and trend analysis will also be conducted to determine the price as realistic and fair and reasonable. The contracting officer will utilize all of the above to analyze the contractor's proposed prices for the 12-month award so that the proposed contract price can be determined to be fair and reasonable.

VII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Market research consisted of searches on GSA and in the public marketplace as well as an examination of recent acquisition history for like requirements. Additionally, USSPACECOM J4 has a contract of similar scope that was competitively awarded to DEFTEC. This contract is currently in its first option period and performance is determined to be satisfactory or higher in all areas. There is significant risk of mission impact and subsequent military readiness if additional delays are incurred by engaging in further market research or issuing requests for

August 2023 CONTROLLED UNCLASSIFIED INFORMATION Page 4 of 8August 2023 CONTROLLED UNCLASSIFIED INFORMATION Page 4 of 8 information to broader industry. Since this company is successfully performing like requirements, and was selected through a competitive process, additional market research would not result in substantive differences that outweigh the mission impact.

VIII. Any other facts supporting the use of Other Than Full and Open Competition.

Due to the directives by SECWAR to move as quickly as possible to complete the HQ USSPACECOM transition to RSA, many avenues and novel approaches to completing MILCON are being considered. Depending on the specific approach that is implemented over the next 6-9 months, the end requirements to support the PMO could be drastically different. This would make competitively awarding this contract at this point substantially higher risk of not being able to support the ultimate needs of the PMO.

Given the urgent need to establish the USSPACECOM headquarters at Redstone Arsenal to meet strategic national security objectives, a sole-source award is the only viable option. The DEFTEC's qualifications and experience in the defense ecosystem are essential to support the command's transition team and fulfill the leadership's directive for an expedited and seamless relocation. Any other course of action would result in unacceptable delays, increased costs, and a potential degradation of mission readiness during a critical time for our nation's defense in the space domain.

IX. List of any sources that expressed, in writing, an interest in the acquisition.

Formal market research was not conducted to allow sources to express an interest.

X. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisitions for the supplies or services required.

A follow-on for this requirement is being completed through CFC/SAIO and planned to be awarded and transitioned prior to the expiration of this contract. This acquisition is planned to be a competitively awarded contract for similar requirements, but may also be substantially expanded depending on the particular MILCON strategies engaged.
