3. GENERAL DESCRIPTION AND REQUIREMENTS

Description of Scope

The scope will provide for construction, revitalization, recapitalization (restoration and modernization) and sustainment (maintenance and repairs) of systems and infrastructure at NSWCCD area of responsibilities. The work under this contract shall be determined by individual FFP Task Orders predicated on an individual performance-based scope of work for each individual task order. The magnitude of construction for the majority of task orders is expected to be in the $2,000 to $6,000,000 for revitalization and recapitalization projects and $2,000 to $7,500,000 for repair projects. Total contract shall not exceed $44,000,000.

Quality Control

The Contractor shall establish, maintain and submit a complete quality control program in accordance with standards outlined in individual task orders.

All work will be inspected to ensure compliance with the requirements of this contract, the Task Order and applicable approved submittals. All work performed shall conform to the Unified Facilities Guide Specifications (UFGS), standard industry work practices, and all terms and conditions of this contract. Unless otherwise directed by the PCO, all work shall be performed in accordance with the current National Fire Protection Association (NFPA) codes and standards, International Building Code, International Plumbing Code and International Mechanical Code. These codes take precedence over all other direction that may be provided herein or with individual Task Orders UNLESS more stringent requirements are indicated at the Task Order level (the more stringent requirements take precedence).

Contractor Documents and Records

The Contractor shall maintain accurate and complete records, files, and documents to include state and local laws, ordinances, rules, regulations, manufacturer’s instructions, and recommendations that are necessary and related to the work.

Contractor Reports and Drawings

The Contractor shall prepare and submit required reports, maintain current record drawings, and submit required information.

Joint Scoping

When necessary, the Government may conduct a joint scoping meeting/site visit prior to the issuance of each Task Order (TO). The use of Joint Scoping between the Contractor and the Government is to fully identify the work needed to fulfill the requirement.

The Joint Scoping Review shall be conducted to enable the Contractor to detail the project based on the requirement information provided by the Government in writing, the conditions observed at the site, and discussion(s) with the Government’s authorized representatives. Any deficiencies, omissions, or conflicts that are identified during the site visit shall be brought to the attention of the KO, in writing, as soon as possible for resolution prior to submission of the Contractor’s proposal.

The Contractor may submit written recommendations for changes, deviations or value engineering alternatives to the Government’s original project scope that will provide better quality, maintainability, constructability, operability, or price to the Government. The recommended changes to the scope shall be clearly identified in the form of a narrative description, with drawings or sketches as necessary, and shall reference the technical specification requirements.

The Contractor shall submit the proposed Joint Scope to the KO for review not to exceed 5 days after the site visit. This time frame may be extended by the KO due to the size or complexity of the project.

Upon establishment of the final scope contained in the RFP for the individual Task Order, the Contractor shall then prepare his proposal for accomplishment of the task.

Material Lists

The Contractor shall provide materials lists to include trade names, brand names, model number, and ratings (if appropriate) for all materials necessary for each task order.

Submittals

All contractor submittals shall be in compliance with all applicable Federal, State and Local laws, regulations and policies. Submittals shall be outlined in individual task orders. The Contractor shall respond to all Request for Proposals (RFP) and Request for Quotations (RFQ) with pricing information using the RSMeans cost-estimating program.

Work by Others

The Government reserves the right to accomplish work within the scope of the contract by Government forces or by other contracts, at the discretion of the KO.

4. DEFINITIONS

Facilities Sustainment - is defined as the maintenance and repair activities necessary to keep a typical inventory of facilities in good working order. Sustainment includes regularly scheduled maintenance as well as cyclical major repairs or replacement of components that occur periodically over the expected service life of the facilities. Due to obsolescence, sustainment alone does not keep facilities "like new" indefinitely, nor does it extend their service lives. A lack of full sustainment results in a reduction in service life that is not recoverable in the absence of recapitalization funding.

Restoration - activities intend to restore real property to such a condition that it may be used for its original designated purpose. Such activities include repair and replacement efforts to renovate facilities damaged by inadequate sustainment, excessive age, natural disaster, fire, accident, or other causes.

Modernization - activities involve the alteration or replacement of facilities solely to implement new or higher standards (including regulatory changes); to accommodate new functions; or to replace building components that typically last more than 50 years (such as foundations and structural elements).

Recapitalization is defined as major renovation or reconstruction activities (including facility replacements) needed to keep existing facilities modern and relevant in an environment of changing standards and missions. Recapitalization extends the service life of facilities or restores lost service life. It includes restoration, modernization or replacement of facilities but not the acquisition of new facilities. It also includes the demolition of deteriorated facilities if demolition is part of the renovation process or performed in conjunction with construction of replacement footprint elsewhere.

Contractor: The term “Contractor” as used herein refers to both the Prime Contractor and any Subcontractors. The Prime Contractor is solely responsible for ensuring all Subcontractors comply with all terms of this contract.

Contractor Representative: A supervisor, superintendent, or project manager assigned in accordance with the clause entitled “Superintendence by the Contractor”.

Task Order: A document (DD Form 1155) prepared by the KO or Ordering Officer issued to the Contractor for work to be performed. Task Orders may be amended.

Government Representative: Person(s) designated by the KO to be an authorized representative of the Government on this contract.

Contractor Regular Working Hours: Work hours will be established on each task order on a case-by-case basis.

Government Employee Regular Working Hours: Monday through Friday from 7:00am to 4:30pm except Federal Holidays.

Quality Control: Program used by the Contractor to control the quality of goods and services provided.

Quality Assurance: Method used by the Government to assure quality of the end product through monitoring of the Contractor’s Quality Control Program (QCP).

Site: Unless identified otherwise, the term ‘site’ shall mean the actual work site for each project task order. The term ‘site’ shall not be construed to imply all or large segments of any installation served in this contract.

As Directed/ As Required/ As Permitted/ Approved/ Acceptance: where used in the contract, these terms shall be understood to indicate that the authorization/approval etc. is by the KO.

The PCO is the only individual authorized to make changes to the contract and task orders issued under this contract. However, the PCO may delegate his/her authority in writing.

The contractor shall ensure personnel follow direction of the Government Contracting Activity (GCA) to obtain and maintain security clearance eligibility commensurate with the level authorized to be performed as specified by the contract.

Contractors shall appoint a Facility Security Officer (FSO), in a cleared facility, and a Contractor Security Representative (CSR) in a non-cleared facility, to provide security support for this contract. Contractors shall conform to local clause F-247-W001.

Classified contracts. The prime vendor, and all subcontractors, are required to possess a Facility Clearance Level of Secret or above. The Facility Security Officer shall immediately notify the Activity Security Manager (ASM), if changes to status of the Facility Clearance Level occurs to either the prime vendor or a subcontractor. A prime vendor shall not perform duties on the contract without an Active Secret or above Facility Clearance Level. If the prime vendor fails to obtain or maintain a Facility Clearance Level, no subcontractor is allowed to perform duties on the contract.

5.2 ACCESS TO FEDERAL FACILITIES

Contractors are considered visitors and access to government facilities/installations is at the discretion of the government. The government reserves the right to rescind access at any time.

The contractor, while on the installation, shall comply with all policies and requirements involving installation entry control and security.

Contractor employees shall complete all command specific in-processing requirements with the GCA Security Division upon arrival to the Command, and out-process prior to their departure from the Command at the completion of the individual’s performance under the contract.

This shall be updated monthly and when changes occur.

All non-CAC holders, and employees of contractors, vendors or suppliers requesting base access MUST possess or obtain Defense Biometric Identification System (DBIDS) credentials. To obtain DBIDS credentials, the contractor must provide the following to the Visitor Control Center (VCC): 1) A letter or official document (statement of work) from the sponsoring organization that provides the purpose for your access, 2) Valid identification (passport or state driver's license, or Real ID Act-compliant), and 3) Completed copy of the SECNAV 5512/1 form to obtain your background check. Upon completion of a successful background check, the VCC representative will complete the DBIDS enrollment process, which includes your photo, fingerprints, base restrictions, and other caveats and provide contractor new DBIDS credentials.

If a contractor’s background check comes back as unfavorable, the contractor should contact Regional Security for further instructions. The contractor shall be removed from the contract and replaced with an equally capable contractor with a favorable background.

5.3 TEMPORARY ACCESS

For unclassified contracts, the Activity Assistant Security Manager (AASM) may authorize interim access, also known as interim eligibility, to a DON or DoD unclassified computer/network at the Non Critical Sensitivity (NCS) level or below upon a favorable review of the investigative questionnaire, receipt of favorable fingerprint results, and notification that an investigation has been opened by the investigating agency. The ASM may authorize interim privileged level access, when the individual holds an adjudicated Secret clearance (T3, NACLC or ANACI), a review of the SF-86 is favorable, favorable review of fingerprints, and a T5 investigation has been submitted.

For classified contracts, the Defense Counterintelligence and Security Agency (DCSA) is the authority to grant Temporary Access. The Vetting Risk Operations Center (VROC), within DCSA, manages this function. The ASM is prohibited from granting permission on an interim basis to contractor personnel, to classified material.

When results of the investigation are received and a favorable determination is not made, the contractor employee working on the contract under temporary access will be denied access to the computer network, as well as physical access to the government facility. This denial will not relieve the contractor of his/her responsibility to perform duties under this contract.

DENIAL OR TERMINATION OF ACCESS

The Contractor FSO/security representative shall report adverse or questionable contractor personnel information and behaviors that bring into question an individual’s trustworthiness, judgment, and reliability to protect classified information or CUI to the Department of Defense Central Adjudication Facility (DoD CAF) via a JPAS, or successor system, incident report per the National Industrial Security Program Operating Manual (NISPOM). The contractor shall also notify the Commanding Officer via the ASM of such information or behavior.

Upon receipt of derogatory information, the ASM will consult with the Commanding Officer and the KO to determine whether a contractor’s continued access to classified material, IT systems, government facilities or CUI is in the best interest of national security.

Within 10 calendar days of an employee’s termination or separation, or contract expiration, the contractor shall return to the Government AASM any Government-issued items (e.g.

government property, Government-owned keys, CAC’s, and/or issued identification picture badges).

6. PERFORMANCE EVALUATION MEETINGS

(End of Text)

9. AFTER CONTRACT AWARD - TASK ORDER PROCESS

Task Order Request for Proposal

When the Government has a requirement for work, the PCO or authorized representative will provide all Contractors a signed RFP letter outlining the task order requirements. Each task order RFP letter will provide the location, Statement of Work, performance schedule, and other information necessary to prepare an offer. Additional specific requirements will be identified with the RFP letter and the related site-specific SOW.

Preparation Of Proposal

The Contractor’s proposal shall include support documentation to indicate that adequate engineering and planning for the requirement has been done and that the tasks proposed are reasonable for the work to be performed. Documentation to be submitted with the proposal shall include as appropriate, but not be limited to, a detailed unit price estimate arranged in order according to the CSI format, Contractor-prepared drawings, calculations, catalog cuts, specifications, architectural renderings; a preliminary schedule indicating mobilization, submittals, material lead times, performance, phasing, etc.

Proposal For Task Order Modifications

When necessary, only the KO will request proposals for modifications which shall be priced the same way as the work on the Task Orders using the formats established in the contract. In the event that a deductive modification is negotiated, the basis for pricing shall be the same as submitted under the original proposal.

Timelines For Submission of Task Order Proposal

The Contractor’s proposal shall be submitted by the date indicated on the RFP. The time allowed for preparation of the Contractor’s proposal will vary and depend on the complexity and urgency of the Task Order. On complex Task Orders, allowance will be made to provide adequate time for preparation and submittal of the necessary documents with the proposal. In emergent and urgent situations, a Task Order may require immediate completion, the proposal may be required more quickly than usual.

For routine projects, the following timeframes will be used as a guideline (based on working days after establishment of the final scope of work):

Estimated Project Cost* Working Days $2,000 to $25,000 5 $25,000 to $100,000 7 $100,000 to $250,000 10 $250,000 to $750,000 12 >$750,000 18

*based on Government Scoping Estimate

Proposal Evaluation and Negotiation

Upon receipt of Contractors’ proposals, the Government will review the proposals for completeness and reasonableness. At that point, the Government will either make a competitive range determination and hold discussions, or choose a TO awardee based on initial proposals. Once the Government has chosen a TO awardee, if necessary, the KO will discuss the scope of all priced items and negotiate all priced items and performance times with that Contractor. Upon completion of negotiations, the Contractor shall submit a "clean copy" of their proposal reflecting agreed upon line items, schedule, and the final scope. Evaluation of Task Order Proposal is described Section 00 22 16.

Proposal Rejection

The KO reserves the right to reject a proposal for any reason, including, but not limited to:

failure to follow proposal preparation instructions, the quantities or tasks selected by the Contractor, schedule, inadequate documentation, or unacceptable pricing. The KO also has the right to not issue a Task Order if that is determined to be in the best interests of the Government or the proposed cost significantly exceeds the Government estimate or budget.

The Contractor has no claim to recoup proposal expenses. The Government may pursue the performance of such work by other means.

Estimating Errors

The KO will issue a Firm Fixed Price (FFP) Task Order for the work. The costs negotiated and documented in the final proposal will be Firm Fixed Price.

Issuance Of Task Orders and Notice to Proceed

Task orders will be issued by the KO using the Task Order form (DD Form 1155) which will be the Contractor’s notice to proceed, pending any bonding requirements or other necessary documents. The DD 1155 is prepared by the KO and issued to the Contractor for work to be performed. Task Orders will be Firm Fixed Priced with specific completion dates and will clearly define the Scope of Work of services to be performed. Each Task Order may include additional requirements beyond those already included or referenced in the basic contract.

The Government will review the Contractor’s proposal. Upon completion of negotiations, the KO will issue the Task Order or a Modification to the Task Order to incorporate the detailed scope of work, other Task Order requirements, and the final total Task Order price.

Task Orders issued under the contract will be Firm Fixed Price. Task Orders may include Liquidated Damages. Performance and Payment Bonds will be required for the work under individual task orders. No work can proceed prior to receipt by the Government of properly executed Performance and Payment Bonds and the KO’s issuance of a Notice to Proceed. Any work performed prior to issuance of the notice to proceed will be at the contractor’s risk.

Each proposal will be submitted in sufficient detail and breakdown as to proceed with negotiations. All proposals should include Labor, Equipment, Materials, Profit and Overhead.

Any cost element over $1,000.00 shall be broken down into elements under $1,000.00. This detail is also required for all subcontractor costs. The contractor is responsible for all applicable clearances and or permits necessary to perform work at any location. The execution of all work shall be in strict accordance with the clauses in the contract and all applicable Federal, State, and local laws, regulations, codes, or directives.

Preconstruction Conference

Prior to commencing work under a Task Order (unless the Government determines it unnecessary), a Preconstruction Conference shall be held in accordance with FAR Clause 52.236-26 incorporated by reference in Section 00 70 00 within 15 days after Task Order issuance. The Contractor shall coordinate a Preconstruction Conference with the KO and COR to be held within 15 days of Task Order issuance or early enough to ensure timely completion of the work. The Preconstruction Conference may address specific work requirements and restrictions, safety requirements, quality control requirements, project team personnel assignments, security requirements, scheduling, and any other pertinent information regarding the work. Work shall not proceed until after the Preconstruction Conference, unless otherwise permitted by the COR. Failure of the Contractor to request a Preconstruction Conference in a timely manner will not be cause for a time extension on the task order.

Order Of Precedence for Task Order Documents

In the event of any inconsistency in the written direction provided to the Contractor in the Firm Fixed Price Task Order documents, precedence will be as follows:

a. Scope of Work

b. Drawings

c. Specifications (defined here as the UFGS Guide specifications referenced or included in the task order)

Completion Date

The Contractor shall complete all work by the required completion date specified in the Task Order. Where unforeseen conditions cause delays, the completion date may be extended only as negotiated and modified by a formal modification to the Task Order. Upon Task Order completion and Government acceptance of the work, the contractor shall complete a final release and submit it with a request for final payment.
