About this file

This is a Faithful Performance Bond template document for the County of Orange, California, established for use in conjunction with contracts awarded by the County. The bond serves as a guarantee that the Principal (Contractor) will faithfully perform all obligations, covenants, conditions, and agreements specified in the underlying contract. The bond amount, premium rate, contract date, contractor name and address, and surety company information must be completed prior to execution. The document requires signatures from both the contractor and surety representative, with the surety signature requiring notarization and attachment of a notarized certificate to the bond document.

The bond obligates the Principal and Surety jointly and severally to indemnify, defend with County-approved counsel, and hold harmless the County, its officers, and agents in accordance with contract terms. The Surety waives notice of any changes, extensions, alterations, or additions to the contract terms, specifications, or work scope, and remains liable regardless of such modifications. The bond must be approved as to form by the County Counsel's Office and as to surety and limits by the CEO/Risk Management office. Execution requires compliance with California Corporations Code section 313, mandating either two authorized corporate signatories with specific officer titles or one officer authorized by corporate resolution. County enforcement costs, reasonable expenses, and attorney fees incurred in pursuing the bond obligation are recoverable and taxable as costs in any resulting judgment.
