About this file
This is a Faithful Performance Bond template document for the County of Orange, California, designed to guarantee contractor compliance with contract obligations. The bond serves as security for Risk Management Course Instruction Services, requiring the principal contractor and a surety company authorized to conduct business in California to jointly and severally guarantee performance of contractual duties. The penal sum of the bond remains to be determined based on the specific contract award amount. The bond obligates the principal to perform all covenants, conditions, and agreements specified in the underlying contract at designated times and in the manner prescribed, with the surety agreeing to indemnify, defend with County-approved counsel, and hold harmless the County and its officers and agents. The bond remains in full force regardless of any changes, extensions, alterations, or additions to contract terms, specifications, or work scope, and the surety waives notice of such modifications.
The bond structure requires notarization of the surety representative's signature with the certificate of notarization attached to the document, and the surety company name must be typed or stamped above the signature line. Contractor execution must comply with California Corporations Code Section 313, requiring either signatures from two corporate officers with specified titles or a single officer's signature supported by written evidence of authority, such as a corporate resolution. County approval authorities include the CEO/Risk Management office, which approves the surety and bond limits, and the Office of the County Counsel, which approves the bond as to form. The bond instrument includes provision for the County to recover costs, reasonable expenses, and attorney fees incurred in enforcing the obligation, all taxable as costs and includable in any judgment rendered against the contractor or surety.
