About this file
This is a Faithful Performance Bond document for the County of Orange, California, establishing the bonding requirements and terms for contractors entering into agreements with the County. The bond serves as a guarantee that the principal contractor will faithfully perform all covenants, conditions, and agreements specified in the underlying contract. The bond obligates both the contractor and surety company jointly and severally to the County in a penal sum determined by the contract value, typically calculated at a specified premium rate per thousand dollars of the contract price. The bond remains in full force unless the contractor performs all obligations in accordance with the contract terms, specifications, and timeline as outlined. The document requires notarization of the surety representative's signature and mandates that the surety company name be typed or stamped above the signature line.
The performance bond includes provisions that waive the surety's right to notice of any contract modifications, extensions of time, alterations, or additions to specifications, ensuring the bond's validity regardless of contract changes. The County retains the right to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which shall be taxed as costs and included in any judgment rendered. Approval authority rests with the County's CEO/Risk Management and the Office of the County Counsel. Execution requirements comply with California Corporations Code Section 313, requiring either dual signatures from specified corporate officers or a single officer's signature accompanied by written evidence of binding authority, such as a corporate resolution.
