About this file

This is a Faithful Performance Bond template document issued by the County of Orange, California, for use in securing contractor performance on county contracts. The bond serves as a guarantee that the principal contractor will faithfully perform all covenants, conditions, and agreements specified in the underlying contract. The document requires the contractor and a surety company authorized to conduct business in California to execute the bond jointly and severally, with the bond amount to be determined based on the contract price. The bond obligates the surety to indemnify and defend the county should the contractor fail to perform. Signature of the surety representative must be notarized, and the surety company name must be typed or stamped above the signature line. The county counsel must approve the bond as to form.

The bond's penal sum and premium rate are to be calculated based on the contract price at rates specified in the underlying contract. The surety expressly waives notice of any changes, extensions of time, alterations, or additions to the contract terms, work specifications, or scope. The bond includes provisions for the county to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which are taxable as costs and includable in any judgment. Corporate signatories must comply with California Corporations Code section 313, requiring either two authorized officers to sign or a single officer with documented corporate authorization such as a board resolution. This performance bond template is standard for the Cyber Intelligence Platform procurement (IFB #IFB-060-3028102-SC), which requires contractors to submit performance and payment bonds with penal sums determined by contract price as a condition of award.
