About this file

This is a Faithful Performance Bond template document for use by the County of Orange, California in connection with contract awards. The bond serves as a guarantee that contractors will faithfully perform all obligations outlined in their executed contracts with the County. The document requires the contractor (Principal) and a surety company authorized to transact business in California to jointly and severally bind themselves to the County in a penal sum amount determined by contract price. The bond remains in effect for the duration of contract performance and includes provisions that obligate the contractor to indemnify and defend the County and its officers and agents. The surety waives notice of any changes, extensions of time, alterations, or additions to contract terms, specifications, or work requirements. Execution requires notarized signatures from the surety representative, typed or stamped identification of the surety company name, and approval by both the County's CEO/Risk Management office and the Office of the County Counsel. Corporate signatories must comply with California Corporations Code Section 313 requirements, which mandate either dual signatures from specified officer categories or a single officer signature accompanied by written evidence of authority, typically a corporate resolution.

The bond premium amount and rate per thousand dollars of the contract price are to be specified in the document. The penal sum amount is typically set as a percentage of the total contract value and becomes the maximum liability of the surety in the event of contractor default or failure to perform. As referenced in the Social Media Archival Services contract opportunity, contractors must provide a Faithful Performance Bond with a penal sum based on the contract price, in addition to a Labor and Material Payment Bond and comprehensive insurance coverage. The bond ensures financial recourse for the County should the contractor fail to fulfill contractual obligations, with the County entitled to recover enforcement costs, reasonable expenses, and attorney fees as part of any judgment action taken against the bond.
