About this file
This is a Faithful Performance Bond document required by the County of Orange, California for contractors entering into service agreements with the county. The bond serves as a guarantee that the principal contractor will faithfully perform all covenants, conditions, and agreements specified in the underlying contract. The bond is issued jointly and severally by the principal and an authorized surety company and binds both parties to the County in a penal sum determined by the contract value. The surety agrees that no changes, extensions, alterations, or additions to the contract terms, work specifications, or timeline will affect its obligations under the bond, and it waives notice of any such modifications. The bond must be executed with proper corporate authority as defined by California Corporations Code section 313, requiring either two designated officers or a single officer with documented authorization to sign on behalf of the corporation.
The bond premium is calculated at a specified rate per thousand dollars of contract value and must be paid by the contractor. The Surety representative's signature must be notarized with the certificate of notarization attached to the document, and the Surety company name must be typed or stamped above the signature line. Upon successful performance of the contract, the bond obligation becomes null and void; however, if the contractor fails to perform, the bond remains in full force. The County reserves the right to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which are taxable as costs and includable in any judgment rendered. The bond must be approved as to form by the Orange County Counsel's Office and as to surety and limits by the CEO/Risk Management office.
