About this file

This is a Performance Bond document for the County of Orange, California, establishing the bonding requirements for contractors awarded specialty laboratory analysis services contracts. The bond serves as a faithful performance guarantee, ensuring that the principal contractor will complete all work in accordance with the contract terms and specifications. The performance bond requires the contractor to maintain compliance with all covenants, conditions, and agreements specified in the underlying contract, with the surety (bonding company) remaining jointly and severally liable for the contractor's performance. The bond amount must be notarized and the surety company name must be typed or stamped on the document. The bond becomes null and void upon full and satisfactory performance by the contractor; otherwise, it remains in full force. The County retains the right to recover all reasonable costs, expenses, and fees incurred in enforcing the bond obligation, which shall be taxed as costs in any judgment rendered.

The bond structure requires the surety to waive notice of any changes, extensions of time, alterations, or additions to the underlying contract terms, work specifications, or scope of work. Signature authority for the contractor is governed by California Corporations Code Section 313, requiring either two authorized corporate officers (chairman, president, or vice president paired with secretary, assistant secretary, chief financial officer, or assistant treasurer) or a single officer with documented written authority through corporate resolution. The County's Office of the County Counsel and the CEO/Risk Management division must approve the bond as to form and surety limits respectively. All surety representatives' signatures must be notarized with the certificate of notarization attached to the bond document. The premium charged on the bond is to be specified at the contracted rate per thousand of the total contract price.
