About this file

This is a Performance Bond template document issued by the County of Orange, California, required as a contractual obligation for the Purchase and Delivery of Ten Chevrolet Traverse vehicles under Invitation for Bid #IFB 23-000106. The bond serves as a faithful performance guarantee, binding the contractor (Principal) and surety company jointly and severally to ensure the contractor fulfills all covenants, conditions, and agreements specified in the underlying contract. The bond requires the surety's signature to be notarized with the certificate of notarization attached, and the surety company name must be typed or stamped above the signature line. The penal sum amount and bond premium rate are to be filled in by the parties, with the bond remaining in full force and effect unless the contractor performs all contractual obligations in the manner and timeframe specified.

The Performance Bond obligates the surety to indemnify, defend with County-approved counsel, and save harmless the County and its officers and agents from any breach of contract by the Principal. The bond remains unaffected by any changes, extensions of time, alterations, or additions to the contract terms, specifications, or work scope, and the surety waives notice of such modifications. Prior to contract execution, the bond must be approved as to surety and limits by the County's Chief Executive Officer or Risk Management representative and approved as to form by the County Counsel's Office. Corporate signatories must comply with California Corporations Code Section 313, requiring either two authorized officers (chairman, president, vice president, secretary, assistant secretary, chief financial officer, or assistant treasurer) or a single officer with written evidence of binding authority. The bond includes provisions for the County to recover all reasonable costs, expenses, and fees incurred in successfully enforcing the bond obligation, to be taxed as costs and included in any resulting judgment.
