About this file
This is a Performance Bond template document for the County of Orange, California, establishing the requirements for contractors to secure faithful performance bonds as a condition of contract award. The bond ensures that the principal contractor will perform all obligations, covenants, and conditions specified in their contract with the County. The document requires the bonding surety company to be authorized to conduct business under California law and mandates that the surety representative's signature be notarized with a certificate of notarization attached. The bond obligates the principal and surety jointly and severally to indemnify, defend, and hold harmless the County, its officers, and agents throughout the contract performance period. The template includes provisions for the penal sum amount, bond number, contract date, and contractor identification, with approval required from both the County's CEO/Risk Management and the Office of County Counsel.
The bond document specifies that the surety waives notice of any changes, extensions, alterations, or additions to contract terms, work specifications, or conditions, ensuring the bond remains in full force regardless of contract modifications. The County reserves the right to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which shall be taxed as costs and included in any judgment rendered. Contractor signature authority must comply with California Corporations Code Section 313, requiring either two authorized corporate officers to sign (consisting of specified executive and financial officers) or a single officer with written evidence of binding authority, typically provided through corporate resolution. The bond serves as a security mechanism specific to the print supplies procurement (IFB-031-3023504-JM) and establishes the contractor's financial accountability for satisfactory contract performance.
