About this file
This is a Performance Bond document for a contract with the County of Orange, California, establishing a faithful performance bond requirement for contractors undertaking work on behalf of the County. The bond serves as a financial guarantee that the contractor will faithfully perform all covenants, conditions, and agreements specified in the underlying contract. The document is designed to protect the County by ensuring contractor compliance with contract terms and providing recourse through the surety company if performance failures occur. The bond's penal sum amount and premium rate are to be specified based on the individual contract requirements. Contract execution requires approval from both the County's CEO/Risk Management office and the County Counsel's office, with the surety representative's signature requiring notarization. The bond remains in effect for the full duration of the contract term, including any extensions or alterations, with the surety waiving notice of contract modifications.
The bond structure requires joint and several liability between the principal contractor and the surety company for the full penal amount. The County reserves the right to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation. Execution must comply with California Corporations Code section 313 requirements regarding corporate signatory authority, necessitating either dual signatures from specified officer positions or a single officer signature accompanied by corporate resolution documentation. The surety company must be duly authorized to transact business under California law, and the notarized surety signature with attached certificate of notarization is mandatory before the bond becomes valid and enforceable.
