About this file

This is a Performance Bond template document for use by the County of Orange, California in connection with contract performance obligations. The bond serves as a faithful performance guarantee requiring the principal contractor and a licensed surety company to guarantee complete and proper execution of contracted work. The bond is structured as a penal sum obligation, with the specific bond amount, premium charges, and contract details to be completed on a case-by-case basis. The surety company must be authorized to conduct business in California, and the bond requires notarization of the surety representative's signature along with attachment of the notarization certificate. The County retains the right to recover all costs, expenses, and reasonable attorney fees incurred in enforcing the bond obligations, which are taxable as costs in any judgment rendered against the principal or surety.

The bond document specifies that any changes, extensions of time, alterations, or additions to the underlying contract do not affect the surety's obligations, and the surety waives notice of such modifications. Signature authority requirements follow California Corporations Code section 313, requiring either signatures from two designated corporate officers (chairman/president/vice president paired with secretary/CFO/treasurer) or a single officer's signature accompanied by written evidence of binding authority such as a corporate resolution. The bond must be approved by County Risk Management and the Orange County Counsel's office before execution. For the specific contract opportunity referenced—Purchase and Delivery of Extraction Tips for the County of Orange Sheriff-Coroner—all bids must be submitted electronically through the County's eProcurement Portal, with questions and requests for interpretation due by Friday, January 2, 2026, at 3:00 p.m.
