About this file
This is a Performance Bond document required by the County of Orange, California for a pharmaceutical services contract. The bond serves as a faithful performance guarantee, ensuring that the contractor fulfills all obligations outlined in the underlying contract dated for pharmaceutical services. The bond requires the principal contractor and an authorized surety company to be jointly and severally liable to the County in a specified penal sum. The document must be notarized, with the surety company name typed or stamped above the signature line. The bond remains in effect for the duration of the contract term and any renewal periods, with no changes, extensions, or alterations to the contract affecting the surety's obligations. The contract terms indicate a planned start date of March 1, 2026, with electronic bids due by December 1, 2025, at 4:00 pm, and a contract structure allowing for potential renewal by mutual written agreement for up to four additional years, subject to Orange County Board of Supervisors approval.
The Performance Bond document specifies that the County retains the right to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which shall be taxed as costs and included in any judgment rendered. The bond requires approval from both the County's Chief Executive Officer/Risk Manager and the Office of the County Counsel. Per California Corporations Code section 313, contractor signatures must comply with specific corporate authorization requirements, either through dual signatures from designated officers or a single officer's signature accompanied by written evidence of authority. The surety representative's signature must be notarized with the certificate of notarization attached to the document. This bond requirement, combined with the Labor and Material Payment Bond also mandated for the contract, provides comprehensive financial protection and ensures contractor compliance with pharmaceutical services delivery obligations.
