About this file
This is a Performance Bond template document issued by the County of Orange, California, for use in securing faithful performance of County contracts. The bond requires contractors to obtain a surety company to guarantee contract performance and indemnify the County against losses resulting from contractor non-performance. The document establishes the framework for bond execution, including signature requirements, notarization of the surety representative's signature, and approval by both the County's CEO/Risk Management and County Counsel offices. Contractors must obtain bonds in an amount specified within their individual contracts, with the bond covering all covenants, conditions, and agreements specified in the underlying contract between the County and the contractor.
The performance bond template specifies that the surety company must be authorized to conduct business under California law and that the penal sum of the bond will be established based on the contract price at a specified rate per thousand dollars. The document waives the surety's right to notice of any changes, extensions, or alterations to the contract terms, work specifications, or performance requirements. Pursuant to California Corporations Code Section 313, contractor signatures must follow specific requirements: either two authorized corporate officers must sign (including the chairman, president, or vice president paired with the secretary, assistant secretary, chief financial officer, or assistant treasurer), or a single officer may sign if written evidence of authority is provided. The County reserves the right to recover all costs and reasonable expenses incurred in enforcing the bond obligation, including attorney fees and court costs.
