About this file
This is a Performance Bond form required by the County of Orange, California for contractors entering into service agreements with the County. The bond serves as a faithful performance guarantee, ensuring that the contractor fulfills all contractual obligations as specified in the underlying agreement. The County requires the surety company to be duly authorized to conduct business in California and obligates both the principal contractor and surety to remain jointly and severally liable for the full penal sum of the bond. The bond document stipulates that the contractor must perform all work according to contract specifications, timelines, and terms, and must indemnify and defend the County against any claims or damages. The surety waives notice of any changes, extensions, alterations, or additions to the contract terms and agrees that such modifications do not affect its bonding obligations.
The bond premium is charged at a specified rate per thousand dollars of the contract price, with the actual premium amount to be completed at execution. The surety's signature must be notarized, with the certificate of notarization attached to the executed bond. The document requires approval from both the County's CEO/Risk Management and the Office of the County Counsel. For corporate signatories, California Corporations Code Section 313 requirements must be satisfied, either through dual signatures from specified officer positions or through a single authorized officer supported by corporate resolution documentation. The bond becomes null and void upon satisfactory completion of the contract; otherwise, it remains in full force, and the County may recover all costs and reasonable expenses incurred in enforcing the bond obligation, including attorney's fees, which shall be taxed as costs in any judgment rendered against the surety.
