About this file
This is a Faithful Performance Bond template established by the County of Orange, California for use in its contract procurement process. The bond document serves as a financial guarantee that contractors will faithfully perform all obligations, covenants, and conditions specified in their respective contracts with the County. The bond requires the contractor (Principal) and a surety company to be jointly and severally liable to the County for the penal sum amount, which is tied to the contract price at a specified premium rate per thousand dollars. The document must be executed with notarized signatures from the surety's representative, and the surety company name must be typed or stamped on the document. Approval is required from both the County's CEO/Risk Management and the Office of the County Counsel before the bond becomes effective.
The bond obligates the surety to ensure the contractor's complete performance and indemnifies the County against any losses, with the surety waiving notice of any contract modifications, time extensions, or specification changes. The bond includes provisions requiring the County to recover all costs, reasonable expenses, and attorney fees incurred in enforcing the bond obligation, which are treated as taxable costs in any resulting judgment. Signature execution must comply with California Corporations Code section 313, requiring either two corporate officers with specific titles or one officer with written evidence of authority to bind the corporation. This performance bond template is utilized in the County of Orange's Reprographics and Document Management Services solicitation, which is administered through the County Executive Office - Countywide Procurement Office and conducted entirely through the County's electronic bidding system.
