consideration, other than price alone, shall be used in determining the most successful Bid; technical experience, local service and support, and experience in educational environments are used to perform the LINCOLN PARK PUBLIC SCHOOLS bid evaluations.

After review of the proposals, the Finance Department will make a recommendation to the Buildings and Grounds Committee and then to the Board of Education who will either award or reject the bids at their regularly scheduled meeting.

The Board of Education reserves the right to accept or reject any or all items in the bid; to accept or reject any or all bids; to split awards by item; to select one or more firms to perform the project; to waive any informalities or irregularities therein; for reasons of establishing uniformity or for any reason, and to accept bid proposals which, in its judgment, are in its own best interest, which includes awarding the contract to other than the low bidder(s). If either a unit price or extended price is obviously in error or one is obviously correct, the incorrect price will be disregarded.

GENERAL CONDITIONS

1) LINCOLN PARK PUBLIC SCHOOLS Board of Education Policy prohibits smoking throughout buildings, grounds and vehicles.

2) All work must be guaranteed against defects, in workmanship and materials, for a period of one

(1) year from completion.

3) Bidder agrees to accept responsibility for loss or damage to any person or entity, and to protect, defend, indemnify, hold harmless and release LINCOLN PARK PUBLIC SCHOOLS, and its officers and employees from and against any and all losses, expenses, actions, claims, damages, disabilities or the cost of litigation that are asserted by any person or entity to the extent arising out of the negligent acts or omissions or willful misconduct in the performance by the bidder hereunder, whether or not there is concurrent negligence on the part of LINCOLN PARK PUBLIC

SCHOOLS, but excluding liability due to the active negligence or willful misconduct of LINCOLN

PARK PUBLIC SCHOOLS. This indemnification obligation is not limited in any way by any limitation on the amount or type of damages or compensation payable to or for bidder or its agents, under workmen’s compensation acts, disability benefits acts or other employees’ benefits acts.

4) Bidder agrees that it is their responsibility and not the responsibility of LINCOLN PARK PUBLIC

SCHOOLS to safeguard their property or the property and materials of all employees, consultants or subcontractors used or in possession while performing under this contract. Further the bidder agrees to hold LINCOLN PARK PUBLIC SCHOOLS harmless for any loss of such property and materials used by any such persons pursuant to the bidder’s performance under the contract or which is in their possession.

INVITATION TO BID

5) The successful bidder agrees, at its sole cost and expense, to purchase and maintain the insurance coverage in the minimum amounts indicated on the Minimum Certificate of Insurance

Requirements sheet included in the Invitation for the entire duration of the contract from a company or companies licensed to do business in the State of Michigan that will name and protect both LINCOLN PARK PUBLIC SCHOOLS and the contractor from claims which may arise out of or as a result of the bidder’s operations under the contract, whether such operations be by it or by any subcontractor, or by anyone directly or indirectly employed by and of them, or by anyone whose acts of them may be liable..

The Board reserves the right to request increased limits and coverage to protect the interests of

LINCOLN PARK PUBLIC SCHOOLS. The bidder shall not commence work under the contract until it has obtained and presented all insurance required; nor shall the bidder allow any subcontractor to commence work until all similar insurance required of the subcontractor has been obtained and presented.

If an insurance coverage furnished by the bidder is on a “claims made” basis, the bidder shall continue the coverage required under this contract for a minimum period of three years after the expiration or termination of this contract.

6) Although LINCOLN PARK PUBLIC SCHOOLS is tax exempt, materials furnished to contractors are taxable to them.

7) Any deviation from the specifications set forth must be clearly detailed on the bid proposal form;

otherwise, it will be considered that items offered are in strict compliance with these specifications and the scope of work presented at the pre-bid meeting, and successful bidder will be held responsible therein.

8) The Board of Education reserves the right to accept or reject any or all bids, to split awards by item, or to select one or more firms to perform the project.

9) This bid is made without any previous understanding or agreement with any other person, firm or corporation making a bid for the same purpose, and is in all respects fair and without collusion or fraud.

10) No member of LINCOLN PARK PUBLIC SCHOOLS Board of Education, or any officer, employee or person whose salary is payable in whole or in part from the treasury of said Board of Education is directly or indirectly interested in this bid or in the supplies, materials, equipment, work, services or any portion of the profits thereof to which it relates.

11) Bid price shall include removal of all debris.

INVITATION TO BID

12) It is mandatory that bidders sign and include the enclosed “sworn and notarized statements” with the bid disclosing any familial relationships (P.A. 232) and certifying compliance with the Iran Economic Sanctions Act (P.A. 517).

13) The Bidder or its representative shall make personal investigations of the site of the work and of existing structures and shall determine to its own satisfaction the conditions to be encountered, the nature of the ground, the difficulties involved, and all other factors affecting the work proposed under this Contract. The Bidder to whom this Contract is awarded will not be entitled to any additional compensation unless conditions are clearly different from those which could reasonably have been anticipated by a person making diligent and thorough investigation of the site.

In no case will a Bidder be allowed the benefit of extra compensation or time to complete the work under this Contract for extra expenses or time spent as a result of the error or omission.

Unless otherwise stipulated, the Contractor shall provide and pay for all materials, labor, water, tools, equipment, light, power, transportation, and other facilities necessary or used for the execution and completion of the work. Unless otherwise specified, all materials incorporated in the permanent work shall be new, and both workmanship and materials shall be of the highest quality.

The Contractor shall, if required, furnish satisfactory evidence as to the kind and quality of materials.

14) The Contractor shall at all times enforce strict discipline and good order among its employees, and shall seek to avoid employing on the work any unfit person or anyone not skilled in the work assigned.

15) No permits are anticipated for this project. However, if any permits are required, such permits will be reimbursed to the contractor by the School District.

16) The Contractor shall give all notices and comply with all laws, ordinances, rules and regulations bearing on the conduct of the work as drawn and specified. If the Contractor observes that the contract documents are at variance with those requirements, it shall promptly notify the Supervising

Professional in writing, and any necessary changes shall be adjusted as provided in the Contract for changes in the work.

17) All work shown on the plan set and within the specifications including all restoration must be completed no later than August 25, 2025. Failure to comply with the deadline for completion may result in a back-charge for any damages incurred by LINCOLN PARK PUBLIC SCHOOLS as a result of non-compliance with this requirement.

18) The successful contractor shall receive a purchase order for each location listed in this request.

INVITATION TO BID

19) Upon entering into a contract with LINCOLN PARK PUBLIC SCHOOLS, the successful supplier(s) shall not assign or delegate any obligation to another supplier(s) without written consent of

LINCOLN PARK PUBLIC SCHOOLS. All subcontractors supplying products or services must be identified within the bid response including name, address, phone number and products or services to be supplied.

If the supplier(s) fails to deliver within the time specified, or within reasonable time as interpreted by LINCOLN PARK PUBLIC SCHOOLS, or fails to make replacement of rejected articles, when so requested, immediately or as directed, LINCOLN PARK PUBLIC SCHOOLS may purchase from other sources to take the place of the item or service rejected or not delivered. LINCOLN PARK

PUBLIC SCHOOLS reserves the right to authorize immediate purchase from other sources against rejections on any contract when necessary. On all such purchases, the supplier(s) agrees to reimburse LINCOLN PARK PUBLIC SCHOOLS promptly for excess costs occasioned by such purchases. Should the cost be less, the supplier(s) shall have no claim to the difference. Such purchases will be deducted from the contract quantity.

In the event that the supplier(s) shall fail, neglect or refuse to perform any or all of the duties, obligations or agreements by it to be performed under these contract documents, LINCOLN PARK

PUBLIC SCHOOLS may perform such duties, obligations or agreements or have such duties, obligations or agreements performed and charge all costs thereof or incurred in connection therewith, to the supplier(s) and the supplier(s) shall pay all of said costs to LINCOLN PARK

PUBLIC SCHOOLS and, not in limitation of the generality of the foregoing, LINCOLN PARK

PUBLIC SCHOOLS may collect the same in any manner authorized by law or may deduct such costs from any monies due or to become due to the supplier(s) or collect the same from the oblige under the performance bond filed in connection with this contract.

In the case that the supplier(s) cannot meet deadlines, LINCOLN PARK PUBLIC SCHOOLS may contract out or perform these duties itself and receive from the vendor the cost incurred. In the case that LINCOLN PARK PUBLIC SCHOOLS employees perform the work, the vendor will pay all labor costs for services specified, plus the IRS mileage rate per mile driven in association with this labor.
