Contractor's Release of Claims

This is a template for a Contractor's Release of Claims form used in federal contracting to formally document the contractor's waiver of claims against the United States Government upon contract completion or termination. The form is executed once the contractor has received payment under the contract and serves as a final settlement document between the contractor and the Government.

The release discharges the contractor's liabilities, obligations, claims, and demands against the Government, its officers, agents, and employees, with three specified exceptions. The contractor may retain claims for: (1) specified claims in stated or estimated amounts that cannot be determined with exactitude at the time of execution; (2) claims based on unknown third-party liabilities arising from contract performance, provided written notice is given to the Contracting Officer within the period specified in the contract; and (3) claims for reimbursement of costs incurred under contract provisions, including reasonable expenses related to notification, litigation defense, and prosecution, except for patent liability indemnification expenses. The document requires signature by an authorized contractor representative, a witness, and includes a certificate of authority executed by a corporate officer certifying that the signatory possessed proper authority to execute the release on behalf of the corporation.
