Assignment of Contractor Employee Work Products to NIH
This Agreement is made by and between BLACK CANYON CONSULTING LLC and the National Institutes of Health (hereinafter called “NIH”).
Whereas work performed under the Contract No. 75N98022D00019 by BLACK CANYON CONSULTING LLC employees directly supports the intramural research activities of the NIH Office of Intramural Research (OIR); and
Whereas new and useful works may be created, made or invented by BLACK CANYON CONSULTING LLC employees in the course of performing that contract for the NIH
OIR;
In consideration of the continuing contractual relationship between NIH and BLACK CANYON CONSULTING LLC, we do sell, assign, and transfer to NIH the entire worldwide right, title and interest to all works, work products, inventions, know-how and show-how made, authored, created or invented by BLACK CANYON CONSULTING LLC employees as a result of their assignments at NIH including, but not limited to, patents, copyrights, or related applications, source code, object code, software, text, graphics, photos, images, or other content or data.
