(4) Identify the Authority and Supporting Rationale (see below and if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service.

FAR 8.405-6(a)(1)(A): An urgent and compelling need exists and following the ordering procedures would result in unacceptable delays:

FAR 8.405-6(a)(1)(B): Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized;

FAR 8.405-6(a)(1)(C): In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order must not have been previously issued under sole source or limited source procedures.

FAR 8.405-6(b): Items peculiar to one manufacturer:

A patent, copyright or proprietary data limits competition. The proprietary data is:

ScriptPro USA Incorporated is the OEM and sole proprietary holder of the ScriptPro support and maintenance for the SRPDS. ScriptPro USA Incorporated is the only source who can meet all the specific requirements for providing the required support and services.

These are “direct replacements” parts/components for existing equipment.

The material/service must be compatible in all aspects (form, fit and function) with existing systems presently installed/performing.

(5) Describe Why You Believe the Order Represents the Best Value consistent with FAR 8.404(d) to aid the contracting officer in making this best value determination: The National Acquisition Center (NAC) has determined the rates for support and maintenance under the schedule contract to be fair and reasonable. Therefore, ordering activity is not required to make a separate determination of fair and reasonable pricing, except for a price evaluation as required by FAR 8.405‐ 2(d) if ordering procedures for supplies, and services requiring a Statement of Work (SOW). Although the NAC has negotiated fair and reasonable pricing, Network Contracting Office (NCO) 08 will seek additional discounts prior to issuing a task order as required by FAR 8.405‐4, Price Reduction.

(6) Describe the Market Research Conducted among schedule holders and the results or a statement of the reason market research was not conducted. A presolicitation notice (36C24825Q0663) of intent to sole source to ScriptPro USA, Incorporated was posted to Contract Opportunities From May 22, 2025, through May 28, 2025. No sources responded with capabilities or

VHAPG Part 808.405-6 Limiting Sources Page 5 of 6 Revision: 01 Effective Date: 09/01/2024 Acquisition ID#: 36C248-25-AP-3888 interest in providing the support and maintenance described in the notice of intent to sole source.

The Contracting Officer determined on this basis along with supporting propriety rights letter that a sole source award is recommended to ScriptPro USA Incorporated. Pursuant to VAAR 810.001‐70, Market Research Policy, market research was conducted through the Small Business Administration Veteran Certification page https://veterans.certify.sba.gov/ to identify capable contractors to provide support and maintenance services for the SRPDS. They are 320 SDVOSBs/VOSBs contractors with North American Industry Classification System (NAICS) 811210; however, they do not have the capability to provided services on the SRPDS. Therefore, a rule of two cannot be met for this requirement.

(7) Any Other Facts Supporting the Justification: On April 03, 2024, The Department of Veteran Affairs Veterans Health Administration and ScriptPro USA entered into a Business Associate Agreement (BAA) where ScriptPro will provide Robotics-based pharmacy management and software support, in turn the VA will provide Protected Health Information (PHI) to ScriptPro USA.

(8) A Statement of the Actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made: The VA will continue to review available technologies and vendors on an annual basis to determine whether future procurements can be competed. New vendors offering compatible and secure pharmacy robotic management systems will be considered as they become available and demonstrate compliance with VA security and technical requirements. Original Equipment Manufacturer(OEM) ensure proper maintenance and warranty coverage. Other manufacturers cannot provide services for a proprietary equipment of another manufacturer.

(9) Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge. I understand that processing of this limited sources justification restricts consideration of Federal Supply Schedule contractors to fewer than the number required by FAR Subpart 8.4.
