Disability Recruitment Initiative Services
A. INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS
1. PURPOSE
The purpose of this RFP is to solicit responses for a contractor to provide disability recruitment services by developing a screened pool of applicants with disabilities/targeted disabilities that meet the specific job occupation and geographic needs of Federal agencies. The Government’s requirements are further described in the Statement of Objectives (SOO), Attachment 1.
2. BACKGROUND
See Attachment 1, Section 1.
3. METHOD OF ACQUISITION
OPM’s Contracting Group anticipates awarding a competitive procurement action, set-aside for small businesses that shall result in the award of a Firm-Fixed Price (FFP) Blanket Purchase Agreement (BPA).
The North American Industry Classification System (NAICS) code for this acquisition is 561311, Employment placement agencies or services.
4. NUMBER OF AWARDS
It is anticipated that the award of one (1) FFP BPA will be made to the successful offeror as a result of this solicitation.
5. DATE OF AWARD
It is anticipated that award will be made on or about August 15, 2016.
6. PERIOD OF PERFORMANCE
The Period of Performance (POP) shall be for a period of three (3) years. There will be one (1) base period and two (2), one (1) year option periods. The POP will begin from date of award.
7. COMMITMENT OF PUBLIC FUNDS
The Contracting Officer (CO) is the only individual who can legally commit the Government to the expenditure of public funds in connection with the proposed acquisition. Any other commitment, either explicit or implied, is invalid.

Communications with officials other than the OPM CO may compromise the competitiveness of this acquisition and result in cancellation of the solicitation and/or exclusion of your proposal from consideration.

10. PREPARATION COSTS
This RFP does not commit the Government to pay for the preparation and submission of a proposal.
11. RESPONSIVENESS
Only those proposals that fully meet all the requirements as outlined in the SOO and that respond to the Instructions to Offerors will be considered RESPONSIVE, which will receive further consideration and continue in this procurement action. Proposals that fail in any of the categories below will be considered non-responsive:
• Failure to submit technical and price proposals in two separate files
• Failure to adhere to the stated page limit
• Offeror that fails to conduct the work in accordance with the requirements of the Government’s scope of work
• Failure to compute ALL proposed calculations
All Non-Responsive offerors will not receive any further consideration and will be eliminated from this procurement action.
B. GENERAL INSTRUCTIONS TO OFFERORS
1. INSTRUCTIONS TO OFFERORS
(a) Definitions (As used in this provision):
In writing or written means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.
Proposal modification is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.
Proposal revision is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a CO as a result of the negotiations.
Time, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.
(b) Amendments to solicitations
If this solicitation is amended, all terms and conditions that are not amended remain unchanged.
Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals or late proposals and revisions:
Refer to Federal Acquisition Regulation (FAR) 52.212-1.
(d) Proposal expiration date. Proposals in response to this solicitation will be valid for a period of 90 calendar days.
(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall:
(1) Mark the title page with the following legend: This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used or disclosed--in whole or in part--for any purpose other than to evaluate this proposal. If, however, a call order is awarded to this offeror as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting call order. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction.
The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and
(2) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.
(f) BPA
(1) The Government intends to award a BPA to the responsible offeror with the proposal with the best value in accordance with the tradeoff process as described in FAR 15.101-1.
(2) The Government may reject any or all proposals if such action is in the Government's interest.
(3) The Government may waive informalities and minor irregularities in proposals received.
(4) The Government shall evaluate proposals and may award without discussions with offerors.
Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. Offerors may be given the opportunity to clarify certain aspects of proposals or to resolve minor or clerical errors, but not rising to the level of discussions. The Government reserves the right to conduct discussions if the CO later determines them to be necessary.
(5) The Government reserves the right to make an award on any item for a quantity less than the quantity quoted, at the unit cost or prices quoted, unless the offeror specifies otherwise in the proposal.
(6) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.
(7) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the CO determines that the lack of balance poses an unacceptable risk to the Government.
2. POTENTIAL AWARD WITHOUT DISCUSSIONS
The Government reserves the right to make award based on its evaluation of the initial proposals submitted.
3. ORDERING TERMS AND CONDITIONS
Prices quoted for this RFP shall be firm-fixed priced.
4. TERMS AND CONDITIONS
Any award as a result of this solicitation shall be subject to the terms and conditions set forth herein.
5. PRIVACY ACT
The Privacy Act of 1974 (P.L. 93-579) requires that a Federal agency advise each individual whom it asks to supply information, the authority which authorizes the solicitation, whether disclosure is voluntary or mandatory, the principal purpose for which the information is intended to be used, the uses outside the agency which may be made of the information, and the effects on the individual, if any, of not providing all or any part of the requested information.
Providing the information requested is entirely voluntary. The collection of this information is for the purpose of conducting an accurate, fair, and adequate review prior to a discussion as to whether to award a BPA call order.
Failure to provide any or all of the requested information may result in a less than adequate review.
The information provided by you may be routinely disclosed for the following purposes:
(a) To the Department of Justice as required for litigation.
(b) To respond to congressional inquiries.
(c) To qualified experts, not within the definition of Department employees, for opinions as a part of the review process.
6. SELECTION OF OFFEROR
The Government will utilize the best value tradeoff process according to FAR 15.101-1 approach to determine which offer is most advantageous to the Government.
7. PROPOSAL DUE DATE
Your proposal shall be organized as specified in Sections B-D of this RFP, and submitted electronically to patricia.smart@opm.gov in PDF or Microsoft Word format with Attachment 2 in .xlsx format, no later than 3:00 P.M, Eastern Standard Time (EST) on July 15, 2016. Please limit the size of each email to 5MB to ensure the successful transmission of your proposal.
Technical and Pricing proposals MUST be in two (2) separate files. If your technical and price proposal are not submitted in two (2) separate files, your response to this solicitation will be considered non-responsive. Each of the parts shall be separate and complete, so that evaluation of one may be accomplished independently of and concurrently with the evaluation of the others. Proposal should be submitted as following:
• Technical Proposal Volume I - 30 page maximum
• Business Proposal with Pricing: Volume II – 10 page maximum (Attachment 2 not included in page count)
8. CONTRACT TYPE
The Government intends to issue a FFP BPA for Disability Recruitment Initiative Services as a result of this solicitation.
The awarded BPA shall contain the attached FAR and OPM Specific Clauses in Attachment 3.
C. INSTRUCTIONS FOR PREPARING THE TECHNICAL PORTION OF THE
PROPOSAL – VOLUME I
1. PREPARING THE TECHNICAL PORTION OF THE PROPOSAL
(a) An offeror’s proposal must demonstrate their ability to provide the requirements described in Attachment 1.
(b) The submission shall be clearly indexed and logically assembled. The technical volume shall be clearly identified. All pages shall be appropriately numbered and identified by the complete company name, date and solicitation number in the header and/or footer. A Table of Contents shall be created for this volume. Offerors shall use the following Page Setup parameters:
Margins – Top, Bottom, Left, Right - 1” Gutter – 0” From Edge – Header, Footer - 0.5” Page Size, Width – 8.5” Page Size, Height – 11”
The following additional restrictions apply:
• Each paragraph shall be separated by at least one blank line.
• A standard, 11-point minimum font size applies.
• Tables and illustrations may use a reduced font size not less than 8-point and may be landscape.
Technical Proposal page limit is 30 pages maximum.
(d) Proposals that exceed the stated page limits will be considered non-responsive and withdrawn and will not be given further consideration. Page numbers, headers and footers may be within the page margins ONLY, and are not bound by the font requirements.
(e) Pages that exceed the margin, font or total page limit will not be evaluated. Pages deleted due to violation of the margin or font restrictions will not count against the page limitation. The page limits are applicable to graphs, tables, drawings and any other attachments submitted with the proposals and not specifically excluded by the solicitation. Any index, divider tabs, table of contents, glossary, and reports will not be included in the maximum page limitation.
Offeror(s) are responsible for including sufficient details to permit a complete and accurate evaluation of the proposal. The proposal shall consist of a Table of Contents, Summary Section and the Narrative discussion. The Summary Section shall contain a brief abstract of the file.
Proprietary information shall be clearly marked.
(f) Proposals which merely offer to conduct the work in accordance with the requirements of the Government’s scope of work will be considered non-responsive and will not be given further consideration. The offeror must submit an explanation of the proposed technical approach in conjunction with the tasks to be performed in achieving the project objectives.
(g) Evaluation of the technical portion of proposals will be conducted by a technical review committee in accordance with the evaluation criteria stated in Section E.
(h) Offerors shall submit their technical proposal using the following format indicated below. Each tab should be blank and each page after the tab must be numbered and begin with the page number 1.
(i) Offerors must submit their technical proposal using the following format:
Tab A - Technical Capability & Approach The offeror shall include in its proposal a discussion of the offeror's proposed technical approach to respond to the requirements in Section 3 of the SOO. Present clear and convincing evidence that the scope of work is understood, and that the technical approach to accomplishing this work is sound.
Tab B – Past Performance Information Offerors must provide past performance information that adequately supports its stated capabilities to accomplish the work defined in this solicitation by annotating past performance accomplishments
A maximum of three (3) detailed summaries of work, similar in size, scope, and/or complexity to the program shall be provided. The offerors shall distribute Past Performance Questionnaires (PPQs), Attachment 4, to each reference. The PPQs are exclusive of the technical volume maximum page count. The PPQs shall be returned to the Contract Specialist at patricia.smart@opm.gov. Any summaries provided should identify specific work accomplished during the past five (5) years, and shall not exceed one (1) page each. Detailed summaries shall address the following:
• Technical relevance to work anticipated under the program;
• Specific, quantifiable accomplishments or deliverables; and
• Previous roles of Key Personnel, teammates, subcontractors, or others with significant involvement in the Offeror’s program.
Offerors are advised that the Government may use and evaluate independently obtained past performance data such as the Past Performance Information Retrieval System (PPIRS), as well as, and in addition to, PPQs, and all recent and relevant past performance data provided by the offeror.
Since the Government may not necessarily interview all of the sources provided by the offeror, it is incumbent upon the offeror to explain the relevance of any past performance data provided.
Furthermore, the Government does not assume the duty to search for data to explain or remedy any inconsistencies it finds in the information provided by the offeror. The offeror shall distribute and track the completion of the PPQs to each of the offeror’s Government/Commercial Points of Contacts (POCs). The burden of providing complete past performance information remains with the offeror.
Offerors with no past performance information shall indicate as such, and will be rated as neutral.
D. INSTRUCTIONS FOR PREPARING THE BUSINESS PROPOSAL WITH PRICING -
VOLUME II
The business portion of the proposal must contain sufficient information to allow the Government to perform a basic analysis of the proposed price of the work.
Offerors must submit their price proposal using the following format:
Tab A –Price Information Offerors shall identify ALL costs by submitting FFP responses to the requirements in Attachment 2, and for the deliverables identified in Section 4 of the SOO. Block 17a of the SF 1449 shall be completed with company name, address, POC and email, CAGE Code, DUNS number, TIN number and phone and fax numbers. Offerors shall sign and date in blocks 30a-c, as well as acknowledge any amendments issued.

Scanned or copied versions are unacceptable. Not completing all portions of the spreadsheet or not submitting in the .xlsx format may result in a quote being considered “non-responsive.”
Tab B –Exceptions, Deviations and Assumptions Each proposal shall include an exceptions, deviations and assumptions section in their pricing proposal that identifies and explains in detail any exceptions, deviations, or conditional assumptions taken with the requirements of the solicitation. Any exceptions, deviations and assumptions taken must contain sufficient amplification and justification to permit evaluation. All benefits to the Government shall be fully explained for each exception taken. Exceptions and deviations will not, of themselves, automatically cause a proposal to be termed unacceptable. A large number of exceptions and/or deviations, or one or more significant exceptions and/or deviations not providing benefit to the Government, may, however, result in rejection of your proposal as unacceptable or otherwise non-compliant.
Tab C – Offeror’s Points Of Contacts (POCs) The Offeror shall list POCs who have the authority to respond or provide information and/or clarification to this solicitation, as well as the authority to negotiate on behalf of the offeror. The names, email addresses, and phone numbers shall be listed.
E. EVALUATION FACTORS FOR AWARD
In accordance with 52.212-2 Evaluation -- Commercial Items (Oct 2014)
(a) The Government will award a single BPA resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors are in descending order of importance, and shall be used to evaluate offers:
1. Technical Capability and Approach
2. Past Performance
3. Price
Technical and past performance, when combined, is significantly more important than price.
The Government will utilize the best value tradeoff process according to FAR 15.101-1.
Factor 1 will be evaluated and rated according to the information below:
Color Rating Definition
Blue Exceptional Proposal meets and exceeds the requirements for an acceptable rating; a high probability of success in contract performance is demonstrated through some or all of the following: (1) the proposal exceeds the solicitation requirements; (2) the proposal offers innovations and/or creative approaches that are beneficial to the Government; and (3) the proposal demonstrates a superior understanding of the solicitation requirements.
Green Acceptable Proposal meets all the requirements of the solicitation with no deficiencies or affirmative exceptions to the solicitation requirements. A good probability of success in contract performance is demonstrated through the following: (1) the proposal meets the solicitation requirements; and (2) the proposal demonstrates a satisfactory understanding of the solicitation requirements.
Yellow Marginal Proposal meets most of the requirements of the solicitation but one or more of the following conditions exists: (1) the proposal contains one or more deficiencies and/or affirmative exceptions to the solicitation requirements, all of which are considered correctable; (2) while the proposal reflects an understanding of most of the solicitation requirements, clarification is required in some limited areas of the proposal to demonstrate a satisfactory overall understanding.
Red Unacceptable Proposal fails to meet requirements of the solicitation to the extent that one or more of the following conditions exists: (1) the proposal contains deficiencies and/or affirmative exceptions to the solicitation requirements that are so substantial that they could not be corrected (i.e., the revisions required to make the proposal acceptable would be tantamount to an entirely new proposal) during any subsequent negotiation; (2) the proposal demonstrates a general lack of understanding of the solicitation requirements.
In addition, a risk assessment was conducted for the technical factor to assess the potential for disruption of schedule, degradation of performance, and the need for special contractor emphasis and close Government monitoring. The risk ratings were as follows:
Rating Definition
High Likely to cause significant disruption of schedule, increased cost or degradation of performance. Risk may be unacceptable even with special contractor emphasis and close Government monitoring.
Moderate Can potentially cause some disruption of schedule, increased cost or degradation of performance. Special contractor emphasis and close Government monitoring will probably be able to overcome difficulties.
Low Has little potential to cause disruption of schedule, increased cost or degradation of performance. Normal contractor effort and normal Government monitoring will probably be able to overcome difficulties.

(b) Options. Prices shall be provided for each quantity for the base and both option years. Since the quantities are in quarterly amounts, the price will be based on four (4) quarters per year. The Government will evaluate offers for award purposes from a randomly selected quantity from each CLIN for each year (base and option years) to obtain a total price. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding BPA without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Disability Recruitment Initiative Statement of Objectives
1. BACKGROUND
The United States Office of Personnel Management’s (OPM) mission is recruiting, retaining, and honoring a World-Class Workforce to serve the American people. In support of this mission, OPM’s Office of Diversity & Inclusion (ODI) is seeking to increase the employment of people with disabilities into positions within the Federal Government.
2. SCOPE
OPM has a mission to increase the competitive employment of Americans with disabilities within the Federal Government. President Barack Obama issued Executive Order 13548 Increasing Federal Employment of Individuals with Disabilities, which requires Federal agencies to increase the hiring of people with disabilities. The Order provides that the Federal Government, as the Nation's largest employer, must be a model for the employment of individuals with disabilities. The Order directs Executive departments and agencies to improve their efforts to employ Federal workers with disabilities and targeted disabilities through increased recruitment, hiring, and retention of these individuals. In support of this mission, OPM requires a contractor to recruit individuals with disabilities for specific job occupations and geographic areas for Federal agencies using Schedule A Hiring Authority. The contractor is required to conduct specialized recruitment efforts requested by Federal agencies, and shall consider candidates from the Shared Register on Max.gov.
Award of this BPA will allow OPM to accomplish its mission more efficiently and effectively to recruit persons with disabilities.
3. SUMMARY OF REQUIREMENTS
The contractor shall be required to, but is not limited to the following:
A. Provide customized technical and cost proposals to agencies that enter into an Interagency Agreement with OPM to procure specialized recruitment services to recruit, screen, and hire qualified candidates with disabilities. To support this effort, the contractor shall be required to, but is not limited to the following:
• Employ a thorough knowledge of the disability community, and extensive referral and outreach network partners to enable connections with highly qualified individuals with disabilities;
• Recruit, pre-screen, and match candidates with disabilities, based on designated skills, education and experience requirements;
• Work with candidates to ensure their Federal resume demonstrates sufficient detail regarding education, skills and experience;
• Communicate the requirements to candidates with disabilities to ensure proper documentation is secured to comply with the Schedule A appointment authority processes;

• Interface with the accessible web-based applications on the MAX.gov Federal Community website in collaboration with the Office of Management and Budget (OMB) and in accordance with OMB’s required updates;
• Answer email and phone questions from candidates regarding the Shared List processes and Schedule A hiring processes.
B. Recruit, screen and submit qualified candidates per the agreements identified in the Interagency agreements approved and maintained by OPM. To support this effort, the contractor shall be required to, but is not limited to the following:
• Discuss the details of the position with the Federal agency, gaining an understanding of the specific screening criteria required, including skills, education, experience, and geographical area;
• Search and review candidates from the Shared List to determine those who are qualified for the position;
• Search, recruit and pre-screen additional candidates that satisfy the position requirements to identify sufficient candidates for the customized referral position;
• Submit the number of candidates the agency requires as specified in the interagency agreement with OPM;
• Apply any new recruited candidates to the Shared List on the MAX Federal Community;
• Discuss reasonable accommodations and assistive technology requirements for the interview process;
• Provide additional information and general support to the Federal agency contact assigned to each customized referral, including accommodation support and assistance in contacting the candidate to schedule interviews.
C. Disclose to the agency, as requested, the recommended reasonable accommodations required for the interview process, as identified by the applicant to the contractor, for those candidates that the agency considers minimally qualified, who will be a part of the Shared List process. It is understood that the Federal agency accessing the Shared List will provide reasonable accommodations during the applicant hiring process.
D. Consider qualified candidates to the Shared List.
E. Work with the agency to create, disseminate and collect an evaluation from candidates, assessing the candidates experience with the contractor. The contractor shall work with the agency to create, disseminate and collect a similar evaluation from agencies utilizing the customized referral service shortly after the candidates have been submitted to the Federal agency, assessing the point of contacts experience with the contractor.
4. DELIVERABLES
4.1 The contractor shall be required to demonstrate its technical capability to create and manage a pool of applicants with disabilities that would include the ability to screen candidates for careers in the required expertise.
This could include up to 50 candidates per quarter in any of the following categories:
• Specialized Skills in a Geographic Area in the Top 50 Metropolitan Statistical Area
• Specialized Skills NOT in a Geographic Area in the Top 50 Metropolitan Statistical Area
• General Skills in a Geographic Area in the Top 50 Metropolitan Statistical Area
• General Skills NOT in a Geographic Area in the Top 50 Metropolitan Statistical Area

6. PERIOD OF PERFORMANCE
The Period of Performance (POP) shall be for a period of three (3) years. There will be one (1) base period and two (2), one (1) year option periods. The POP will begin from date of award.
7. PLACE OF PERFORMANCE
OPM anticipates that the services will be performed at the offeror’s facility.
8. AWARD TYPE
The Government intends to issue a single FFP BPA as a result of the solicitation.
9. QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)
The following QASP is OPM’s codification of its method of implementing FAR 37.601, which requires that performance-based contracts or task orders-
a) Describe the requirements in terms of results required rather than the methods of performance of the work;
b) Use measurable performance standards (i.e., in terms of quality, timeliness, quantity, etc.)
and quality assurance surveillance plans;
c) Specify procedures for reductions of fee or for reductions to the price of a fixed-price contract when services are not performed or do not meet contract requirements; and
d) Offerors must complete the QASP as part of their proposal. A description of the columns and information to be entered follows below. OPM will use the information provided as part of our evaluation of your offer.
The offeror shall provide the completed QASP with its proposal (see table below) and will be evaluated with the technical factor.
(1) Deliverable: One of the deliverables described in the “Deliverables” section above.
(2) Performance Standard: The level of performance which the Government considers acceptable.
A good performance standard in general should:
Measure important tasks;
Be simple, but not too simple;
Be auditable and capable of validation (quantifiable measures preferred, as they are less subjective);
Attainable and worth the cost;
Have a level of detail that corresponds to the intent of the stated measure and expectation;
Be consistently combined with other measures to reflect corporate priorities; and Be controlled by the contractor.
(3) Acceptable Quality Level: The range of deviation—if any—in which the Government will consider performance to be acceptable. Each offeror must propose an Acceptable Quality Level (AQL) for each performance standard for each deliverable. If the selected offeror fails to achieve stated AQLs, OPM will reduce the offeror’s payment for the services rendered in accordance with the price reduction formula. You must enter the AQLs for each deliverable in the Performance Requirements Summary Template (chart below) for each deliverable that has a performance standard.
(4) Monitoring Method:
(a) This is the method OPM will use to monitor performance and determine the extent to which performance has met the standard. Offerors are encouraged to propose a sound process for verifying the accuracy of performance data on a continuing or recurring basis. Regardless of the method or degree of monitoring, OPM reserves the right to audit all performance data to independently verify its accuracy.
(b) In general, monitoring methods that automatically capture measurements as part of the process and do not place a burden on either the offeror or OPM to collect and analyze data is preferred.
(5) Price Reduction:
For each AQL, your proposal must specify a maximum price reduction that will take effect if you fail to meet the AQL. The proposal must also specify the formulas and decision criteria that OPM will use to calculate the actual amount of price reduction for the related CLIN.

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (r) of this provision.
(a) Definitions. As used in this provision--
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror.
Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).
Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
Sensitive technology—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.
The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C.
101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
